We have advised OMERS Infrastructure on the successful close of €770 million in new debt facilities at Borealis Spain Parent B.V., the holding company for OMERS’ ~25% stake in Exolum. Exolum is a Spanish-headquartered global energy logistics infrastructure company providing specialised solutions to support energy transition. This transaction reflects strong market confidence in Exolum’s robust growth and diversification strategy, as well as OMERS’ long-term commitment to the sector. The cross-border team combined expertise in English, Spanish and Dutch law, led by Alexandra Dimsdale Gill, Louise Baxter and Boma George in London – with support from María Sabau and Elena Euba Hernández in Madrid, and Nienke van Stekelenburgh, Vincent Engel and Lisa van der Veldt in Amsterdam. We have advised CABB Group, owned by private equity investor Permira, on the signing of a definitive agreement with Anupam Rasayan India Ltd to sell a 100% equity stake in its US-based production site Jayhawk Fine Chemicals Corporation for ~US$150 million. Closing of the transaction is expected to occur in January 2026, following satisfaction of conditions precedent and customary closing actions. The divestment of Jayhawk Fine Chemicals represents a key step in CABB’s strategy to shift from industrial applications, electronics and semiconductors and focus on further expanding its specialties portfolio in Pharma and Life Science from its production sites in Switzerland, Germany and Finland.
