DECLARATION CUM INDEMNITY

carrying on business in the firm name & style of M/s___________________ (name of Firm)
at ___________________ hereby declare and undertake that all documents which have been
submitted by me/ us to HDFC Bank Limited ("Bank") (whether pursuant to the 'know your
customer' requirements of the Reserve Bank of India or otherwise as required by the Bank)
("Submitted Documents") have been duly stamped in accordance with the law applicable
from time to time in the concerned State where such documents have been executed and/or
brought into.

I/ We___________________ ( name all the partners) hereby agree and undertake, jointly
and severally, to indemnify and keep indemnified the Bank, its employees, officers or
personnel (hereinafter collectively referred to as the "Indemnified Parties")of, from and
against any and all direct and indirect, claims, damages, fines, penalties, losses, costs and
expenses, including attorneys' fees which may be incurred by the Indemnified Parties as a
result of the Submitted Documents having not been duly stamped or stamped for an amount
lower than the applicable stamp duty payable thereon under applicable law.
I/we acknowledge that based on this Declaration cum Indemnity the Bank has agreed to open
the account in the name of the partnership firm M/s__________________.
