This chain of title summary is for the movie currently entitled, “Revenge” (f/k/a “Intention”), directed by Adam
Adams, starring Bob Roberts and Cary Carr (the “Project”).

Transfer of Ownership Agreements Summary

DRAFTING NOTE: Include all transfers of any ownership rights and assignments of any rights regarding
the film, including production services agreements, sub-contractor agreements, and production partner
agreements. If any contractor hired sub-contractors in their own name (i.e. only the contractor and sub-
contractor’s names are on the agreement) we need to see that the work of the sub-contractor has been
assigned into the chain of title.

The Project is based on a book called “Intention” by Don Deer. Don Deer signed a publishing agreement with
Random House in 2008 which included film rights. A copy of the agreement is attached. (DRAFTING NOTE:

Random House transferred its exclusive film rights to Wonderful Productions LLC via the agreement dated
December 1, 2009. A copy of the agreement is attached.

John Smith wrote the screenplay. John Smith transferred his rights in the screenplay to Wonderful Productions LLC
via the Writing Agreement dated January 3, 2010 in which Wonderful Productions LLC hired John Smith to write
the screenplay based on the book, as a work made for hire, and therefore Wonderful Productions LLC acquired all
rights. Please note the title of the Project was changed from Intention to Revenge. A copy of the agreement is

Wonderful Productions LLC hired Production Services R Us LLC to provide production services on the film via the
Production Services Agreement dated January 10, 2010. Wonderful Productions LLC retained ownership of the

Production Services R Us LLC hired We License Music Company Inc. to provide music for the film via the
Contractor Agreement dated January 10, 2010. Wonderful Productions LLC retained ownership of the film. A copy

Wonderful Productions LLC assigned all of its rights to Intention Pictures LLC via the Assignment Agreement
dated November 1, 2010. A copy of the agreement is attached.

Intention Pictures LLC assigned all of the distribution rights for the film in all media, for the universe in perpetuity
to Great Sales Agent Inc. via the Sales Agent Agreement dated November 11, 2010. Intention Pictures LLC

Other Rights in the Project

Other Companies:
Intention Pictures LLC hired Best Productions LLC as a production company for the Project, as a work made for
hire, and therefore Intention Pictures still owns the underlying work and all works by Best Productions LLC
regarding the Project. The Production Services Agreement dated November 2, 2010 is attached. Best Productions
LLC is listed in this summary because it is in the billing block and the Director, Cast, Crew, etc agreements are with
Best Productions LLC. However, ownership to the project is still with Intention Pictures LLC based on the
agreement.

Director:
The Director, Gabe Givens, was hired pursuant to the agreement dated February 2, 2011, between Good Films Inc
(Director’s loan out company) and Best Productions LLC, as a work for hire, and therefore Best Productions LLC
obtained ownership of the underlying work (which transferred to Intention Pictures LLC per agreement mentioned
above). The Director does not have injunctive relief. Gabe Givens signed the Certificate of Authorship attached to
the Director Agreement. Copy of both are attached.

Producer(s):
There are only 2 producers (Jesse Smith and Wayne Johnson) and 3 executive producers (Michelle May, Nina Perez,
Nala Smith) on the Project. All signed work made for hire agreements, and therefore Best Productions LLC
obtained ownership of the underlying work (which transferred to Intention Pictures LLC per agreement mentioned
above). All do not have injunctive relief. Copies of the agreements are attached.

Actor(s):
There are only 2 top billed actors on the Project.
Actor, Bob Roberts, copy of agreement attached.
Actor, Cary Carr, copy of agreement attached.
All signed work made for hire agreements, and therefore Best Productions LLC obtained ownership of the
underlying work (which transferred to Intention Pictures LLC per agreement mentioned above). None have
injunctive relief.

Distribution Companies:
Intention Pictures LLC (“Owner”) transferred distribution rights to France Distributors Ltd for distribution of the
picture in France only, exclusive, period of 20 years, all media except theatrical. You are not requesting a copy.

Sales Agent:
Intention Pictures LLC (“Owner”) transferred certain rights to International Sales Worldwide LLC (“Sales Agent”)
via the Sales Agent Agreement dated May 5, 2011. Summary: right to be exclusive sales agent for a period of
perpetuity for a territory of the world except for France and for all media. Copy of the Agreement attached.

The Short Form Assignment from Wonderful Productions LLC to Intention Pictures LLC regarding the Screenplay
has been filed with the copyright office and a copy is attached.

The Short Form regarding the Sales Agent Agreement regarding the Final Film and between Intention Pictures LLC
and International Sales Worldwide LLC has been filed with the copyright office, however, the registration has not
been returned yet. A copy of the short form and check to the copyright office is attached.

The Short Form regarding the Distribution Agreement between Sales Worldwide LLC and RLJ Entertainment is
signed and attached. It is our understanding that RLJ will be filing this and we do not need to mail it to the
copyright office.
