BETWEEN
NDOMA T. NDOMA of F.W.M. & H, PSR Abuja (hereinafter called
the “ASSIGNOR’” which expression shall where the context hereof
so admits include, his heirs, agents, privies, successors-in-tile,
Personal representatives) of ONE PART.
AND
PHINA NWANDO ILOABANAFOR of No. 8 Umuome Avenue,
Inyi in Orji-River Local Government Area of Enugu State (hereinafter
called the “ASSIGNEE” which expression shall where the context
hereof so admits include her heirs, agents, privies, successors-in-
tile, personal representatives) of OTHER PART.
WHEREAS:-
1. By virtue of Offer of Lease with Ref. No.
FMWH/URD/EN/SAA.REP/VOL.1/55 dated 23 day of
September 2002, the Federal Government through the Federal
Ministry of Works and Housing, allocated the above plot of land
known as Plot 5 Block XIX (Residential) situate at Republic
Layout, Enugu to the ASSIGNOR - NDOMA T. NDOMA. The
ASSIGNOR is in possession under the Land Use Act 1978 to
the Statutory Right of Occupancy granted over and all that
piece or parcel of land together with other appurtenances
thereon. The plot is measuring Square metres and
is more particularly delineated and verged RED in Survey Plan
ne dated day of 20.
and bounded by Beacon Nos,
and (herein
called the PROPERTY).
2. The ASSIGNOR has agreed with the ASSIGNEE to assign unto
the latter all his interest in respect of that piece of land known
as Plot 5 Block XIX (Residential) situate at RepublicLayout, Enugu for a valuable consideration and subject to the
terms and conditions hereinafter appearing.
NOW THIS DEED OF ASSIGNMENT WITNESSES AS FOLLOWS:-
That pursuant to the above-recited agreement and in payment of full
consideration paid by the Assignee to the Assignor (The receipt
whereof the Assignor hereby acknowledges). The Assignor as
beneficial owner HEREBY ASSIGNS UNTO the Assignee all his
interest over ALL THAT piece of land known as Plot 5 Block XIX
(Residential) situate at Republic Layout, Enugu to hold same
unto the ASSIGNEE for the unexpired residue of the term of
Statutory period of Occupancy granted in favour of the Assignor
under the Land Use Act over and in respect of the said property
THE ASSIGNOR COVENANTS WITH THE ASSIGNEE AS FOLLOWS:-
a. The Assignee performing and observing the covenants herein
contained andjon the part of the Assignee to be performed and
observed shall peaceably hold the property hereby assigned
during the said term without any interruption by the Assignor
or any other person claiming under or in trust for the Assignor.
b. The Assignor is well and truly seized of the Property hereby
assigned and is entitled to assign the same without let or
hindrance whatsoever and the Assignor further covenants to
execute all such lawful assurance as the Assignee shall
reasonably require for the purpose of vesting the land hereby
assigned more perfectly in the Assignee.
c. To assist the Assignee whenever and wherever called upon to
do and or perform any act or thing necessarily required to
defend or perfect the title of the Assignee hereby created.
d. To handover to the Assignee immediately on execution of this
Agreement, all original and other copies of the title documents
relating to the said Property including receipts and
correspondence,
e. To deliver vacant possession of the Property to the Assignee in its
present state with all the fixtures and fittings intact, immediately on
execution of this agreement,f. To fully indemnify the Assignee for any expenses, loss and or damage
that may be occasioned by reason or any defect in title as hereby
claimed or breach of this Agreement.
THE ASSIGNEE COVENANTS WITH THE ASSIGNOR AS FOLLOWS:-
a. To pay and discharge all rates taxes duties charge asset impositions and
out-going now or at anytime payable in respect of the property or any
part thereof.
b. To indemnify the Assignor, its estates and effects against all actions.
Proceedings, claims and demands with respect to the non-payment of
rents or non-performance or non-observance of the covenants and
conditions as may be contained in the Certificate of Occupancy.
c. To pay the grand rent of the said plot of land.
