THIS AGREEMENT FOR SALE AND PURCHASE OF COAL FOB MV dated as of the 7th August 2023 (this
“Agreement”)

Purchaser.
GUANGXI SUPPLY CHAIN SERVICES GROUP Co, Ltd.
a limited liability company duly incorporated under the laws of China having its registered office at: No.
50 Dongfeng, Nanning Area, Pilot Free Trade Zone Liangqing District, Nanning, Guangxi, China
The Seller and the Purchaser individually each a “Party” and collectively the “Parties”.
WHEREAS
The Purchaser desires to purchase from the Seller, and the Seller desires to sell to the Purchaser, Coal in
certain quantities and meeting certain minimum specifications set forth herein under the terms and
conditions of this Agreement.
NOW THEREFORE THE PARTIES HEREBY AGREE AS FOLLOWS:
1. AGREEMENT
The Seller agrees to sell, and the Purchaser agrees to purchase Coal (as defined herein) upon the
terms and conditions contained herein.
2. TERM
This Agreement shall become effective as of 7 August 2023 (the “Effective Date”), and shall remain
in full force and effect until 31 August, 2024 (the “Expiry Date”), such period hereinafter referred to
as the (“Contract Term”). This Agreement shall terminate automatically on the Expiry Date, unless
earlier terminated pursuant to Clause 16 or Clause 16 or by mutual agreement of the Parties (in
which case this Agreement shall terminate on such earlier date of termination).
3. QUANTITY AND SHIPMENT
a. Contract Quantity
The total quantity of 1,440,000 metric tonnes of Coal agreed to be supplied and delivered by the
Seller and purchased by the Purchaser during the Contract Term shall be delivered from August
2023 to August 2024 each shipment 120,000 metric tonnes every month at one (1) any safeport
in Indonesia (the “Contract Quantity”). The quantity of Coal in shipment shall be subject to a
shipping tolerance of +/- 10% at the Seller’s option. The trial order is 70,000 metric tonnes for
10-15 August 2023 and 50,000 metric tonnes for 25-30 August 2023.
