CONTRACT OF EMPLOYMENT

KNOW ALL MEN BY THESE PRESENTS:

This Contract of Employment is executed made this (DATE), by:

MYLAB DIAGNOSTIC CLINIC, with principal office at Purok


Katarungan Brgy. Tongohin Infanta Quezon, hereinafter
referred to as the EMPLOYER;

-AND-

(NAME), of legal age, Filipino and a resident of


(ADDRESS),herein referred to as the EMPLOYEE.

WITNESSETH:

WHEREAS, the EMPLOYER is engaged in the business of Medical Care


and Laboratory services.

WHEREAS, the EMPLOYEE manifests and guarantees that he/she


possesses the requisite qualities and competencies needed by the
Employer in the conduct and course of its business;

The EMPLOYER engages the services of the EMPLOYEE as CHIEF MEDICAL


TECHNOLOGIST, with compensation of (amount of professional fee)
per month and as of writing this pay includes benefits from day
one, subject to increase anyhow, therefore to be discussed.

That the EMPLOYEE is appointed to a minimum term of ONE YEAR,


Breaching of Contract has fine of 10,000.00.

That upon RESIGNATION of the EMPLOYEE should render at least ONE


MONTH prior to effectivity date of resignation to claim the
remaining salary.

That this CONTRACT is RENEWABLE at the option of the EMPLOYER.

That the EMPLOYER reserves the right to TERMINATE the services of


the EMPLOYEE, for just and authorized causes and after due notice
and under existing labor laws.

DUTIES AND RESPONSIBILITIES:

The EMPLOYEE agrees to give his undivided time and service in the
employ of the EMPLOYER, to perform such work as may be required of
him at a designated place and in such capacity as the latter may
direct.

The EMPLOYEE is obliged to perform his duties loyally,


independently, industriously to help meet the goals and objectives
of the Company and is expected to carry out these responsibilities
to the best of his knowledge and abilities in order to protect and
advance the interests of the Company, its principals, and its
employees.

Included but not limited to the following are the responsibilities


of the EMPLOYEE:

Performance of Diagnostic Tests: The EMPLOYEE shall know by mind


and by practice all the procedures and principles behind every
test conducted in the laboratory. Tests shall be performed
accurately and precisely under standard operating procedures.

Leadership and Oversight: The EMPLOYEE shall provide leadership


and oversight to the laboratory team, ensuring adherence to
established protocols, standards, and regulatory requirements.

Strategic Management: The Chief Medical Technologist shall


contribute to the development and implementation of laboratory
policies, procedures, and strategic plans, aligning them with the
organization's goals and objectives.

Reporting and Incident Handling: The EMPLOYEE shall promptly


report any incidents related to staff’s adherence to operational
standards and customer safety. This includes but is not limited to
instances where operational protocols are not followed or if there
are concerns regarding the safety of customers. Reporting should
be done promptly to facilitate corrective actions and ensure the
maintenance of high operational and safety standards.

Quality Assurance: Implement and monitor quality control and


assurance programs to ensure the accuracy and reliability of all
diagnostic tests conducted within the laboratory. Evaluate
reagents, supplies, and equipment to maintain high standards of
quality.

Staff Training and Development: Oversee the training and


development of laboratory staff, including medical technologists.
Ensure ongoing education and professional development
opportunities to enhance the skills and knowledge of the team.

Inventory Management and Procurement: Manage laboratory inventory,


including reagents, supplies, and equipment. Evaluate stock levels
and initiate purchase orders to maintain a continuous supply of
necessary materials.

Equipment Maintenance: Oversee the maintenance of laboratory


equipment, ensuring proper functioning through regular
calibration, troubleshooting, and preventive measures. Address
incidents of machine breakdown promptly.

Laboratory Reporting and Documentation: Review and sign out


laboratory reports, ensuring accuracy and compliance with
established procedures. Maintain comprehensive records of all
laboratory activities and ensure timely reporting.
Collaboration and Communication: Foster effective communication
and collaboration within the laboratory team and with other
departments. Address and resolve issues promptly, promoting a
cohesive and efficient working environment.

Custody and Control Forms: Verify the completeness of Custody and


Control Forms and oversee proper specimen handling. Ensure the
accurate preparation, examination, processing, and analysis of
specimens.

Specimen Validation and Testing Oversight: Provide oversight for


specimen validation tests to guarantee the integrity of the testing
process. Monitor the performance of diagnostic tests, ensuring
accuracy and precision.

Incident Management: Address and report incidents of machine


breakdowns and breakages to the pathologist and management.
Institute corrective measures to prevent the cancellation of tests
and maintain accurate laboratory documentation reports.

Regulatory Compliance: Stay abreast of relevant local, state, and


federal regulations governing laboratory practices. Ensure the
laboratory's compliance with these regulations in all aspects of
its operations.

Continual Learning and Training: As a leader, actively participate


in continual learning, professional development programs, and
training sessions relevant to advancements in diagnostic
laboratory testing and management.

Any additional or modified duties may be assigned by the laboratory


management as deemed necessary for the efficient and effective
functioning of the laboratory.

The EMPLOYEE shall observe and comply with all company rules and
regulations, written or otherwise. The EMPLOYEE shall devote his
entire working time to the EMPLOYER and shall have no direct or
indirect interest in any firm or entity, whether for profit or
not, directly in competition with or offering the same services as
the EMPLOYER nor shall the EMPLOYEE take any interest that is
conflicting or inimical to the EMPLOYER.

Nothing contained herein shall be construed as a limitation of the


right of the EMPLOYER to terminate the services of the EMPLOYEE,
in the event that it is found that the herein EMPLOYEE is unable
to perform efficiently and competently any and all work or duty
that may be required of him/her or should any just or valid cause
exist to warrant his separation from the service.

4.6. The EMPLOYEE shall work exclusively for the benefit of the
company. The EMPLOYEE warrants that he shall comply with all his
undertakings and obligations set forth in this Contract and shall
indemnify the EMPLOYER for any actual losses, damages, costs and
expenses, including attorney’s fees, incurred as result of the
breach of this Agreement or his willful act, omission, fraud or
negligence.

CONFIDENTIALITY AND NON-DISCLOSURE

For all purposes of this contract, the term “Confidential


Information” shall collectively refer to all non-public
information or material disclosed or provided to the EMPLOYEE in
the course of his or her employment with the EMPLOYER. This
includes, but is not limited to, products, formulas,
specifications, processes, policies, plans, standard operating
procedures, employees, work conditions, assets, inventory,
packaging, distribution, sales, marketing, expenses, financial
statements and data, customer and supplier lists, raw materials,
costs of goods and relationships with third parties, and other
related information that the EMPLOYEE may obtain from the company.
Confidential Information also includes information obtained during
sanctioned training sessions conducted by the EMPLOYER or any third
party authorized by the former as well as information, reports,
notes, analyses, compilations, and other material or documents
prepared by the EMPLOYEE which contain, reflect, or are based, in
whole or in part, on the Confidential Information.

The EMPLOYEE agrees to keep strictly confidential and shall not


disclose or cause or permit to be disclosed during the term of his
employment and from and after the actual cessation of his
employment, Confidential Information to any person or entity,
except to those officers, employees, or other authorized agents
and representatives and professional consultants of the EMPLOYER
to whom disclosure is reasonably necessary in connection with the
Transaction and who shall agree to be bound by the terms of this
Agreement, and except as otherwise consented to in writing by the
non-disclosing party.

The EMPLOYEE shall not take out of the EMPLOYER’S premises any
materials containing Confidential Information unless with prior
written consent or permission of the EMPLOYER. During and after
the EMPLOYEE’S term with the company, he shall at all time practice
good discretion, ask permission and seek approval from the Company
in the use or disclosure of any company documents – technical or
business information, or any information which one might
reasonably expect the company to regard as confidential, whether
transmitted or acquired from the Company’s customers, suppliers,
or other persons – to any person, company or entity.

The EMPLOYEE acknowledges and confirms that this contract must


remain confidential. Except as may be legally required by competent
authority or applicable statutes, the parties hereto shall not
make any unauthorized disclosures of the terms and conditions
embodied in this contract.

The obligations contained in this section shall cease to apply to


any information or knowledge, which may subsequently come into the
public domain after the termination of employment, other than by
way of notarized disclosure.

Failure to comply with this confidentiality undertaking shall be


construed and considered as Gross Misconduct and shall be deemed
a ground for the termination of his employment.

TERMINATION

The EMPLOYER reserves the right to terminate or cancel this Contact


after observing due process for just or authorized causes, as
provided by this Contract and as provided by law. Termination may
be due to any, but not necessarily limited to the following:

a. Inefficiency;
b. Incompetence;
c. Tardiness;
d. Unexplained Absences;
e. Insubordination;
f. Breach of confidentiality and non-disclosure clause;
g. Violation of company’s intellectual property rights;
h. Just and Authorized Causes enumerated in Articles 282,
283, and 284 of the Labor Code of the Philippines;
i. Other causes provided in Company Policies; and
j. Other analogous causes
