1 INTRODUCTION
The current Annex presents the performance calculations to be performed during the three
following test periods: PAC TEST PERIOD, YEAR 1 PERIOD and YEAR 2 PERIOD (the “Test
Periods”).
These calculations can lead to the payment by the CONTRACTOR of Performance Liquidated
Damages for each of the Test Periods.
Note: All references to “[by Bidder]” are to be provided by Bidders as part of their Technical Proposal
using the template attached in Appendix D.

2 DATA FOR THE TESTS

2.1 Measurement sensors

Irradiation sensors
The following equipment must be installed on each weather station:

The number of weather station to be installed is indicated in the Annex 3.1.3.


If the Panels are installed on one axis trackers, the CONTRACTOR must follow the Procedure for
irradiation measurement on a Single-axis tracker section of this document.

Others climatic sensors


The following equipment must be installed per weather station:
Panel temperature (sensor placed on Ambient temperature
the Panel backside)

2.2 Time Step


The data are collected in one (1) minute intervals and then averaged to the same time step as
the Grid Operator meter: fifteen (15) minutes (the “Time Step”).

2.3 Timestamps
Each measurement must include timestamps.
Timestamp data must include the date and time corresponding to the beginning or end of the
recording interval: the choice shall be specified.
All measurements must have the same timestamps and the same time zone.

2.4 Data availability and reliability


The CONTRACTOR must ensure that the data are acquired and stored correctly. If more than
1% of the data are invalid during a Test Period, the COMPANY has the right to refuse the test.

2.5 Data treatment


If any data is missing or abnormal, the data shall be deemed invalid.
Invalid data include, but is not limited to:
- A missing data;
- A measurement substantially different from the average (from what point on a difference
in measurements is judged as substantial will be determined by the Company based on
the circumstances: type of measurement, size of the Plant, cloudy vs sunny day …).
- A frozen value (monitoring problem);
- An irradiation value coming from a dirty sensor
- An irradiation value coming from a sensor covered by snow
- An irradiation value coming from a shaded sensor
- An irradiation value coming from a sensor not in the right plane of array
- An irradiation value, positive or negative, during the night
If a measurement during a Time Step is judged invalid, then such measurement shall be discarded
from the given Time Step.
The CONTRACTOR shall explain the reason of any exclusion at each Time Step. The COMPANY
have the right to refuse some exclusions made or to propose others.
For every Time Step, the result shall be the average value of the sensors that have been
considered as valid. If no sensor is judged valid then this empty Time Step will be filled by:
- Interpolation between previous and next valid Time Steps for a gap of less than one hour
- Solargis satellite data for a gap of one hour or more.
Any other methodology applied to fill the Time Step value should be agreed between Parties.
The CONTRACTOR shall explain the methodology applied at each Time Step that has been gap
filled. In any cases, the COMPANY has the right to refuse the applied methodology to back fill the
empty Time Steps.

The Parties shall do their best endeavors to agree on the exclusions and on the gap filling
methodologies. If the Parties do not agree, the Parties shall refer to the clause Technical Disputes
of the CONTRACT shall apply.

2.6 Excusable Events


- Force Majeure event;
- Grid failure;
- Temporary limitation to maximum power export ordered by the Grid Operator or other
relevant authorities.

2.7 Data to be provided by the Contractor


The CONTRACTOR will send a unique spreadsheet file including:
- The raw data before any manipulation including at least climatic data, inverters power, the
energy metered at the connection point and the tracker rotation angles;
- The data after treatment;
- A highlight at each Time Step that has been treated including the reason of the treatment
and the methodology that has been applied;
- A summary of the results.

3 TYPE OF TESTS

3.1 Provisional Acceptance Certificate test (the “PAC Test”)

Prerequisites
CONTRACTOR shall arrange a kick-off meeting with all required parties to be sure that all
conditions are met to start the PAC Test.
Once the kick-off meeting has taken place, the CONTRACTOR will inform the COMPANY the
planned starting date for the PAC Test with at least seven (7) days prior notice.

Start
Prior to the beginning of the PAC Test, the CONTRACTOR must have obtained the Hot
Commissioning Certificate in accordance to Annex 6.2.

PAC TEST PERIOD


The PAC test period (the “PAC Test Period”) shall last fifteen (15) consecutive days but it can be
extended if the Minimum Irradiance Criteria is not met.

Availability
During the PAC Test Period, the availability shall be 100%. If any unavailability occurs during the
PAC Test Period, the CONTRACTOR must provide a root cause analysis. If the loss of availability
is not caused by an Excusable Event, the COMPANY may require the repetition of the entire PAC
Test.

Minimum Irradiance Criteria


During the PAC Test Period, the irradiance in the plane of array has to be greater than 400W/m²
for at least thirty (30) hours (the “Minimum Irradiance Criteria”).

Extension
If the Minimum Irradiance Criteria is not met, the PAC Test Period shall be extended by complete
days until meeting the Minimum Irradiance Criteria.
If data have been discarded due to an Excusable Event, the PAC Test shall be extended by
complete days in order to obtain a duration of at least fifteen (15) days.

Repetition

If the PAC Test is not successful passed, the provisions of section 7.6 below shall apply.

PAC Test results notice


The CONTRACTOR shall send to the COMPANY the PAC Test results within fifteen (15) days
after the end of the last day of the PAC Test Period.

Upon review by the COMPANY, the Company will give its approval or comments within thirty (30)
days (or as otherwise agreed in the Provisional Acceptance clause of the EPC Contract).

3.2 YEAR 1 test (the “Year 1 Test”)

YEAR 1 PERIOD
Means the period starting on PROVISIONAL ACCEPTANCE DATE and ending on the first
anniversary of the PROVISIONAL ACCEPTANCE DATE.

Minimum Irradiance Criteria, Extension and Repetition


For this test, there is no Minimum Irradiance Criteria, no possibility of extension and no possibility
of repetition.

Year 1 Test results notice


The CONTRACTOR shall send to the COMPANY the Year 1Test results no more than fifteen (15)
days after the end of the last day of the Year 1 Test Period. Upon review by the Company, the
COMPANY will give its approval or comments within thirty (30) days.

3.3 YEAR 2 test (the “Year 2 Test”)

YEAR 2 PERIOD
Means the period starting on the DAY following the first anniversary of PROVISIONAL
ACCEPTANCE DATE and ending on the second anniversary of the PROVISIONAL
ACCEPTANCE DATE.

Minimum Irradiance Criteria, Extension and Repetition


For this test, there is no minimum irradiance criteria, no possibility of extension and no possibility
of repetition.

Test results notice


The CONTRACTOR shall send to the COMPANY the Year 2 Test results no more than fifteen
(15) days after the end of the last day of the Year 2 Test Period. Upon review by the Company,
the COMPANY will give its approval or comments within thirty (30) days.

4 GUARANTEED VALUES

4.1 Expected Performance Ratio (EPR)


Bidders shall calculate the EPR in accordance to the minimum requirements set forth in Appendix
D.
Monthly and yearly EPR values shall be presented by Bidders in the following form as part of their
Technical Proposal by using the template included in Appendix D.

4.2 Guaranteed Performance Ratio (GPR)


For all tests described in this Annex, the GPR shall be calculated as follows:

4.3 Panel cleaning and soiling losses


The EPR calculated by the Contractor shall be inclusive of the soiling losses expected during the
first two years after the Provisional Acceptance Date (the “Soiling Losses”). Such Soiling Losses
shall be estimated by the Contractor in consideration, among other factors, of:
 The Site Conditions;
 The technology selected for the Plant
 The Panel cleaning methodology and regularity
Regarding the latter, the CONTRACTOR shall perform at least one annual complete Panel
cleaning cycle for the entire Plant during the Year 1 Period and Year 2 Period. Notwithstanding
the above, the number of complete annual Panel cleaning cycles to be performed by the
Contractor shall be determined by the Contractor in consistency with the Soiling Losses
considered when calculating the EPR.
For avoidance of doubt, the cost of any Panel cleaning during Year 1 and Year 2 Period is part of
the Works and so it is included in the Contract Price. No Contract Price and/or EPR adjustment
shall be admitted if the actual Soiling Losses are higher than initially expected by the Contractor.

4.4 Panel temperature reference (Tref)


Monthly and yearly Panel temperature reference values shall be presented by Bidders in the
following form as part of their Technical Proposal by using the template included in Appendix D.

5 PERFORMANCE RATIO CALCULATION
The Actual Performance Ratio (APR) shall be calculated as follows:

Trefm = Panel temperature reference for the corresponding month m. It is the Panel temperature
average weighted by the plane of array irradiation obtained from the yield simulation;

Tmeasi = Panel temperature measured by temperature sensors placed on the backside of the
Panels during Time Step i (°C);
OMAA = O&M Actual Availability (see section 6 below).

6 AVAILABILITY CALCULATION (BY O&M CONTRACTOR)
The O&M contractor will calculate the O&M Actual Availability (OMAA).
OMAA is a simplified evaluation of the energy loss based on the available power and the plane-
of-array irradiation calculated with the following formula:

j = index of one Time Step interval, excluding Time Step of Excusable Events and excluding Time
Step with a plane-of-array irradiation below 50W/m² (the “Irradiance Threshold”);
k = number of Time Steps during the relevant Test Period that are not afftected by Excusable
Events and when the plane-of-array irradiation is above the Irradiance Threshold;
Hpoa = measured plane-of-array irradiation in kWh/m²;
P = Panels nameplate power of the PLANT (kWp)
Paj = available power in Time Step j (in kWp), defined as the sum of the Panels nameplate power
for which:
1. all associated detectable equipment (including trackers) is available and working properly,
or
2. the associated detectable equipment (including trackers) is not available or not working
properly due to CONTRACTOR’s responsibility including, but not limited to, any equipment
warranty claim intervention required under the EPC Contract.
A tracker is considered not working properly if the actual angle is more than 3° different than
what it should be. When a tracker is not working properly, the generation is usually lower but
not zero. To take this into account, only 50% of the affected nameplate power is considered
unavailable in the availability calculation.

The Parties shall do their best endeavors to agree on the calculation. If the Parties do not agree,
the Technical Disputes resolution mechanism of the CONTRACT shall apply.

7 PERFORMANCE TEST RESULT

7.1 Performance test success criteria


For any performance test, if:

the performance test is deemed successful. Otherwise the CONTRACTOR shall pay the
applicable Liquidated Damages in respect to the percentage of Under Performance.

7.2 Performance test rejection criteria


At the PROVISIONAL ACCEPTANCE LONGSTOP DATE, if:

reject the WORK at its sole discretion..

7.3 Under Performance

7.6 Failure to achieve GUARANTEED PERFORMANCE RATIO during the


PAC TEST PERIOD
(a) If the Facility fails to achieve the GUARANTEED PERFORMANCE RATIO before the
PROVISIONAL ACCEPTANCE LONGSTOP DATE, the CONTRACTOR, subject to
paragraph (b) below, is entitled to repeat once (or more if APPROVED by the COMPANY
at its sole discretion) the PERFORMANCE TESTS, at CONTRACTOR’s cost, to achieve
the GUARANTEED PERFORMANCE RATIO, notwithstanding the payment, if applicable,
of DELAY LIQUIDATED DAMAGES. This applies also to the failure of the Facility to achieve
the REJECTION PERFORMANCE RATIO before the PROVISIONAL ACCEPTANCE
LONGSTOP DATE.

(b) If COMPANY, in its sole discretion, decides that the PERFORMANCE TESTS to achieve
the GUARANTEED PERFORMANCE RATIO must not be repeated, and the REJECTION
PERFORMANCE RATIO has been achieved or surpassed, the COMPANY may require,
and the CONTRACTOR shall be bound to pay, PERFORMANCE LIQUIDATED DAMAGES
as specified in Annex B. If REJECTION PERFORMANCE RATIO is not achieved or
surpassed, the remedies set forth in Annex B shall apply.

(c) If COMPANY requires CONTRACTOR to pay PERFORMANCE LIQUIDATED DAMAGES
as specified in Annex B, upon payment of these PERFORMANCE LIQUIDATED
DAMAGES, if the other conditions therefor are satisfied, CONTRACTOR may formally
request that the PROVISIONAL ACCEPTANCE CERTIFICATE be issued without the
PERFORMANCE TEST for PAC being repeated.

8 PROCEDURE FOR IRRADIATION MEASUREMENT ON A SINGLE-
AXIS TRACKER

8.1 Introduction
Irradiation sensors (pyranometers) mounted on a tracker will suffer from shading due to the
neighborhood trackers.
This section explains the way to install pyranometers and the way to treat the data, in order to
obtain a PR calculation that is not biased by this shading.
The following procedure will be followed for the performance test PR calculation.

8.2 Pyranometer locations and mounting structure


For each of the relevant and agreed locations in the plant, two pyranometers will be installed: one
on the eastern part of a tracker and one on the western part of the same tracker, as shown on the
following drawing:

The distance « D », between the tracker edge and the pyranometer center, will not exceed ten
centimeters (D ≤ 10 cm).
The sensors must be mounted on a tracker chosen in order to minimize the shading. It must be
on a tracker block edge: South edge for North hemisphere and North edge for South hemisphere.
Before the construction, the CONTRACTOR shall submit the exact design of the structure to
support the pyranometers and their locations to the COMPANY, and those are subject to its
approval.

8.3 Data treatment


In order to always retain the data of the pyranometer that is less affected by the mutual shading,
for each 15 minutes time step, only the highest irradiation of the two measurements will be
retained as the location measurement:
LocX_GT_West: Irradiation measured with the Pyranometer West for the location X
LocX_GT_East: Irradiation measured with the Pyranometer East for the location X
LocX_GT: The final irradiation retains for the location X
