ITICO PHARMA Confidentiality Agreement
This agreement is made on ____________ by and between __________ (Receiving Party) having an
address at ___________ and __________ (Disclosing Party) having an address at ___________ regarding
the following:
1. The parties desire to share Confidential Information for the limited purpose of evaluating the suitability
of entering into a business relationship or pursuant to the parties’ ongoing business relationship related to
the material ____________ (the “Agreed Purpose”).
“Confidential Information” means all information, know-how, or data in any form (written, photographic, electronic,
magnetic, computer) including without limitation knowledge, trade secrets, formulations, ingredients, samples,
processes, manuals, supplier lists, customer lists, price and pricing information and marketing information, that is
solely related to the Agreed Purpose.
2. The Receiving Party shall keep in confidence and shall use the Confidential Information of the Disclosing
Party only for the Agreed Purpose. The Receiving Party shall not disclose the Confidential Information of
the Disclosing Party to any third party, other than to those employees who are directly involved with the
Confidential Information and in turn are bound to treat strictly confidential.
3. This agreement shall be valid even though the business between the parties stopped.
4. The parties acknowledge and agree that they do not have any obligation to enter into any further
agreement or business relationship amongst themselves in connection with the Confidential Information.
5. Amendments and/or supplements to this agreement shall only be valid where the parties agree so in
writing.
6. This Agreement may not be amended, modified, or released except by a written instrument signed by
each of the parties hereto.
7. This agreement shall be valid from the date of signature.
