Statute of the (union name)
Article I
Name of the trade union
The trade union shall be known as (here is name). In its activities it shall be guided by the Law on
Trade Unions of the Republic of Lithuania, Constitution of the Republic of Lithuania, legal acts of the
Republic of Lithuania and the European Union, international conventions and this Statute.
Article II
Organisational-legal form of trade union
(union name) is a public legal entity, which is a voluntary, autonomous and self-determined
organization.
Article III
Scope and purpose of the trade union
The purpose of a trade union is to represent and defend the interests of its members.
To defend workers' rights and social justice.
To provide education, training and support to its members.
To participate in political activities related to labour issues.
Article IV
Rights and duties of trade union members
(1) Rights of Trade Union Members:
1.1 members can join or leave the union freely, without fear of consequences;
1.2 members are involved in negotiating collective agreements;
1.3 members receive information about union activities, decisions, and finances;
1.4 members are treated equitably and without discrimination within the union;
1.5 members have access to internal processes to address concerns;
1.6 the union may offer opportunities to improve members' knowledge and skills;
(2) Duties of Trade Union Members:
2.1 members must follow the union's statutes, bylaws, and procedures;
2.2 members are encouraged to attend meetings, events, and contribute to decision-making;
2.3 members should support the union's efforts, including collective bargaining;
2.4 members should refrain from actions that could damage the union's reputation or interests;
2.5 members should treat each other with respect and avoid discrimination or harassment;
Article V
Procedure for applying for membership
Membership applications should be submitted in writing to the General Secretary of (union name). The
General Secretary will present each application to the Executive Committee for review. Applicants who
are denied membership may reapply to the Executive Committee once before the next Executive
Committee Session. The appeal should be addressed to the General Secretary, who will submit it to the
next Executive Committee Session along with a recommendation on its merits.
Article VI
Withdrawal from the membership
A union member who wishes to leave the union must give written notice to the (union name). (a
deadline may be specified)
The member is entitled to a refund of the unused part of the membership fee.
Upon receipt of the written notice and fulfilment of all necessary procedures, the membership of the
member is terminated.
Article VII
Expulsion and rejoining
A member may be expelled by a resolution of the Executive Committee if he/she:
(1) is in arrears in the payment of membership fees and has been served with at least two notices of
default in the payment of fees;
(2) is in clear breach of the Statute (union name);
(3) acts in a manner considered detrimental to the interests of (union name).
A member expelled from (union name) may rejoin (union name) if he/she pays all arrears of dues for
the previous membership period.
Article VIII
Membership fees
All union members must pay an annual membership fee. The basic annual membership fee shall be set
and amended by the Congress. From 2024, the basic annual membership fee is set at X euros per
member. The basic annual membership fee is adjusted annually according to the latest published
consumer price index in Lithuania.
Article IX
Congress and its duties, decision-making
The supreme body of the (union name) is the Congress. The Congress shall be held at least once a year.
The Executive Committee determines the date, duration, venue and agenda of the Congress
The duties of the Congress include:
(1) discussing and adopting strategies, objectives and activities of the (union name) for the following
year;
(2) deciding on all submitted proposals and resolutions;
(3) reviewing and, if necessary, approving the reports submitted, including the secretariat report, the
financial report, and the reports on the work of the Executive Committee;
(4) setting the amount of the basic annual membership fee;
(5) electing the members and alternates of the Executive Committee;
(6) hearing appeals on matters of trade union membership or expulsion;
(7) amending the Statute (union name);
(8) dissolution of the (union name);
(9) approving the merger of the (union name) with another organisation;

Article X
Executive Committee
(1) The membership of the Executive Committee will be as follows:
1.1 the Chairman;
1.2 the General Secretary, with the right to speak but not to vote;
1.3 the Assistant General Secretaries, with the right to speak but not to vote;
1.4 other elected officials;
Article XI
Voting in the Executive Committee
A quorum for an Executive Committee meeting shall be established when more than half of the
members with voting rights are present. Decisions shall be adopted by a majority vote. In the event of a
tie, the Chairman shall have the casting vote. If a secret ballot is requested by a majority of members,
votes shall be cast secretly.
Article XII
Executive Committee Sessions
(1) the General Secretary calls meetings, in consultation with the Chairman;
(2) the General Secretary prepares the agenda at least 2 weeks before regular meetings;
(3) the Executive Committee meets at least twice a year;
(4) the date and location of meetings are determined:

Article XIII
Responsibilities of the Executive Committee
(1) handles applications, expulsions, and withdrawals;
(2) sets the date, location, and agenda for the next Congress;
(3) approves the annual budget, reviews finances, and plans long-term;
(4) fills vacant internal auditor positions between Congresses;
(5) removes the Secretary General or Assistant Secretaries General for misconduct, reviews reports,
and ensures asset management;
(6) approves significant changes to asset use and management;
Article XIV
Duties of the chairman
(1) works towards consensus within the organization;
(2) leads all Congress and Executive Committee sessions;
(3) adheres to the Statute during meetings;
(4) collaborates with the Secretary General to manage Secretariat activities;
Article XV
Auditors
(1) Congress shall elect 5 internal auditors, who may not be titular members of the Executive
Committee;
(2) internal auditors shall report to the Executive Committee at least 2 times a year on the audit of the
books;
(3) internal auditors work in cooperation with the external auditor who conducts the usual annual audit;
Article XVI
The General Secretary
(1) oversees financial management;
(2) represents the union legally;
(3) manages key operations and handles personnel matters, in consultation with the Chairman and
Executive Committee;
Article XVII
Public information
(1) The public information of the union is:
1.1 statute of the trade union;
1.2 reports on financial activities of the trade union;
1.3 minutes of meetings;
1.4 information about the trade union's activities (achievements, problems, development prospects,
information about events held);
1.5 information on the union's management (composition of the governing bodies, their powers and
responsibilities);
(2) Information about the union is published on the official website of the union, as well as on social
media;
(3) Information must be reliable, relevant, accessible, open, clear and understandable;
Article XVIII
Branches and offices
The (union name) can establish branches and offices in Lithuania and abroad. The Congress decides on
their establishment, appoints or dismisses their heads, and approves their regulations.
Article XIX
Amendments to the Statute
The Congress shall be the only competent body to amend the Statute. Any resolution to amend the
Statute must obtain a majority of at least 2/3 of the total number of votes present or represented at the
Congress in accordance with Article IX.
Article XX
Duration of activity
The term of the (union name) is not limited.
Article XXI
Trade union property
(1) Funds consist of:
1.1 membership fees;
1.2 funds received from projects, programs and funds financed by the European Union;
1.3 tangible and intangible assets;
1.4 support of foreign individuals and legal entities, special contributions, charity, grants;
1.5 voluntary and earmarked contributions;
1.6 other legally obtained income and property;
(2) Use of Funds:
2.1 expenses approved by resolutions of the Congress;
2.2 legal expenses aimed at ensuring the activities of the organization;
2.3 support and charity;
(3) Upon dissolution of the (union name), remaining assets cannot be returned to founding members or
used for their personal benefit. They must be transferred to an organization with similar public
purposes and tax benefits.
Article XXII
Union location
The Head Office of the (union name) is in Vilnius, Lithuania. The address of the headquarters shall be
changed by resolution of the Congress.
Article XXIII
Termination of trade union activity
The termination of the union's activity takes place in accordance with the procedure described in
Article IX of this charter or by court order.
