Agreement deed

This Employment Contract is made effective as of [Date], by and between Kiran


Pingle ("Owner") of Grape Embasy, located at Grape Embasy, Makhmalabad
Road, Nashik, and Vandan Karanjkar ("Chef").

RECITALS

WHEREAS, the Owner has invested INR 50,00,000 in the restaurant's construction
and holds the title to the land on which the restaurant is situated.

WHEREAS, the Owner desires to employ the Chef to manage and oversee all
kitchen operations, training, and certain service responsibilities.

WHEREAS, the Chef agrees to serve as the Head Chef under the terms and
conditions set forth herein.

NOW, THEREFORE, in consideration of the mutual promises and covenants


contained herein, the parties hereto agree as follows:

1. TERM

This Contract will commence on [Start Date] and will continue for a period of ten
(10) years, terminating on [End Date], unless terminated earlier in accordance
with the provisions of this Contract.

2. POSITION AND DUTIES

2.1 Title: The Chef shall serve as the Head Chef.

2.2 Duties and Responsibilities: The Chef's duties and responsibilities include, but
are not limited to:

- Overseeing all kitchen operations, including menu planning, inventory


management, and food preparation.
- Training and supervising all kitchen staff.
- Ensuring compliance with health and safety regulations.
- Collaborating with the Owner to design and update the menu.
- Maintaining the highest standards of food quality and presentation.
- Managing kitchen budgets and controlling food costs.
- Participating in the hiring and evaluation of kitchen staff.
- Sharing service responsibilities with the Owner, including coordinating with the
front-of-house staff to ensure seamless service.

2.3 Menu and Culinary Input: All decisions regarding the menu and culinary input
will be made mutually by the Owner and the Chef.

3. COMPENSATION
3.1 Profit Sharing: The Chef shall be entitled to [Percentage]% of the net profits of
the restaurant, calculated on a monthly basis. Net profits shall be determined by
deducting all operating expenses, including salaries, rent, utilities, and other
costs, from the gross revenue.

3.2 Base Salary: In addition to profit sharing, the Chef shall receive a base salary
of INR [Amount] per month, payable in accordance with the Owner's standard
payroll practices.

4. ACCOUNTING AND PAYMENTS

4.1 Books and Records: The Owner shall maintain accurate books and records of
all financial transactions and provide the Chef with access to such records upon
request.

4.2 Profit Distribution: The profit share payments will be distributed within
[Number] days following the end of each month, along with a detailed
statement of the calculations.

5. WORKING HOURS

The Chef agrees to work such hours as may be necessary for the proper
performance of their duties, including evenings, weekends, and holidays as
required.

6. CONFIDENTIALITY AND NON-COMPETE

6.1 Confidentiality: The Chef agrees to maintain the confidentiality of all


proprietary information of the Owner and the restaurant.

6.2 Non-Compete: During the term of this Contract and for a period of four
months after termination, the Chef shall not engage in any business that
competes with the Owner within the Nashik city jurisdiction.

7. TERMINATION

7.1 Termination by Owner: The Owner may terminate this Contract for cause,
including but not limited to gross misconduct, breach of this Contract, or failure
to perform duties satisfactorily.

7.2 Termination by Chef: The Chef may terminate this Contract by providing
three months written notice to the Owner.

8. EXIT STRATEGY

8.1 Retention of Brand and Staff: Upon termination of this Contract, the brand
Grape Embasy and all service staff will be retained by the Owner.
8.2 Training of Sous Chef: In the event of termination, the Chef agrees to train at
least one sous chef under their supervision before the end of the notice period to
ensure a smooth transition of kitchen operations.

9. MISCELLANEOUS

9.1 Entire Agreement: This Contract constitutes the entire agreement between
the parties and supersedes all prior agreements or understandings, whether
written or oral.

9.2 Amendments: This Contract may be amended only by a written agreement


signed by both parties.

9.3 Governing Law: This Contract shall be governed by and construed in


accordance with the laws of Nashik.

9.4 Severability: If any provision of this Contract is found to be invalid or


unenforceable, the remaining provisions shall continue in full force and effect.
