This Addendum is made and executed at NewDelhi on this 5 thday of JUNE , 2024 to the
Agreement dated 05.06.2024.
BETWEEN
MAX LAB LIMITED (a wholly owned subsidiary of Max Healthcare Institute Limited), a Company
incorporated under the Companies Act, 2013, having its Registered Office at N- 110,
Panchsheel Park, New Delhi-110017, Corporate Office at 5th Floor, Capital Cyberscape,
Sector -59, Gurugram, Haryana- 122101,throughitsAuthorizedSignatory,
(hereinafterreferredtoasthe"MLL/ServiceProvider")which expression shall, unless repugnant
or contrary to the context or meaning thereof, be deemed to mean and include its
successor/s in title, subsidiaries, affiliate/s, executor/s, administrator/s, representative/s,
and permitted assign/s, being party of the One Part;
AND
MEYASH HOSPITAL, having place of business at NH-3-4, Sector 9/11, Tehsil and District
Hisar, Haryana- 125001, bearing email id- [email protected] (hereinafter
singly referred to as the “Client”), which expression, unless repugnant to the context or
meaning thereof, be deemed to its successors and permitted assigns), represented
through its proprietor/ owner/ authorized signatory, being party of the Second Part.
MLL and Client may be hereinafter collectively referred to as “Parties” and individually
referred to as “Party”.
WHEREAS:-
A. Whereas, parties entered into a Medical Service Agreement dated 05.06.2024 (hereinafter
referred to as “Agreement”) for providing healthcare services to its customers.
B. Whereas the Owner/Proprietor of Meyash Hospital Smt. Meenu Bansal represents that
sheisthetrueowneroftheabove-mentionedfirmand has
registeredthesaidfirmundertheprovisions of Companies Act, 2013 under the name
“Meyash Healthcare Private Limited” bearing CIN- U86100HR2024PTC119642.
C. WhereasSmt.MeenuBansalrepresentsthatbeingtheDirectorofMeyashHealthcarePrivateLimit
ed, she is willing to change the business name from MeyashHospital to Meyash
Healthcare PrivateLimited andiswillingtotransfertheservicesofMaxLabto
MeyashHealthcarePrivateLimited.
D. Whereas the Parties also represent that Clause related to Quality Assurance, Scope,
Tenure was omitted to be inserted in the said Agreement and therefore, the parties after
the mutual discussion are desirous to insert Sub Clause (c) related to Scope of Services in
Clause 1.0 Sub Clause (e) related to QualityAssuranceinClause2.0,oftheAgreementdated
05.06.2024andamendapartofClause10.0
andClause2.0(a)relatedtoTermoftheAgreementandobligationsofMLLrespectively,

bywayofthis addendum in the Medical Service Agreement as stated herein above. Apart
from this amendment, no other term/condition of said Agreement is modified/amended.
Parties have reached an understanding and have agreed to enter into this Addendum on
the terms and conditions as given herein under:

NOW,THEREFORE,INCONSIDERATIONOFTHEMUTUALBENEFITSACCRUINGTOTHEPARTIES
HERETO, PARTIES HEREBY AGREE AS FOLLOWS:
1. That the business operations of Max Lab Limited shall be transferred from Meyash
HospitaltoMeyashHealthcarePrivateLimited,throughitsDirectorSmt.MeenuBansalandthe
said change shall be amended in the said Medical Service Agreement which shall now
be read as mentioned hereunder:
MEYASHHEALTHCAREPRIVATELIMITED(PAN-AARCM8811B),aCompanyincorporated
under the provisions of Companies Act, 2013, bearing CIN- U86100HR2024PTC119642,
having registered office at Plot No. NH3, Sector 9/11, Near Munna Sweets Road, Hisar
City, Hisar, Haryana- 125001, having establishment in the name of “Meyash Hospital”,
bearing email id- [email protected] (hereinafter singly referred to as the
“Client”), which expression, unless repugnant to the context or meaning thereof, be
deemed to its successors and permitted
assigns),representedthroughitsproprietor/owner/authorizedsignatory,beingpartyoftheS
econd Part.
2. Thattheabove-
mentionedClausesshallbeinsertedinthesaidMedicalServiceAgreementandthe said
clauses be read as follows:
1.0(c)–ItisherebyagreedthatthefollowingserviceswillbeprovidedbyMLLtotheClient:
ClinicalBio-Chemistry
ClinicalPathology
Cytopathology
Hematology
Histopathology
Microbiology
2.0(a)MLLshallarrangetocollectthesamplesfromthesaidPremisesandsendittotheclosestLabat
ChuramaniMultispecialityHospital,Hisar,oranyothercentreasitmaydeemfit,onlywhenthey
are
accompaniedbydulyfilledTestRequisitionFormoreachpatientfilled.TheLogisticsCostofsam
ple transportation from the said Premises shall be borne by MLL only for those
locations where MLL provides logistic support.
2.0(e)QualityAssuranceProgram:
MLLmayperformthefollowingactivitieswithrespecttoQualityAssuranceProgramwherevernee

d arises:
a. Participate in external quality assurance program and where such program is not
available, MLL may exchange the samples with another laboratory for purpose of
peer comparison;

b. Verification/Validationoftestmethods’
c. Ensurethequalityoftestresultsincludingperforminginternalqualitycontrols;
d. PeriodiccalibrationandmaintenanceofequipmentownedbyMLL;
e. Correctiveandpreventiveactionsaretakenincaseofanydefects;
f. Partner may after prior intimation to MLL visit the premises for quality check of
parameters, machinery and internal control etc.
g. MonitorTAT(asdecided)andintimatethePatientsofthecriticalresults.
10.Term&Termination:ThisAgreementshallbevalidforaperiodof3(three)yearscommencingfrom
05.06.2024 to 04.06.2027 unless terminated by either Party.
3.0 Saveandexcepttheabove-mentionedunderstanding, restofthetermsofthesaid
Agreementand
otherremainingpartsofClause10shallremainintact,infullforceandcontinuetooperatebetw
een
thePartieswithoutanyspecificmentionshereby,unlessthesamearemutuallyagreedandalt
ered inwriting betweenthe Parties.In the eventof any inconsistency,conflictor
ambiguity inthe clause as amended herein, the terms of this Addendum shall control
and supersede any such inconsistency, conflict or ambiguity qua the clause so
amended.
4.0 This Addendum shall be supplemental to the said Agreement. This Addendum shall be
read in conjunction with the said Agreement to draw the interpretation and meaning
of the clause therein.
5.0 ForthepurposeofthisAddendum,alldefinitions,meanings,basictermsandconditionsareagr
eed
andapplicableinthesaidMedicalServiceAgreement,shallcontinuetoapplytoandformanint
egral part of this Addendum unless expressly stated otherwise in this Addendum.
That this Addendum shall form an integral and essential part of the original Medical Service
Agreement executed inter se the parties and shall be read in conjunction with the said
Agreement.
IN WITNESS WHEREOF, the parties hereto have set and subscribed their respective hands to
this document on the date herein above mentioned.
