This has reference to your application and subsequent interview with us. Accordingly, we are pleased to
appoint you as “Designation” in our organization based at “Delhi” with effect from Date.

In addition, you will be governed by the policies of the company applicable to your level/position which
is declared by the company from time to time. Please refer “Annexure-A” for your salary break-up. The
term and conditions of your employment are attached in “Annexure-B” which is an integral part of this
appointment letter.

It is clearly understood that you will work only for the company or our associate companies and will not
take up any employment or any place of profit with any other organization without prior sanction by the
management in writing.

STANDARD TERMS AND CONDITONS OF APPOINTMENT

1. CURRENT PLACE OF WORK & TRANSFERABILITY

You will be currently placed at (LOCATION) . However, during your tenure of service, you may at any
time be transferred to any other place of business of the company now existing or to be acquired in
future, from one department to another, from office to factory or factory to office, to any of our branches
or factories situated in India or abroad or any other associate concerns in India or abroad, in the same
or any other capacity as the Management may in its sole discretion deem it necessary, and on such
transfer you will governed by the rules & regulations of that location as the case may be.

2. PROBATION

You will be on probation for a period of Six (06) months and will so remain till such time as a letter of
confirmation is issued to you. The probation period may be curtailed or extended at the Management’s
discretion.

3. VERIFICATION

Your appointment and placement on the rolls of the company is on the basis the information furnished
by you in the bio-data form and otherwise, and in the event of such information furnished by you being
found materially in-accurate or false, your services are liable to immediate termination in addition to and
without prejudice to any whatsoever right of action the Company may have against you.

4. MEDICAL FITNESS

The continuance of this appointment will be subject to your remaining medically fit (physically and
mentally). You may be required, at any time during your services, to appear before a Medical Officer,
specified by the company.

5. LEAVE

During your tenure with the company you are entitled for following leaves in calendar year:

1. Casual Leave& Sick Leave (combined)- 12 days in a year


2. Earned Leave- 15 days in a year

Other than this you will also be entitled for festival/holidays in a year which will be declared in the
beginning of the year.

5. TERIMINATION OF SERVICES

After confirmation, notwithstanding any of the clauses this letter of appointment, the Management
reserves the right, in its sole discretion, of terminating your permanent services after giving you notice of
three (3) months except in case of physical or mental incapacity, interference, insubordination or
dishonesty or unauthorized absence or any other misconduct in which case, your services may be
terminated without any notice. However, during Probation, the notice period in sixty (60) days and it is
compulsory of the employees to serve full notice period.

Of such notice, ninety (90) continuous days physical presence on the job will need to be served. For
computing the physical presence of the sixty (60) days, intervening 4 Saturdays and company listed
declared holidays will be taken into account but EL/SL/CL will not be considered as being physically
present. Any leave taken during notice period (such as EL/CS/SL) will be not be counted towards notice
given by the employees.

Waiver off/Shortfall in the notice in the notice period may be accepted subject to approval by competent
authority. Similarly, you will be at liberty to resign from services after giving notice of two (2) months.
The management reserves in the right to accept your resignation with effect from such date as it may
deem fit, even before expiry of the period of the notice given by you.

6. RETIREMENT

You will be liable for retirement on attaining the age of fifty-eighty (58) years. However, after mutual
consent your services can be availed as a consultant (full time/part time) as per company’s requirement.

7. DUTIES & RESPONSIBILITIES

(a) During your services with the company, you will have the responsibility for the efficient, satisfactory
and economical operation in the area of responsibility that may be assigned to you, from time to time.

(b) The Management may place/transfer you on any assignment in any department/until/associate
concern of the Company, in or out of Delhi, as it may consider necessary, in its discretion, from time to
time.

(c) You will devote your entire time to the work of the Company and will not undertake any other
direct/indirect work or business, honorary or remunerable, except with the written permission from the
Management.

(d) You will be bound by the Code of Conduct and all other rules, regulations, policies, orders etc.
issued by the Company from time to time in relation to your conduct and discipline as if the amended
rules, regulations, polices orders etc. were a part of this contract of employment.

8. CONFIDENTIALITY

All information regarding the affairs or business matters of the Company (and of any other relevant
affiliate and/or business associate of the Company) – concepts, working methods, client portfolios,
strategies – that come to your knowledge by reasons of your employment, is deemed to be confidential
and must be considered a trade secret.

You shall be required to maintain strict confidentiality of such information and data that may come to
your possession or knowledge by virtue of the engagement, use it only as may be required in the
normal course of your work and shall not disclose or divulge any information or data, without prior
consent of an authorized officer of the Company.

You shall at all times keep the details of your salary and employment benefits at the Company strictly
confidential and shall not disclose such details to any other person within the Company.

You shall use the Company name, Logos, trademarks or other identifiers strictly in the manner
permitted by the Company’s policies or for the purposes of provision of Services delegated to you to the
extent required.

9. You will obtain the permission of your immediate past employer, if any, and the time of your joining
produce a clear discharge certificate from them.

10. It should be noted that notwithstanding anything to the contrary, this contract will be treated as
having been concluded at Delhi, Delhi for all intents and purposes.

11. NON-DISCLOSURE

ABC is working with various companies and 3rd parties. Any employees/member/shareholder other
personals related to that company or 3rd Party is a part of ABC Non-Disclosure Agreement (NDA)
signed separately.

As per ABC Non-Disclosure Agreement any Personnel who is signing this document (‘TTPL-NDA-1”) is
getting into a legal binding Non-disclosure Agreement with ABC counterparts.

12. JURISDICTION
The court at Delhi, Delhi India will have exclusive jurisdiction over the disputes arising between the
employees and the company. The applicable Law will be the Laws of India. It should be noted that
notwithstanding anything to the contrary, this contract will be treated as having been concluded in Delhi
for all intents and purposes.

13. GENERAL TERMS

You will disclosure and assign to the company forthwith any discoveries/invention made by you during
the tenure of your employment with the company and such discovery/invention will be the sole property
of the company.

The company reserves the right to change and modify any of these terms and conditions from time to
time.

Please return the duplicate copy of this letter duly signed as token of your having accepted the
appointment on the above terms and conditions.
