AGREEMENT FOR COOPERATION AND DEVELOPMENT SERVICES
This Agreement is entered into on this day [Insert Date] by and between:

collectively referred to as the "Parties".
RECITALS
WHEREAS, the Parties desire to collaborate for the development of services; and
WHEREAS, the Parties wish to establish a framework for their cooperation;
NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the
Parties agree as follows:
ARTICLE 1: PURPOSE AND SCOPE OF AGREEMENT
1.1 The purpose of this Agreement is to outline the terms and conditions for the provision of services by
[Company Name] (the "Service Provider") to [Client Name] (the "Client").
1.2 The scope of this Agreement includes, but is not limited to, the following:
* Development of software applications * Design and implementation of user interfaces * Testing and
quality assurance * Training and support services
ARTICLE 2: TERMS AND CONDITIONS
2.1 Term. This Agreement shall commence on the Effective Date and continue for a period of [Length

disclosed by the Client during the term of this Agreement.
ARTICLE 3: RIGHTS AND OBLIGATIONS
3.1 Obligations of the Service Provider:

comply with all applicable laws and regulations * The Service Provider shall keep confidential all
confidential information disclosed by the Client during the term of this Agreement

accurate and complete information to the Service Provider * The Client shall pay all fees and expenses
in accordance with Article 2
ARTICLE 4: COMPLIANCE REQUIREMENTS
4.1 Compliance with Laws. Both Parties shall comply with all applicable laws, regulations, and
standards.
4.2 Intellectual Property Rights. Neither Party shall infringe on the intellectual property rights of the
other Party during the term of this Agreement.
4.3 Confidentiality. The Service Provider shall maintain the confidentiality of all confidential information
disclosed by the Client during the term of this Agreement.
ARTICLE 5: TERMINATION
5.1 Termination for Default. Either Party may terminate this Agreement upon written notice to the other
Party if the other Party fails to perform any obligation under this Agreement in a material manner.
5.2 Termination by Mutual Consent. Both Parties may terminate this Agreement upon mutual written
consent.
ARTICLE 6: DISPUTE RESOLUTION
6.1 Dispute Resolution. Any disputes arising out of or related to this Agreement shall be resolved
through binding arbitration in accordance with the rules of the [Arbitration Association].
ARTICLE 7: GOVERNING LAW AND JURISDICTION
7.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of
