UNDERTAKING BY THE APPLICANT AND TERMS & CONDITION GOVERNING THE APPLICATION

1. I/we undertake that I/we have clearly understood that the application does not constitute an
Agreement for Sale and that I/we do not become entitled to the provisional and/ or final allotment of
a Unit notwithstanding the fact that the Company has issued a receipt in acknowledgment of the
money tendered with this application. It is only after the signing and execution of the allotment letter
on the Company’s standard format agreeing to abide by the terms and conditions laid down therein,
that allotment shall become final and binding.

I/we acknowledge that the Company has provided all the information and clarifications as sought by
me/us and I/we are satisfied with the same. I/we have relied on my/our own judgment and conducted
necessary inquiries before deciding to apply for purchase of the said Unit, and not relied upon nor
influenced by any architect(s) plans, advertisements, representations, warranties, statements or
estimates of any nature whatsoever, whether oral or written, made by the Company or by any selling
agents /brokers or otherwise including but not limited to any representations relating to the description
or physical condition of the said complex/ Unit. I/we understand that this application is complete and
self-contained in all respects and no oral or any written representation or statement shall be considered
constituting part of the application.

I/we do hereby agree to abide by all the terms and conditions, including those relating to payment of
consideration for agreement to sale and other charges, forfeiture of money as laid down herein and the
execution of the allotment letter.

I/we also understand/ undertake:

a) By submitting this application, I/We agree to accept a provisional offer of interest for a unit in your
scheme/project, pending formal allotment upon application acceptance.

b) That the said advance paid by me/us would be adjusted against the booking amount payable by
me/us as and when your offer of booking for the Unit is made to me/us.

C) I/we agree that if there does exist any variation in the area of the Unit available at the time of
booking/allotment then in such case the payment for the excess/shortfall in area shall be
paid/refunded, as the case may be, proportionately at the same rate as agreed herein. Provided that, the
Company reserves the right to make minor modifications to unit layouts and specifications at its sole
discretion, provided such changes do not alter the approved project blueprints. Any modifications will be
minimal and will not affect the overall design or structure of the unit.

However, should such variation in area be unacceptable to me/us our provisional registration shall be
treated as cancelled and I/we shall be left with no right, lien or interest herein save and except to claim
1. refund of the actual amount paid by me/us.

d) That the Company at all times reserve its right to reject my/our application and cancel my/our
provisional registration without assigning any reason thereof and in such event I shall only be entitled to
refund of the advance paid by me.

e) By signing this booking Form, I/We confirm receipt and acknowledgment of the Floor Plans. We
acknowledge the fact that the Company reserves the right to make minor modifications to unit layouts
and specifications at its sole discretion, provided such changes do not alter the approved project
blueprints. Any modifications will be minimal and will not affect the overall design or structure of the unit.

(f) I/we understand that the Company shall allot me/us the Unit at a Basic Selling Price (BSP)
of only). Rs. _______________(Rupees __________________________ only In addition, I/we agree that:

(i) The above price is exclusive of taxes. Taxes shall be charged extra paid by the allottee at applicable
rates.
(ii) All other charges like maintenance charges for requisite period, electricity charges (Rs. 90,000
towards electricity connection), infrastructure tax (Rs. 85 per sq.ft. to be charged as per Super Built Up
Area) and such other charges as may be determined by the Company for all allottees shall be charged
extra.
(iii) An amount of money shall be paid me/us towards application amount at the time of submission of
this application, which shall be adjusted towards allotment amount as calculated by the Company within
30 days from the date of allotment of a unit in a project, subject to i/us being allotted a unit in a project.
(iv) Allotment of the Unit shall thereafter be made in my/our favour upon further payment of balance
allotment amount as calculated by the Company.
(v) Allotment shall be subject to due execution of the Company’s Agreement in its standard format
including maintenance agreement, interior agreement and any other agreement and acceptance by
me/us of all the terms and conditions of the company.

(g) I/we agree that in the event of default in making payment of any installment amounts as
demanded by the Company, or of any other terms and conditions agreed herein, my/our provisional
registration shall be treated as cancelled and I/we shall be left with no right, lien or interest herein save
and except to claim refund of the actual amount paid by me/us subject to retention by the company of
15% of the basic price of the Unit (which will include Cost of Unit, Cost of Interior and cost of furniture), as
earnest money.

(h) I/we also understand/undertake conclusively to have agreed to comply with and be bound by
all the terms and conditions of the Interior Agreement which forms an integral part of the allotment of the
1. said unit.

2. The timely payment of installments as indicated in the Payment Plan is the essence of the
scheme.
If any installment is not paid as per the plan, the Company will charge interest @ 12% p.a. on the delayed
payment for the period of delay. Without prejudice to the right to charge interest, if the applicant/allottee
is in default of the payment and remains in default despite three reminders by the Company, the
Company shall have the right to give a 15-day notice to the applicant/allottee of the Company's right to
terminate the allotment. If the applicant/allottee fails to make the full and complete payment of the
default amount and arrears, the Company shall be entitled to terminate this allotment and agreement.
The allottee will have no lien on the Unit. Upon termination, the amount deposited towards the basic price
of the Unit (which includes cost of interior as well as cost of furniture), consisting of the earnest money will
stand retained by the Company upto 15% of the basic price of the Unit (which includes cost of unit, cost
of interior and cost of furniture) and the balance amount paid, if any, will be returned without any interest.
However, in exceptional and genuine circumstances the Company may, at its sole discretion, condone
the delay in the payment exceeding two installments by charging interest @ 12% p.a and restore the
allotment in case it has not been allotted to someone else. In such a situation, an alternate Unit, if
available, may be offered in lieu of the same.

3. The Company agrees to complete the construction of the Property within a period of three (3)
years from the date of issuance of the construction license, subject to force majeure events or any
unforeseen circumstances beyond the control of the Company. In the event of any delays, the Developer
shall promptly notify the Allottee of the revised completion timeline.

4. In case the applicant, at any time, desires for cancellation of the allotment, it may be agreed to at
the sole discretion of the Company, and in such case 15% of the basic price of the Unit (which will include
cost of unit, Cost of Interior and cost of furniture), consisting the earnest money, will be forfeited and the
balance, if any will be refunded without any interest.

5. In any case the allottee is availing Bank Loan, the allottee should disclose the same right at the
start while booking the unit, and all documents of the specified bank should be submitted at the time of
booking.

Also, the company shall facilitate the process in subject to the following.
(i) The terms of financing agency shall exclusively be binding and applicable only upon the allottee .
(ii) The Allottee will have to ensure and be solely responsible for making all the arrangement for
payments to the Company and the allottee shall be solely held responsible by the company in case of
delayed payments. In the event of loan not being sanctioned or the disbursement of the payment getting
delayed by the bank and its agencies,the allottee shall be solely responsibility towards the company,
failing which the allottee shall be governed by the provision contained in clause 2 above.

6. In case of transfer of allotment of Unit, a transfer fee @ 5% of total sale value of the unit will be
charged by the Company & shall be payable by the allottee to the Company.

7. The amount paid by the allottee to the Company to the extent of 15% of the basic price of the Unit
(which includes Cost of unit, cost of interior and cost of furniture) shall constitute the earnest money which
may be forfeited in case of non-fulfillment of the terms of allotment.

8. The allottee shall take the possession of unit within 15 days of the offer of possession made to him
by the Promoter in writing through Notice for the offer of possession. In case allottee fails to take
possession within the prescribed time provided for in the Notice for offer of possession, allottee shall be
liable to pay holding charges @ Rs. 10/- per sq. ft. per month of the carpet area of the unit allotted to him
and shall be payable by the allottee for the entire period beyond such as provided for in the notice for the
offer of possession within which the allottee has been advised to take the possession.

9. The Courts in Goa shall have sole jurisdiction for adjudication of all matters arising, if any, in
connection with this Application.

10. Within 45 to 90 days following the issue of the possession kit for the Unit, the maintenance period
shall be deemed to have commenced.

I/We hereby acknowledge and agree that the applicable maintenance charges, as per the agreed terms,
shall be automatically debited from my/our designated bank account on the due date without any further
notice. I/We further undertake to ensure sufficient funds are maintained in the designated account to
facilitate such debits.

Declaration: I/we hereby declare that I/we have gone through the terms & conditions of allotment and
I/we agree and undertake to abide by them, and will sign the Agreement for Sale as and when called upon
to sign by the Company. I/we, the aforesaid Applicant/s, do hereby declare that my/our application for
allotment is irrevocable and that the particulars given above are true & correct and nothing has been
concealed therefrom.

INTERPRETATIONS OF SOME INDICATIVE TERMS
(For all intents and purposes of terms and conditions set out in this Application form, singular includes plural and
Masculine includes feminine gender.)

APPLICANT: Means person(s), applying for allotment of the said Unit, whose particulars are set out in the booking
application form and who has appended his/her signature in acknowledgment of having agreed to the terms &
conditions of the booking application form

APPLICATION (BOOKING APPLICATION): A request for allotment of Unit made by the on a standard format,
namely Booking Application Form of the C o m p a n y . I n case of more than one applicant the other will be
considered as co-applicant, and prior to issue of the allotment letter they will be considered as intending
allottee(s). Not legally binding on the parties as it is not an agreement but only a request to be allotted a unit in
the project.

ALLOTMENT LETTER: Confirmation of booking of Unit by the Company and an agreement over a standard
prescribed format of the Company which is duly executed between the company and the allottee.

ALLOTTEE(S): Those who have executed the allotment letter over a standard format of the Company and
thereafter a particular Unit(s) has been reserved for that particular allottee(s), and who have agreed to abide by
all the terms and conditions till the time the indenture of conveyance is executed. In case of more than one
applicant the other will be considered as co-allottee(s) and the allottee and the co-allottee(s) will have an equal
share in the Unit.

UNIT: The dwelling Unit in the project which is identified by a numberr, which number is also identifying the block
of that Unit. ‘Said Unit’ shall mean the specific Unit applied for by the applicant in the said Project, details of which
has been set out in the application. 'Unit' does not include interior works, furniture and furnishings. These are
available by way of a separate transaction and contract.

PAYMENT PLANS: These are the modes of payment towards the captioned booking of Units having mode,
intervals and the time frame for the payment which is also prescribed in the price list of the project.

MAINTENANCE CHARGES: Means the charges to be paid by the applicant(s) for the maintenance and upkeep of
the said project as per the Payment Plan to the Company or to the maintenance agency at prescribed rates on
the super built-up area of the said Unit, payable an annual basis.

TAXES: Shall be any and all prevailing taxes payable by the Company or the taxes going to be attributed in future,
by way of value added tax, state tax, central sales tax, works contract tax, workers welfare cess/fund, service tax
cess, educational cess, G.S.T. or any other taxes/ charges or levies by whatever name referred, in connection
with the development/construction of the said Unit.
