EMPLOYMENT CONTRACT
(TERMS AND CONDITIONS)

I, E R I C A . V I L L A M E R do hereby agree with the terms and conditions so stipulated


hereunder as part of my employment relationship with (company) SIMBA-DAC SOLUTIONS, INC.
1. I hereby accept my employment as SORTER of SIMBA-DAC SOLUTIONS INC. to
be deployed at NINJA VAN effective NOV TO

2. That my employment is contractual in nature for a period of Five (6) months subject to performance
evaluation. Failure on your part to meet the company standard qualification for regularization
within a minimum of Three (3) months and a maximum of Five (6) months will be a ground for the
termination of this employment contract.

3. I hereby submit myself and do hereby agree to work (__) days a week, and I do subscribe to be a
DAILY WAGE WORKER and will receive a minimum rate prescribed in the place of my
deployment and agree to a NO WORK NO PAY basis as prescribed by the Labor Code. For this
purpose, I also hereby waived my right to select the rest day of my choice and instead obey the
company rest day schedule. Moreover, should I be deployed to a client with a rotating rest day
scheduled, then, I will also abide to follow as stated.

4. I expressly acknowledge that there is no employer-employee relationship between me and the


establishment to where I may be deployed.

5. I hereby bind myself to comply/submit all the pre-employment requirements necessary such as the
original copy of my latest medical Certificate and physical examination result with FIT TO
WORK, Drug test result, Police Clearance, NBI, Barangay clearance, SSS, Pag- Ibig, Philhealth
ID/No., updated personal information and all other documents that may be required of me by
(company) SIMBA-DAC SOLUTIONS, INC.

6. I hereby bind myself to obey all laws governing the operations and strictly follow and observe the
company Policy, Standard Operating Procedures, Code of Ethics; Code of Discipline; as well as
the client’s Rules and Regulations.

7. That by the very nature of my job, I am willing and hereby agree to be deployed anytime, anywhere
my company deems it necessary. I will agree that my work deployment to the Client is not
permanent in nature and I ‘am willing to be re-deployed to another client and/or post in the event
that the contract between the company and its client is terminated. In this case, I’m willing to wait
for re-deployment or submit voluntary resignation if I preferred to be separated.

8. I hereby bind myself to perform with integrity and honesty my duties and obligations to Simba-dac
Solutions and/or to its client where I may be deployed and by the very nature of my job.

9. I do hereby agree to indemnify SIMBA-DAC SOLUTIONS, INC., and/or authorized the same to
deduct from my salary the cost of loss/es and damage/s of any kind and/or liabilities that may be
suffered by the same and/or its client as the result of my fault or attributable to my negligence in
the discharge of my assigned duties and responsibilities, including damages or losses suffered by
its client that are attributable to the fault or negligence of the section or department where I may be
assigned under shared liability rules and regulation.

10. I hereby agree to treat any and all information derived out of this employment contract relationship
(the “information”) as strictly confidential, whether such information was received or derived orally
or in writing and whether or not the information is expressly stated to be confidential. I shall not in
any manner or in any way divulge or release the same to anyone unless previously authorized by
SIMBA-DAC SOLUTIONS, INC. and CLIENT, and to keep confidential the information during
and shall extend even beyond the expiration of my employment and until such information loses
its confidentiality.

11. I hereby give consent to Simba-dac Solutions Inc. to disclose my personal and sensitive
information kept on my 201 files to a third party or entity that is necessary and compatible with
declared, specified and legitimate purpose, in compliance with RA 10173, known as the “Data
Privacy Act of 2012”.

12. I hereby authorized SIMBA-DAC SOLUTIONS, INC. to hold within (30) days my last Salary and
13th Month Pay as the company mandated clearance period for any monetary and property
accountability/s that I may be responsible and/or accountable for upon resignation and /or
termination of my employment.

13. I hereby authorized (company) SIMBA-DAC SOLUTIONS, INC. to make inquiries and/or
investigations in the community where I live and had lived; my previous employer/s regarding any
and all information/s or data concerning me; my financial and credit records; my medical records,
including all information of confidential or privileged in nature, to determine my qualifications and
fitness for the position that I am applying/holding with the (company) SIMBA-DAC SOLUTIONS,
INC. That I do hereby release (company) SIMBA-DAC SOLUTIONS, INC., its establishments, all
officers from any and all liabilities and/or damages which may result from furnishing the
information herein stated.

14. In case of leave or absences, failure on my part to inform my company and /or its representative
in compliance with Paragraph (6) of this undertaking, I will be declared (AWOL) Absent Without
Official Leave, and failure on my part to report within Three (3) days without justifiable and
acceptable cause will be considered as a waiver of my rights to due process and will constitute as
an abandonment of work, and will serve as a sufficient ground to terminate my employment.

15. In case I am no longer interested in continuing my employment or work with the Company, I am
hereby required to submit an advance notice of voluntary resignation thirty (30) days prior to its
effectivity date. Failure on my part to do so will serve as sufficient ground for the forfeiture of my
last salary as a penalty.

16. I ‘am willing to voluntarily submit myself to the company due process procedure, re-orientation
and counseling if I was found/reported to be:
a.) Unsatisfactory or incompetent in my assigned work: (Inability to perform or attain the
required performance standard expected by the client in my assigned job).
b.) Violated of the company Policy, Standard Operating Procedure, Code of Discipline and
any existing laws.
c.) Has committed any of the acts considered as just cause and/or in the exercise of
management prerogative by using the authorized causes.
d.) When there is no work available and/or upon the termination of the service contract:

17. I will respect and voluntarily accept the consequences of my failure to meet the required
performance standard set forth and the corresponding penalty for violating the company Code of
Discipline and Policies.

Rationale:

Simba-dac Solutions, Inc. is mandated to ensure the growth and continuity of a company
objective in the interest and benefits of all its employees and good services to clients. Towards this
end, and to assure that objectives are attained, employees, in turn, should be able to do their
assigned work efficiently and effectively. Effective performance is achievable by professional and
disciplined personnel with good working behavior. Guidelines are necessary to define everyone’s
action, for the smooth delivery of the services contracted for, and for fair and objective decisions.

This is the rationale for the SSI Management's rights and duty to enforce rules
concerning employees’ conduct and behavior.
From time to time additional rules or amendments may be issued as deemed necessary
which shall be publicized through notices.

Policy:
All employees regardless of rank and position, who commit any of the following
offenses or violations shall be disciplined in accordance with penalties set forth hereunder. It does
not contain all possible offenses, but only basic pattern rules of conduct for the individual
employee. An offense other than listed herein may be used when it more aptly describes the offense
committed and will be assigned a penalty comparable to the listed offense of similar gravity.

PRESCRIPTION OF OFFENSES AND PENALTIES:

A. Offense Against Policies Related to: (Attendance and Punctuality, Working Hours and Daily
Time Record, Overtime).
a) Habitual Tardiness - 5 times whether consecutive or intermittent in 1 month. (Light to Grave
Offense)
b) Habitual Absences – 5 times absent in 1 month period. (Light to Grave Offense)
c) Absences without Official Leave (AWOL) – Failure to inform the office of a leave of absence/s.
(Light to Grave Offense)
d) Overtime without official or prior approval – Rendering Overtime without official or prior
approval, depending on the impact it caused. (Light to Grave Offense)
e) Failure to report for overtime – Failure to report for overtime after having duly advised and
scheduled to work according to overtime policy or cutting short the agreed time of overtime
without justifiable reason. (Medium Offense)
f) Unauthorized absence from the workplace - Unauthorized absence from the workplace includes
loitering, leaving the worker’s workplace before the end of working hours, exceeding break
periods, sleeping and playing games during work hours. (Medium Offense)
g) Malingering or feigning illness – Malingering or feigning illness to avoid doing assigned work
or reporting for work. (Medium Offense)
h) Tampering or altering Time Record – Tampering or altering Time Record. (Serious Offense)
i) Failure to log in and out – Failure to log in and out might be intentional or habitual forgetfulness.
(Light Offense)

PENALTIES for (Light to Grave Offenses)


1st Offense – Written Warning, 2nd Offense – 3 days Suspension, 3rd Offense - 6 days Suspension
4th Offense – 15 days Suspension, 5th Offense- Dismissal
AWOL – (1-2 consecutive days, Written Warning), (3-6 consecutive days, 6 days Suspension),
(7-15 consecutive days, Dismissal), if in consecutive days, management discretion.

B. Offenses against company and co-workers' property.


a) Misappropriation or malversation of company and/or client’s entrusted funds or property, of a
fellow employee regardless of the amount involved. (Grave Offense)
b) Delaying remittance of collections without justifiable reason. (Serious Offense)
c) Failure or inability to liquidate expenses within the period required. (Medium Offense)
d) Non-remittance or stealing of accountable funds/or collection. (Grave Offense)
e) Damage to company property, whether office equipment, supplies, or facilities, willful or through
negligence or improper use depending on the result of the investigation the employee shall be
liable for restitution of the value of the damaged property or cost of repairs incurred. (Serious
Offense)
f) Unauthorized use of materials, supplies, equipment, and facilities, including vehicles. (Medium
Offense)
g) Vandalism (writing, drawing, carving on walls, desks, tables and other furniture). (Medium
Offense)
h) Forgery and/or fraud, including falsification of official reports, including but not limited to
official receipts, signature of client’s representative, fellow workers and others. (Grave Offense)
i) Falsification or unauthorized alteration of personnel or company records and/or using said
falsified records for personal gain or benefit including time records and data from biometrics or
similar system. (Serious Offense)
j) Theft (including attempted) of the company and/or client’s property and/or its customers. This
also includes stealing money or personal valuables from co-employees. (Grave Offense)
k) Unauthorized removal of any company property from its designated location inside the premises
or bringing out company and/or client’s property without proper authorization. (Grave Offense)
i) Using company time and/or material and/or equipment to do unauthorized work within or
outside the premises, for personal gain which includes using the company and /or client’s time
and facilities for other non-work-related activities. (Medium Offense)

C. Offenses against Health, Safety and Security


a) Reporting for work under the influence of alcohol or prohibited drugs. (Grave Offense)
b) Taking prohibited drugs within the company and/or client premises. (Grave Offense)
c) Carrying firearms, explosives, other deadly weapons, or other non-job-related materials or gadgets
inside the company and/or Client premises without permission from the Management. (Serious
Offense)
d) Failure to wear designated uniform and ID. (Light Offense)
e) Willful disregard of office directives relating to sanitary conditions, cleanliness and orderliness of
the office, security of office supplies and equipment, or performing any act contributing to
unsanitary condition or practice on company premises. (Light Offense)
f) Failure to report immediately a personal injury occurring on company premises or property.
(Light Offense)
g) Failure to report or willful withholding of information about personal sickness or disease that is
contagious in nature which might endanger the health of the co-employees. (Serious Offense)
h) Failure or refusal to undergo Annual Physical Examination, Drug Test and other required medical
examination as scheduled and failure to obey Physician’s advice as ordered by the Management.
(Medium Offense)
i) Failure or deliberately ignoring to observe proper hygiene such as proper haircut, no
mustache, clean fingernails, clean uniform and shoes. (Light Offense)

D. Offenses against co-worker or person


a) Attempt to inflict physical injury to any employee or person while within or outside company
property or premises or jobsites where such outside incident has relation to work or company
activities. (Serious Offense)
b) Inflicting physical injury on any employee or person, or having in fact inflicted physical injury
while within or outside company property or premises or jobsites where such outside incident has
relation to work or company activities. (Grave Offense)
c) Commission of a crime or offense by the employee against the person of his employer or any
immediate member of his family or his duly authorized representative. (Grave Offense)
d) Any act constituting threat, intimidation or coercion against any person, or in any manner unduly
interfering with or obstructing the company’s operations or other employees from performing
their work while within company property or premises or jobsites. (Serious Offense)
e) Fighting or actually engaging another in a fight while within or outside company property or
premises or job sites provided such outside incident has relation to work or has arisen while inside
company premises. (Serious Offense)
f) Inciting or provoking a fight, but where a fight does not actually occur. (Medium Offense)
g) Persistently telling smutty jokes that are found offensive by others within office premises.
(Medium Offense)
h) Any immoral act by the employee by himself or with another person; including but not limited to
sexual harassment committed within company property or premises. (Grave Offense)

E. Offenses against effectiveness, efficiency and quality work


a) Failure to perform with the required standards of Performance after going through mentoring,
coaching and counseling within the prescribed and agreed period. (Grave Offense)
• Supervisory/TL: Two (2) Consecutive – Needs Improvement (NI) in a semi-annual
performance period.
• Rank and File: Needs Improvement in a semi-annual performance.
b) Negligence or failure to perform the duties and responsibilities prescribed in the job description.
(Medium Offense)
c) Negligence in performance of work resulting in monetary loss or damage to the company and/or
client’s property. (Medium Offense)
• Depending on the amount and/ or damage may lead to dismissal.
d) Failure to comply and conform to the standard procedures and processes prescribed. (Medium
Offense)
e) Loitering, wasting time, loafing or sleeping during working hours. (Medium Offense)
• Idleness, leaving work assignment without proper authorization, Unauthorized
participation in activities during working hours which are outside assigned duties or at
any time within company premises.

F. Offenses against Authority (disrespect to Authority resulting in insubordination)


a) Insubordination or willful disregard of valid orders of immediate superiors within line of work.
This includes deliberate slowing down, hindering or limiting work output, including delaying the
submission of reports. (Medium Offense)
b) Refusing to accept job assignment, transfer or relocation without justifiable reason. (Medium
Offense)
c) Willful disobedience of any of company policies and orders and any of its Supervisors and/or
Managers. (Medium Offense)
d) Any act constituting disrespect and disregard of the authority of its superiors and managers.

e) Any act which constitutes resistance, threat, intimidation and assault against a person of authority.

G. Offenses against the company's Interest and Policy.


a) Unauthorized collection or receiving of fees, commission from clients, its customers or suppliers.

b) Giving false statements or withholding of information of any kind including applications for
employment, personal records, and company/client’s documents or during company investigation
or inquiry whether under oath or not. (Grave Offense)
c) Making malicious and derogatory or false statements and accusations toward the good name of
the company/client its management and staff and to its services. (Grave Offense)
d) Disclosure of confidential data or information including trade secrets of the company or client.

e) Non-disclosure of relationship in the following situation: (Grave Offense)
• During employment (relationship with the current employees)
• During engagement of professional services.
f) Engagement in continuous and recurring outside occupation or employment conflicting with
duties and working hours without the consent and approval of the General Manager. (Medium

g) Expending by using company or client funds for alcohol drinks, or personal fines/tickets.

h) Dishonesty by performing an act or practice of telling a lie, or of cheating, deceiving with an intent

i) Favoring suppliers, customers or any other person in consideration of kickbacks, personal rebates
or any valuable consideration. (Grave Offense)
j) Offering or accepting anything of value from co-worker or another person in exchange for

k) Sabotage by any means which causes the company and/or its client’s operation, production,
deliveries, distributions and other related important activities to be hampered/delayed. (Grave

l) Unauthorized possession, duplication/reproduction or sale and use of the company and/or client’s
uniform or any materials, product, supplies, equipment bearing the company’s name, logo. (Grave

m) Deliberate destruction and/or cause damage or loss of company or client’s property. (Grave

n) Breach of trust and confidence reposed by the company and/or client to the employee. (Grave

o) Directly reporting to the client of any issue/s which should be within the employer’s responsibility

of this Code of Discipline or other existing rules and regulations or policies of the company in
connection with the duty or function of the employee allowing himself to be persuaded, induced,

b) Any and all acts constituting sexual harassment and/or any motives committed against co-
employees regardless of position, rank or gender. (Grave Offense)
c) Conduct of grossly scandalous or indecent nature or using rude, profane or indecent language in
addressing another person within the company and/or client premises or property. (Medium

d) Any act constituting an offense against honor (libel, defamation, slander) committed while in the
company and/or client premises or in relation to work. (Grave Offense)
e) Conviction of other criminal or civil offenses including moral turpitude by any court. (Grave

A. Definition of Terms

Dismissal > discharge from duty or termination from employment and forfeiture of all benefits.
Suspension > temporary cessation of office or duty for a specified number of days without
salary;
Written Warning > previous notice and reminder has been repeatedly made, so that written
advice and caution will be served which shall be constructed that a higher penalty will be given
to concerned employee should he/she not adhere to the warning and amend his/her behavior.

TO DISCLOSE PERSONAL AND SENSITIVE INFORMATION

personal and sensitive information kept on my 201 files to a third party or entity that is necessary
and compatible with declared, specified and legitimate purpose.

Further, I reserve my right to withdraw this consent by sending a written notice to Simba–
dac Solutions to further disclose to a third party or entity my personal and sensitive information in
its custody.

This waiver is form part of my employment contract.

ACCIDENT INSURANCE ENROLLMENT WITH AUTHORIZATION TO DEDUCT

I, _________________________, an employee of Simba-dac Solutions Inc. requesting to


be enrolled in the Accident Insurance of the company under Sunlife of Canada.

I fully understand that this membership and entitlement to the benefit entails premium
payment of P_____ quarterly and it will be paid through salary deduction in the amount

I am fully aware that the insurance benefits cover accident reimbursement and/or death
benefits.

However, I do understand that upon resignation/separation from the company, my


membership will be terminated unless I opted to continue voluntarily.
