We are a data processor for merchant stores and a data controller for our own business operations. We maintain SOC 2 Type II compliance and host all services on Laravel Cloud infrastructure in the United States.

This policy covers two distinct groups:
- Merchant Clients: Businesses that use CMS Max platforms to operate their e-commerce stores
- End Customers: Individuals who shop on merchant stores powered by CMS Max

1 Information from Merchant Clients
Account and Business Information
- Business name, address, and tax identification number (EIN)
- Contact person name, email address, and phone number
- Bank account details for payment processing via Stripe Connect
- Industry-specific information (e.g., liquor license numbers for Liquor Max clients)
- Account credentials (passwords are encrypted and never stored in plain text)
Store Content and Configuration
- Product catalogs, inventory data, and pricing information
- Store design preferences and customizations
- Marketing content and promotional materials
- Domain names and DNS configuration
Transaction and Business Data
- Sales transactions, order details, and revenue data
- Customer information processed through merchant stores
- Subscription and billing information for CMS Max services
- Support tickets and communication history
2 Information from End Customers (On Behalf of Merchants)
Order and Account Information
- Name, email address, and phone number
- Billing and shipping addresses
- Order history and purchase preferences
- Account credentials for customer accounts (encrypted)
Payment Information
- Credit card information (processed and stored securely by Stripe; CMS Max never stores full card numbers)
- Payment transaction details and history

- Date of birth for age-restricted products (alcohol, tobacco, etc.)
- ID verification data as required by law for certain product categories
3 Technical and Usage Information (All Users)
We automatically collect certain technical information when you use our services:

- Device type, operating system, and screen resolution
- Pages visited, links clicked, and navigation patterns

Service Providers and Integrations
We share data with trusted third-party providers who help us operate our platform:

- Google Merchant Center: Product listing synchronization

Merchants and Their Customers
Customer data collected through merchant stores is shared with those merchants so they can fulfill orders and manage their business. Merchants are independent data controllers for their customer data.

HIPAA Compliance (Ambulance Max Clients Only)
This section applies only to clients using Ambulance Max who are covered entities under HIPAA regulations. For these clients, CMS Max acts as a Business Associate and complies with all applicable HIPAA requirements.
As a Business Associate, CMS Max will:
- Use and disclose Protected Health Information (PHI) only as permitted by law and our Business Associate Agreement
- Implement appropriate administrative, physical, and technical safeguards to protect PHI
- Report any security incidents or breaches promptly to covered entities
- Ensure subcontractors and agents comply with HIPAA requirements
- Make PHI available to individuals as required by HIPAA
- Maintain records of PHI disclosures for up to six years
- Return or destroy PHI upon contract termination (unless retention is required by law)
Covered entities using Ambulance Max must execute a separate Business Associate Agreement with CMS Max before any PHI is transmitted.
International Data Transfers
CMS Max operates in the United States, and all data is hosted on Laravel Cloud servers in the United States. If you access our services from outside the United States, your information will be transferred to, stored, and processed in the United States.
For users in the European Economic Area (EEA), United Kingdom, or Switzerland, we rely on standard contractual clauses approved by the European Commission to ensure adequate protection of your personal information during international transfers.
Children's Privacy
Our services are not directed to individuals under the age of 18 (or 21 for alcohol-related platforms like Liquor Max). We do not knowingly collect personal information from children. If we become aware that we have collected personal information from a child, we will take steps to delete such information promptly.
Changes to This Privacy Policy
We may update this Privacy Policy from time to time to reflect changes in our practices, technology, legal requirements, or other factors. We will notify you of significant changes by:

1. Acceptance of Terms
These Terms of Service constitute a legally binding agreement between you and CMS Max Inc. ("CMS Max," "we," "us," or "our") governing your use of our e-commerce platforms, including but not limited to Liquor Max, CMS Apex, Chamber Max, Ambulance Max, Maxforms, Max Payments, Nexus Connector, and related services (collectively, the "Services").
By accessing or using our Services, you agree to:
- Be bound by these Terms of Service
- Comply with all applicable laws and regulations
- Be at least 18 years of age (or 21 years for alcohol-related services)
- Have the authority to enter into this agreement

2. Description of Services
CMS Max provides multi-tenant SaaS e-commerce platforms and related services:
Liquor Max
E-commerce platform for liquor stores specializing in wine, spirits, cider, and sake.
CMS Apex
E-commerce platform for CBD, vape, and related retail businesses.
Chamber Max
Chamber of commerce website platform (launching 2026).
Ambulance Max
Platform for ambulance and medical transport services.
Maxforms
Form builder tool for creating and managing online forms.
Additional Services
Max Payments (payment processing), Nexus Connector (POS integration), hosting, and support services.
We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time with reasonable notice to active users.
3. Account Registration and Security
Registration Requirements
To use our Services, you must:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Choose a strong password and keep it confidential
- Have authority to bind your business (if registering for a business account)
- Provide valid tax identification numbers and business documentation as required
Account Security
You are responsible for:
- All activity that occurs under your account
- Maintaining the confidentiality of your login credentials
- Notifying us immediately of any unauthorized access or security breach
- Ensuring compliance with these Terms by anyone using your account
CMS Max is not liable for losses resulting from unauthorized use of your account due to your failure to maintain security.
Account Termination
You may terminate your account at any time. CMS Max may suspend or terminate your account for violation of these Terms, non-payment, or illegal activity. Upon termination, you remain liable for all charges incurred before termination.
4. Age Requirements
Age requirements vary by service:
- Liquor Max: You must be at least 21 years old (or the legal drinking age in your jurisdiction) to use this service or purchase alcohol products.
- CMS Apex: You must be at least 21 years old (or the legal age for tobacco/CBD products in your jurisdiction).
- All Other Services: You must be at least 18 years old.
Merchants are responsible for verifying customer ages for age-restricted products and complying with all applicable laws.
5. Acceptable Use Policy
You agree to use our Services only for lawful purposes and in accordance with these Terms. You will not:
Prohibited Activities
- Violate any local, state, federal, or international law or regulation
- Infringe on intellectual property rights of others
- Upload or transmit viruses, malware, or malicious code
- Attempt to gain unauthorized access to our systems or networks
- Use automated systems (bots, scrapers) without our express permission
- Interfere with or disrupt the Services or servers
- Harvest or collect user information without consent
- Impersonate any person or entity
- Engage in fraudulent activities or money laundering
Prohibited Content
You will not upload, post, or transmit content that:
- Is illegal, harmful, threatening, abusive, harassing, defamatory, or hateful
- Infringes on patents, trademarks, copyrights, or trade secrets
- Contains false or misleading information
- Promotes illegal activities or violence
- Invades privacy or violates data protection laws
Product Restrictions
Merchants must ensure their products comply with all applicable laws and their payment processor's terms. Prohibited products typically include (but are not limited to): illegal drugs, weapons, counterfeit goods, stolen property, and items that violate third-party rights.
6. Merchant Responsibilities
Legal Compliance
As a merchant using our platform, you are responsible for:
- Obtaining all necessary licenses and permits for your business
- Complying with all applicable laws, including age verification for restricted products
- Collecting and remitting all applicable taxes (though CMS Max provides TaxJar integration to assist)
- Maintaining proper business insurance
- Complying with consumer protection laws and regulations
Product Listings
You are responsible for the accuracy, legality, and quality of all product information, images, descriptions, and pricing. You warrant that you have the right to sell all products listed on your store.
Customer Service
You are responsible for providing customer service to your customers, including handling returns, refunds, and disputes in accordance with your stated policies and applicable law.
Payment Processing Compliance
CMS Max allows you to integrate with payment processors of your choosing (including Stripe via Max Payments). You are solely responsible for ensuring that your chosen payment processor permits the sale of your products and services.
CMS Max does not monitor, review, or police the legality or compliance of your offerings. If you sell products or services prohibited by your bank, payment processor, or applicable law, CMS Max bears no responsibility or liability.
7. Payment Terms
Subscription Fees
CMS Max subscription fees are billed monthly on the 1st of each month following your service start date. Payment terms:
- Invoices are sent via electronic billing
- You may set up automatic recurring payments or pay manually
- Manual payments are due within 10 days of invoice date
- Accounts unpaid after 30 days are subject to a 3% late penalty per 30-day period
- Accounts more than 90 days past due may be automatically suspended
Payment Processing
For merchants using Max Payments (Stripe Connect):
- Customer payments are processed through Stripe
- CMS Max may receive payment processing residuals as configured
- Payouts are subject to Stripe's terms and payout schedule
- You are responsible for maintaining a valid bank account for payouts
Refunds and Chargebacks
CMS Max subscription fees are generally non-refundable. For merchant transactions:
- Refund policies are determined by each merchant
- Merchants are responsible for handling customer refunds
- Chargebacks may result in fees and account review
- Excessive chargebacks may result in account suspension
Credit Card Disputes
If you dispute a credit card charge for CMS Max services, we will add a one-time $25 administrative fee to reinstate your account after dispute resolution.
8. Technical Requirements and Hosting
Hosting and Infrastructure
All CMS Max services are hosted on Laravel Cloud infrastructure. We strive to maintain 99.99% uptime for website hosting and SSL certificates, but cannot guarantee uninterrupted service.
DNS and Nameservers
To ensure proper service functionality, nameservers must be pointed to:

- ns4.cmsmax.com
Failure to maintain proper DNS configuration may result in service disruptions.
Service Availability
CMS Max is not responsible for loss of business, revenue, or data resulting from technical issues, service outages, or force majeure events beyond our reasonable control.
9. Intellectual Property Rights
CMS Max Ownership
CMS Max and its licensors own all rights, title, and interest in the Services, including:
- Software, code, and platform architecture
- Trademarks, logos, and branding
- Documentation and user guides
- Design elements and user interface
These Terms grant you a limited, non-exclusive, non-transferable license to use the Services for your business purposes only.
Your Content Ownership
You retain all ownership rights to content you upload to the Services (product listings, images, descriptions, etc.). By using the Services, you grant CMS Max a worldwide, non-exclusive, royalty-free license to use, reproduce, and display your content solely to provide the Services to you.
Copyright Infringement
CMS Max respects intellectual property rights and complies with the Digital Millennium Copyright Act (DMCA). If you believe content on our platform infringes your copyright, contact us with:
- Your electronic or physical signature
- Identification of the copyrighted work claimed to be infringed
- Location of the infringing material (URL or description)
- Your contact information
- A statement of good faith belief that use is not authorized
- A statement under penalty of perjury that the information is accurate

11. SMS Notification Service (Twilio)
Opt-In and Consent
By opting into SMS notifications, you consent to receive text messages for:
- Order confirmations and shipping updates
- Form submission notifications (for admins)
- Account alerts and important notifications
You may opt in by texting a keyword to 718-305-4451, checking a box at checkout, or through your account settings.
Message Frequency and Cost
- Message frequency depends on your activity (typically order-based)
- Message and data rates may apply per your carrier
- You must be 18 or older to opt in

Your phone number will not be shared with third parties except as necessary to provide SMS service (i.e., with Twilio).
12. SEO and Marketing Services
Prohibited SEO Practices
Use of third-party companies, software, scripts, or any tool outside of CMS Max to manipulate search engine rankings is strictly prohibited and constitutes a violation of these Terms. This includes but is not limited to:
- Link schemes and artificial link building
- Keyword stuffing or cloaking
- Automated content generation
- Negative SEO attacks
CMS Max does not offer consulting services to fix SEO problems caused by other vendors. Violations will result in immediate account termination.
13. Warranties and Disclaimers
IMPORTANT - PLEASE READ CAREFULLY
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
CMS MAX DOES NOT WARRANT THAT:
- The Services will be uninterrupted, timely, secure, or error-free
- The results obtained from using the Services will be accurate or reliable
- The quality of any products, services, information, or other material purchased or obtained through the Services will meet your expectations
- Any errors in the software or Services will be corrected
You understand and agree that any material or data downloaded or otherwise obtained through the use of the Services is done at your own discretion and risk, and you will be solely responsible for any damage to your computer system or loss of data that results from the download of such material or data.
Third-Party Content
CMS Max is not responsible for the accuracy, usefulness, safety, or legality of merchant content, product listings, customer reviews, or any other user-generated content. We do not endorse any merchant, product, or service.
14. Limitation of Liability
LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CMS MAX INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY:
- INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
- DAMAGES RESULTING FROM YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICES
- DAMAGES RESULTING FROM ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES
- DAMAGES RESULTING FROM UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT
- DAMAGES RESULTING FROM SERVICE OUTAGES, DATA LOSS, OR TECHNICAL FAILURES
WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT CMS MAX HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.
IN NO EVENT SHALL CMS MAX'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID TO CMS MAX IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for incidental or consequential damages. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.
15. Indemnification
You agree to defend, indemnify, and hold harmless CMS Max Inc., its officers, directors, employees, agents, affiliates, and licensors from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:
- Your use of or inability to use the Services
- Your violation of these Terms of Service
- Your violation of any law or regulation
- Your violation of any rights of a third party, including intellectual property, privacy, or publicity rights
- Any content you submit, post, or transmit through the Services
- Products you sell through the Services or transactions with your customers
- Your failure to comply with age verification or other legal requirements
- Claims by your customers regarding products, services, or order fulfillment
This indemnification obligation survives termination of these Terms and your use of the Services.
16. Dispute Resolution and Governing Law
Governing Law
These Terms are governed by the laws of the State of New York and the United States, without regard to conflict of law principles. The English version of these Terms shall prevail over any translated versions.
Arbitration
Any controversy or dispute arising out of or related to these Terms that cannot be resolved amicably shall be settled through binding arbitration:
- Conducted in English pursuant to Rules of the American Arbitration Association
- Venue: Rochester, New York
- Governed by New York law
- Each party bears its own costs unless otherwise awarded by arbitrator
Notwithstanding the above, CMS Max may commence legal action in your home jurisdiction to enforce these Terms or collect amounts owed.
Class Action Waiver
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
17. Termination
Termination by You
You may terminate your account at any time by contacting us. Upon termination, you remain responsible for all fees and charges incurred before termination.
Termination by CMS Max
CMS Max may suspend or terminate your account immediately without prior notice if:
- You breach these Terms of Service
- Your account is more than 90 days past due (unless prior arrangements made)
- You engage in illegal activity or fraud
- Your actions create security or legal risks
- Your account shows patterns of excessive chargebacks
- You violate intellectual property rights
Effect of Termination
Upon termination:
- Your right to use the Services immediately ceases
- Your website will be taken offline
- You remain liable for all outstanding fees
- We may delete your data after the retention period specified in our Privacy Policy
- Provisions regarding intellectual property, indemnification, limitation of liability, and dispute resolution survive termination
Defamation and Retaliation
If your account is terminated for policy violations, retaliation of any kind (including posting false or defamatory reviews about CMS Max) will be met with legal action. You agree that termination for cause does not entitle you to disparage CMS Max publicly.
18. General Provisions
Entire Agreement
These Terms, together with our Privacy Policy and any additional agreements you enter into with CMS Max, constitute the entire agreement between you and CMS Max regarding the Services.
Modifications
CMS Max reserves the right to modify these Terms at any time. We will provide notice of material changes via email or prominent website notice. Changes become effective 30 days after posting. Your continued use of the Services after changes take effect constitutes acceptance of the modified Terms.
Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
No Waiver
CMS Max's failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
Assignment
