Terms of Service
The business terms for Pathmode's connected service, with a separate boundary for local tools.

1. Agreement and Business Use
These Terms of Service ("Terms") are an agreement between Pathmode Oy, Business ID FI35979677, Luuvaniementie 10 E 53, 00350 Helsinki, Finland ("Pathmode," "we," or "us"), and the business or other organization accepting them ("Customer" or "you").
Pathmode is offered solely for business and professional use. It is not offered for personal, family, or household use, and Customer represents that it is not acting as a consumer. If you accept these Terms for an organization, you represent that you are at least 18 years old and authorized to bind that organization. That organization is the Customer.
By creating a connected workspace, using the Hosted Service, or otherwise accepting these Terms, the Customer agrees to them. An order form, enterprise agreement, or other written agreement signed by both parties controls if it expressly conflicts with these Terms.
2. What These Terms Cover
2.1 Hosted Service
The "Hosted Service" means Pathmode's website, connected workspaces, hosted APIs, hosted AI features, integrations, public review links, and related support. These Terms govern access to and use of the Hosted Service.
2.2 Local Tools
Pathmode's CLI, MCP server, IntentSpec format, plugins, skills, and other downloadable or repository-local components ("Local Tools") may be distributed under open-source or other package licenses. The license included with each Local Tool governs that software and controls if it conflicts with these Terms. These Terms do not take away rights granted by those licenses.
In keyless local mode, Local Tools read and write files on the Customer's machine without calling the Hosted Service. Pathmode does not receive or control those files. Connecting a Local Tool with a Pathmode API key or signed-in session brings those connected requests within these Terms.
2.3 Third-Party Services
Coding agents, model providers, source-control hosts, and other third-party services remain governed by their own terms. Pathmode is not responsible for a third party's service, settings, or handling of data merely because it can interoperate with Pathmode.
3. Accounts and Acceptable Use
3.1 Accounts and Credentials
Customer is responsible for its accounts, workspace membership, API keys, integration credentials, and activity performed through them. Customer must keep credentials secure, provide accurate account information, and promptly notify Pathmode of suspected unauthorized access. Keyless Local Tools do not require a Pathmode account.
3.2 Authorized Automation
Customer may access the Hosted Service through Pathmode's documented web interface, API, MCP tools, CLI, integrations, public-review flow, and other interfaces we make available. Customer may allow its employees, contractors, and automated agents to use those interfaces within the Customer's granted permissions and plan limits.
3.3 Prohibited Conduct
Customer must not:
- Use the Hosted Service unlawfully or to violate another person's rights
- Introduce malware or use the Hosted Service to compromise systems or data
- Probe, scan, or access accounts, workspaces, credentials, or systems without authorization
- Interfere with the Hosted Service or circumvent security, usage limits, or access controls
- Scrape or harvest the Hosted Service outside documented interfaces without written permission
- Share credentials beyond systems and people Customer authorizes and controls
- Misrepresent identity or authority, or use public review links beyond their intended review purpose
4. Customer Content
4.1 Ownership and Local Content
Customer retains ownership of content it creates, uploads, imports, or syncs to the Hosted Service ("Customer Content"). Repository-local files that are not connected or synced are not Customer Content held by Pathmode and remain entirely under Customer's control.
4.2 Limited License to Operate the Service
Customer grants Pathmode a non-exclusive, worldwide, royalty-free license to host, copy, process, transmit, and display Customer Content only as needed to provide, secure, support, and maintain the Hosted Service; follow Customer's instructions; and comply with law. This license lasts only while needed for those purposes, including the retention period described in the Privacy Policy.
Pathmode does not use Customer Content to train Pathmode-owned models. Hosted model-provider processing is limited to the feature Customer invokes and follows the data handling described in our Privacy Policy. Pathmode may use aggregate or de-identified operational information that does not identify Customer or reveal Customer Content to operate and improve the Hosted Service.
4.3 Customer Responsibilities
Customer is responsible for Customer Content and represents that it has the rights, permissions, and lawful basis needed to submit and process it. Customer may submit confidential or third-party material only when authorized to do so and must configure access appropriately.
Pathmode may restrict or remove connected Customer Content when reasonably necessary to address illegal content, a security threat, infringement, or a material breach of these Terms. Pathmode cannot monitor, remove, or recover content that remains only in Customer's local repository.
5. AI and Agent-Assisted Features
Some Hosted Service features use AI to draft, classify, summarize, or suggest content. AI output can be incomplete, inaccurate, or unsuitable for Customer's context. Customer is responsible for reviewing output and deciding whether to authorize, rely on, publish, or implement it.
An intent, draft, confirmation request, or agent proposal is not human authorization. Customer controls the permissions and instructions given to its agents and remains responsible for changes those agents make to repositories, external systems, or connected workspace records.
Deterministic keyless preflight does not call a Pathmode or hosted model endpoint. A third-party coding agent may still send local context to its own provider under the settings Customer selected for that agent.
6. Confidentiality and Data Protection
6.1 Confidentiality
Each party may receive non-public information that a reasonable business would understand to be confidential. Customer Content is Customer's Confidential Information. The receiving party will use Confidential Information only to perform under this agreement, protect it with reasonable care, and disclose it only to personnel and service providers who need it and are bound by confidentiality duties.
Confidential Information does not include information that becomes public without breach, was already lawfully known, is independently developed without use of the information, or is lawfully received from another source without a confidentiality duty. A party may disclose information when legally required after giving notice where legally permitted.
6.2 Data Protection
Pathmode processes personal data as described in the Privacy Policy. Customer is responsible for its instructions to Pathmode and for having a lawful basis to process personal data in Customer Content. Where Pathmode processes personal data on Customer's behalf, the parties will enter into or be subject to an applicable data processing agreement as required by law.
7. Pathmode Intellectual Property
Pathmode and its licensors own the Hosted Service, its software, documentation, design, and related intellectual property, excluding Customer Content. Subject to these Terms, Pathmode grants Customer a limited, non-exclusive, non-transferable right to use the Hosted Service during the applicable term for Customer's internal business purposes.
Local Tools remain governed by their included licenses. Feedback is voluntary; if Customer provides it, Pathmode may use it without restriction or obligation, provided it does not identify Customer or disclose Customer Confidential Information without permission.
8. Service Availability and Changes
Pathmode may maintain, update, or change the Hosted Service as the product evolves. We will not materially reduce the core functionality of a paid plan during its current subscription term without a reasonable business or security reason. Any service level commitment applies only if stated in a signed agreement.
The Hosted Service may be unavailable because of maintenance, failures, third-party services, or events beyond reasonable control. We will use commercially reasonable efforts to provide notice of planned material interruptions and discontinuations where practical. Preview, beta, and free features may be changed or discontinued at any time.
9. Backups and Data Portability
Customer is responsible for maintaining appropriate copies of critical information, including repository-local files. Pathmode's Hosted Service is not a substitute for Customer's source control, evidence archive, or business-continuity process.
Customer may request a machine-readable export of connected workspace data. Customer should export data before its subscription or account ends. Deletion and retention of connected data follow the Privacy Policy; ending the Hosted Service does not delete or alter repository-local files.
10. Plans, Payment, and Billing
10.1 Plans and Orders
Free and paid plan features, limits, editor-seat rules, minimum quantities, billing intervals, and prices are shown on the Pricing page, at checkout, or in an order form. The terms shown at purchase control for that order. Local Tools and automated agents do not require editor seats unless an order expressly states otherwise.
10.2 Recurring Billing
Paid subscriptions renew automatically for the selected monthly or annual interval until cancelled. Fees are billed in advance in the currency shown at purchase. Customer authorizes Pathmode and the payment provider identified at checkout to charge the selected payment method. Changes to billable seat quantity may change subscription fees as disclosed in the Hosted Service or order.
10.3 Taxes, Refunds, and Price Changes
Fees exclude taxes unless checkout or an order states otherwise. Customer is responsible for applicable taxes, duties, and charges other than taxes on Pathmode's net income. Fees are non-refundable and non-cancellable during a committed billing period except where an order expressly provides otherwise or law requires it.
Pathmode may change prices for a future renewal by giving at least 30 days' notice. A price change does not alter fees already committed for the current paid term.
10.4 Cancellation
Customer may cancel renewal through the available billing controls or by contacting Pathmode. Cancellation takes effect at the end of the current paid billing period, and access continues through that period unless the account is suspended for cause.
11. Suspension and Termination
Pathmode may suspend access when reasonably necessary to address a security threat, unlawful use, non-payment, abuse, or a material breach of these Terms. Where practical, we will notify Customer of the reason and allow it to cure the issue before suspension or promptly afterward.
Either party may terminate for a material breach that remains uncured 30 days after written notice, or immediately if the other party becomes insolvent or ceases business. Pathmode may terminate a free Hosted Service account or discontinue the Hosted Service with 30 days' notice, unless immediate action is reasonably required for security or legal reasons.
On termination, Customer's right to use the Hosted Service ends and outstanding fees remain due. Sections that by their nature should survive will survive, including ownership, confidentiality, payment, disclaimers, liability, and dispute terms. Connected data is handled under the Privacy Policy. Local Tools and local files remain governed by their licenses and Customer's own systems.
12. Warranties and Disclaimers
Each party represents that it has authority to enter into these Terms. Except for an express commitment in these Terms or a signed agreement, the Hosted Service and Local Tools are provided "as is" and "as available."
To the maximum extent permitted by law, Pathmode disclaims implied warranties, including merchantability, fitness for a particular purpose, non-infringement, and warranties that the Hosted Service or AI output will be uninterrupted, error-free, secure, or suitable for a particular business decision. Pathmode does not warrant third-party services or Customer's agents.
13. Limitation of Liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, anticipated savings, or business opportunity, even if advised that such loss was possible.
Pathmode's total aggregate liability arising out of or relating to the Hosted Service or these Terms will not exceed the greater of the fees Customer paid Pathmode for the Hosted Service during the 12 months before the event giving rise to liability or €100.
Nothing in these Terms limits liability that cannot lawfully be limited or excluded. Customer's payment obligations are not subject to the liability cap.
14. Indemnification
Customer will defend Pathmode against a third-party claim arising from Customer Content that infringes that third party's rights, Customer's unlawful use of the Hosted Service, or Customer's material breach of Section 3, and will pay damages and reasonable costs finally awarded or agreed in settlement. Pathmode must promptly notify Customer, provide reasonable cooperation at Customer's expense, and allow Customer to control the defense and settlement, provided a settlement does not admit fault or impose a non-monetary obligation on Pathmode without Pathmode's consent.
15. Governing Law and Disputes
These Terms are governed by the laws of Finland, excluding its conflict-of-laws rules. The District Court of Helsinki has exclusive jurisdiction over disputes arising from or relating to these Terms or the Hosted Service. Before filing a claim, the parties will first attempt in good faith to resolve the dispute through business representatives who have authority to settle it.
16. Changes to These Terms
Pathmode may update these Terms for legal, security, operational, or product reasons. We will post the revised Terms, update the date above, and give account administrators at least 30 days' notice of a material change unless a shorter period is reasonably required by law or an urgent security issue.
A materially adverse change to a paid Customer applies no earlier than its next renewal unless the Customer accepts it sooner or the change is legally required. Customer may cancel renewal before the change takes effect. Continued use after the effective date constitutes acceptance of the revised Terms.
17. Publicity
Pathmode may use Customer's name, logo, or marks in marketing only with Customer's prior written permission or as expressly agreed in an order form. Customer may revoke a general publicity permission prospectively by emailing [email protected], unless a signed agreement states otherwise.
18. General Terms
- Assignment: Neither party may assign these Terms without the other party's consent, except to an affiliate or in connection with a merger, reorganization, or sale of substantially all relevant assets.
- Force majeure: Neither party is liable for delay or failure caused by events beyond its reasonable control, except for payment obligations.
- Notices: Pathmode may send operational and legal notices to Customer's account administrators. Customer may send legal notices to the address or legal email below.
- Severability and waiver: If a provision is unenforceable, it will be limited to the minimum extent necessary and the remainder will continue. A failure to enforce a provision is not a waiver.
- Entire agreement: These Terms, the applicable order, and documents expressly incorporated by reference are the entire agreement about the Hosted Service and replace prior agreements on that subject.
- No partnership: These Terms do not create a partnership, agency, franchise, fiduciary, or employment relationship between the parties.
