Deed of Assignment
KNOW ALL MEN BY THESE PRESENTS:
This Deed of Assignment, made and executed this ……day of September, 2005,
in the City of Manila, by and between:
BRUSIMA COMPANY, INC., a corporation duly organized and
existing under Philippine laws with principal office at 87 Santolan Road,
Quezon City, represented by Atty. Danilo L. Patron and Eduardo Garcia
who have been duly authorized by resolution of its Board of Directors
certified under oath by its corporate secretary copy of which is attached as
Annex “A”, hereinafter referred to as the Assignor;
- and -
ELLIMAC PRIME HOLDINGS, INC., a corporation duly
organized and existing under Philippine laws with principal office at 900
Romualdez St., Paco, Manila, represented herein by its Chairman, LUCIO
L. CO, duly authorized by resolution of its Board of Directors certified
under oath by its corporate secretary copy of which is attached as Annex
“B”, hereinafter referred to as the Assignee—
WITNESSETH:
WHEREAS, the Assignor is the mortgagee of the parcel of land situated at Brgy.
Sto. Cristo (now Bagong Nayon), Baliuag, Bulacan consisting of Ten Thousand Two
Hundred Seventy Four (10,274) Square Meters covered by Transfer Certificate of Title
No. T-53006, Book T-266, Page 6 of the Registry of Deeds for the Province of Bulacan
in the names of Conchita Venturina Umali married to Jaime Umali, Manuel Venturina
married to Theresa Espino, and Gerald Venturina married to Cynthia Ramos, mortgagors;
WHEREAS, the Assignor is also the plaintiff and judgment creditor in Civil Case
No. Q-03-50759 entitled, “Brusima, Inc. vs. Sps. Conchita Venturina and Jaime Umali,
Sps. Manuel Venturina and Theresa E. Venturina, and Sps. Gerald Venturina and Cynthia
R. Venturina,” on file with the Regional Trial Court, Branch 223, Quezon City;
WHEREAS, the parties have agreed to the assignment by the Assignor of the said
mortgage and judgment debt in favor of the Assignee subject to the terms and conditions
hereinafter set forth;
NOW, THEREFORE, the parties have agreed:
For and in consideration of the sum of TWENTY FIVE MILLION PESOS
(Php25,000,000) receipt of which is hereby acknowledged, the Assignor hereby assigns,
cedes, transfers and conveys in a manner that is absolute unto the Assignee all its rights,
interests, and participation to the following:
a. The mortgage and the obligation secured thereby over the parcel
of land situated at Brgy. Sto. Cristo (now Bagong Nayon), Baliuag,
Bulacan consisting of Ten Thousand Two Hundred Seventy Four (10,274)
Square Meters annotated as Entry No. 303899 on Transfer Certificate of
Title No. T-53006, Book T-266, Page 6 of the Registry of Deeds for the
Province of Bulacan, copy of which is attached as Annex “C”;
b. The judgment debt of the defendants/judgment debtors in Civil
Case No. Q-03-50759 entitled, “Brusima, Inc. vs. Sps. Conchita Venturina

and Jaime Umali, Sps. Manuel Venturina and Theresa E. Venturina, and
Sps. Gerald Venturina and Cynthia R. Venturina,” on file with the
Regional Trial Court, Branch 223, Quezon City;
IN WITNESS WHEREOF, the parties have hereunto affixed their signatures this

The foregoing document is a Deed of Assignment of real estate mortgage of a
parcel of land situated at Brgy. Sto. Cristo, Baliuag, Bulacan and of the judgment in Civil
Case No. Q-03-50759 entitled, “Brusima, Inc. vs. Sps. Conchita Venturina and Jaime
Umali, Sps. Manuel Venturina and Theresa E. Venturina, and Sps. Gerald Venturina and
Cynthia R. Venturina,” on file with the Regional Trial Court, Branch 223, Quezon City.
It consists of three (3) pages including this page where the acknowledgment is written
signed by the parties and their witnesses on every page.
