Deed of Assignment
This Deed of Assignment (“Deed”) is executed by and among:
[name], married, of legal age, Filipino, and with residence at [address] (“Assignor”); and
[name], Filipino, married, with residential address at [address] (“Assignee”).
[Each of the Assignor and the Assignee is a “Party,” and collectively, the “Parties.”]
WHEREAS:
(1) The Assignor legally and beneficially owns common shares of, (“Subject Shares”), a corporation
duly organized and existing under Philippine laws; and
(2) The Assignor has agreed to assign, transfer, and convey the Subject Shares to the Assignee and
the Assignee has agreed to acquire and accept the Subject Shares under the terms and conditions
set forth hereunder;
NOW, THEREFORE, for and in consideration of the above premises and the agreements herein set forth,
the Parties and the Corporation agree as follows:
1. For and in consideration of Philippine Peso: _________________________ (PhP
____________________), the Assignor hereby absolutely, irrevocably and unconditionally assigns,
cedes, transfers, and conveys in favor of the Assignee all his/its rights, title and interest in and to
the Subject Shares.
2. The Assignor hereby represents and warrants that he/it shall comply with all applicable laws
and regulations as may be required for the valid and effective implementation and
consummation of the assignment of the Subject Shares as provided in this Deed.
3. The Assignor hereby warrants that the Subject Shares are free and clear of any liens or
encumbrances of any kind, whether by pledge, mortgage or other security arrangement to any
obligation.
4. The Assignee shall have full power and authority to cause the recording of the transfer of the
Subject Shares to its name and the issuance of the appropriate stock certificate covering the same.
5. This Deed may be executed in any number of counterparts, each of which when so executed and
delivered shall constitute an original and all together shall constitute one agreement.
