commitment on your part, extend the validity of the guarantee or block its value as ﺣﺴــﺐ ﻃﻠــﺐ اﻟﻤﺴــﺘﻔﻴﺪ ﻟﻐﺎﻳــﺔ اﻟﺘﺎرﻳــﺦ اﻟــﺬي ﺗﺮوﻧــﻪ ﻣﻨﺎﺳــﺒﺎً دون اﻟﺮﺟــﻮع إﻟﻲ/إﻟﻴﻨــﺎ أو اﻟﺤﺎﺟــﺔ
requested by the bene�ciary (ies) until such date you may deem suitable without ﻟﻠﺤﺼــﻮل ﻋﻠــﻰ ﻣﻮاﻓﻘﺘﻲ/ﻣﻮاﻓﻘﺘﻨــﺎ اﻟﻤﺴــﺒﻘﺔ ﻛﻤــﺎ ان ﻟﻠﺒﻨــﻚ ﺣﺴــﺐ ﺗﻘﺪﻳــﺮه اﺳــﺘﻤﺮار ﺗﻠــﻚ
reference to me/us or without the necessity of obtaining my/our prior approval. Our اﻻﻟﺘﺰاﻣــﺎت ﺳــﺎرﻳﺔ اﻟﻤﻔﻌــﻮل ﺑﻐــﺾ اﻟﻨﻈــﺮ ﻋــﻦ ﻃﻠــﺐ اﻟﻤﺴــﺘﻔﻴﺪ او ﻏﻴــﺮه اﻟــﻲ ان ﻳﻘــﻮم اﻟﺒﻨــﻚ
obligations will continue according to the bank decision and regardless the ﺧﻄﻴﺎ ﺑﺈﺧﻼء ﻣﺴﺌﻮﻟﻴﺘﻨﺎ ﻋﻨﻬﺎ أو اﻋﻔﺎؤﻧﺎ ﻣﻨﻬﺎ.

3. You may pay the bene�ciary (ies), any amount (but not exceeding the guarantee اﻋﺘــﺮاض ﻣــﻦ ﺟﺎﻧﺒﻲ/ﺟﺎﻧﺒﻨــﺎ أو ﻣــﻦ ﺟﺎﻧــﺐ أي ﻃــﺮف ﺛﺎﻟــﺚ ﻟﻤﺜــﻞ ﻫــﺬه اﻟﻤﻄﺎﻟﺒــﺔ ﺣﻴــﺚ ﺗﻌــﺪ ﺗﻠــﻚ

any objections I/we or any third party may have to such claim(s). /We acknowledge ﻟﻘﻴﺎم اﻟﺒﻨﻚ ﺑﺎﻟﺘﺤﻘﻖ ﻣﻦ ذﻟﻚ .
that such claims are conclusive evidences that the claimed amounts are due for

to sell any of my/our securities/properties held with the bank and apply the proceeds ﻋﻤــﻼت او ﻣــﺎ ﻓــﻲ ﺣﻜــﻢ ذﻟــﻚ ﻳﺴــﺘﺤﻖ ﻋﻠﻴﻨــﺎ ﺗﺠﺎﻫــﻪ ،ﻛﻤــﺎ ﺳﺄﺑﻘﻰ/ﺳــﻨﺒﻘﻰ ﻣﻠﺘﺰﻣﻴــﻦ ﺑﺘﺴــﺪﻳﺪ

of agreement or otherwise. We undertake to indemnify you against all damages, ً وﻟــﻦ ﻳﻌﺘﺒــﺮ ﻫــﺬا اﻟﻀﻤــﺎن ﻻﻏﻴــﺎ.ﻛﺎﻓــﺔ ﻣــﺎ ﻳﺘﺮﺗــﺐ ﻋﻠــﻰ ذﻟــﻚ ﻣــﻦ أﻋﺒــﺎء أو ﻧﻔﻘــﺎت أو ﻣﺼﺮوﻓــﺎت
loss, fees or interests encountered by you or other parties inland or abroad including إﻻ ﺑﻌــﺪ إﺧــﻼء ﻃﺮﻓﻜــﻢ ﻣــﻦ ﻗﺒــﻞ ﻣﺮاﺳــﻠﻴﻜﻢ )اﻟﺒﻨــﻚ اﻟﻤﺼــﺪر( وﻟﻴــﺲ ﺗﻠﻘﺎﺋﻴــﺎً ﻋﻨــﺪ اﻧﺘﻬــﺎء ﻣــﺪة
and not limited to the legal fees .This guarantee will be considered as canceled only وﻳﺤــﻖ ﻟﻜــﻢ إﺿﺎﻓــﺔ اﻟﻤــﺪة اﻟﺘــﻲ ﻳﺴــﺘﻐﺮﻗﻬﺎ إرﺳــﺎل اﻟﻀﻤــﺎن ﺑﺎﻟﺒﺮﻳــﺪ ﺣﺴــﺐ ﻣــﺎ ﻫــﻮ،ﺻﻼﺣﻴﺘــﻪ
once you will be released by your correspondent(issuing bank) and not automatical- / ﻧﻮاﻓــﻖ وﻋﻠــﻰ ﻣﺴــﺌﻮﻟﻴﺘﻲ/ﻣﺘﺒــﻊ ﻟﺪﻳﻜــﻢ أو ﺣﺴــﺐ رﻏﺒــﺔ اﻟﺒﻨــﻚ اﻟﻤﺼــﺪر ﻟﻠﻀﻤــﺎن ﻛﻤــﺎ أواﻓــﻖ
ly on its expiry date . Mailing time may also be included as per your normal practice or ﻣﺴــﺌﻮﻟﻴﺘﻨﺎ اﻟﻜﺎﻣﻠــﺔ ﺑﺎﺳــﺘﺨﺪام اﻟﺒﻨــﻚ ﻷي وﺳــﻴﻠﺔ اﺗﺼــﺎل او إرﺳــﺎل ﻣﻌﺘــﺮف ﺑﻬــﺎ وﻣﻘﺒﻮﻟــﺔ ﻣــﻦ
as desired by the issuing bank and we agree that we are fully responsible for the use .اﻟﺒﻨﻚ ﻓﻴﻤﺎ ﻳﺘﺼﻞ ﺑﻬﺬا اﻟﻄﻠﺐ
of any mean of communication and are transmission as agreed by the bank.
10. In case I/we request you to issue the letter of guarantee on behalf of a third
party, I/we hereby con�rm that I/we have already obtained the consent of the third ﻧﺆﻛــﺪ/ﻓﺈﻧﻨــﺎ أؤﻛﺪ/ ﻓﺈﻧﻲ، ﻓــﻲ ﺣــﺎل ﻛﺎن ﺧﻄــﺎب اﻟﻀﻤــﺎن ﺻــﺎدر ﻧﻴﺎﺑــﺔ ﻋــﻦ ﻃــﺮف ﺛﺎﻟــﺚ.10

11. I / We undertake to provide any requested certi�cates/ statements that we have أﺗﻌﻬــﺪ واﻟﺘــﺰم ﺑﺘﻘﺪﻳــﻢ أﻳــﺔ إﻓــﺎدات أو ﺷــﻬﺎدات ﻣﻄﻠﻮﺑــﺔ ﺗﻔﻴــﺪ إﻧﻬــﺎء أو ﺗﺴــﻮﻳﺔ.11

any of our obligations which made you resort to the legal entities or courts for the اﻟﻌﻘــﺪ واﺿﻄﺮارﻛــﻢ ﻟﻠﺮﺟــﻮع إﻟــﻰ اﻟﺠﻬــﺎت اﻟﻘﻀﺎﺋﻴــﺔ ﻹﻟﺰاﻣﻨــﺎ ﺑﺄﻧﻔــﺎذ ﻫــﺬه اﻻﻟﺘﺰاﻣــﺎت/اﻟﻄﻠﺐ
execution and repayment of this obligation/s we undertake to pay to the bank all ﻛﻠﻬــﺎ او ﺑﻌﻀﻬــﺎ ﻧﺘﻌﻬــﺪ ﺑــﺎن ﻧﺪﻓــﻊ ﻟﻠﺒﻨــﻚ ﻋﺎﻣــﺔ اﻟﻨﻔﻘــﺎت اﻟﺘــﻲ ﻳﺘﺤﻤﻠﻬــﺎ اﻟﺒﻨــﻚ ﻣﻀﺎﻓــﺎ اﻟﻴﻬــﺎ

12. I acknowledge that my obligations before the bank according to this will not be اﻗــﺮ ﺑــﺄن اﻟﺘﺰاﻣﺎﺗــﻲ ﻗﺒــﻞ اﻟﺒﻨــﻚ ﺑﻤﻮﺟــﺐ ﻫــﺬا ﻟــﻦ ﺗﻜــﻮن ﻋﺮﺿــﺔ او ﺗﺘﺄﺛــﺮ ﺑــﺄي ﺣــﺎل ﻣــﻦ اﻷﺣــﻮال.12
subject to or be a�ected in any way by any order, dispute, protection, reservations, ﺑــﺄي اﺳــﺘﺪﻋﺎء أو ﻧــﺰاع أو ﺣﻤﺎﻳــﺔ أو ﺣﺠــﻮزات أو ﺣﻘــﻮق ﻣﺴــﺎﻫﻤﻴﻦ او ﻧــﺰاع ﻣــﻊ اﻟﻤﺴــﺘﻔﻴﺪ او
shareholders ’rights or dispute with the bene�ciary or with any third party or any ﻣــﻊ أي ﻃــﺮف ﺛﺎﻟــﺚ أو ﺑــﺄي ﺗﻐﻴﻴــﺮ ﻓــﻲ وﺿﻌــﻲ اﻟﻘﺎﻧﻮﻧــﻲ او ﻓــﻲ ﻫﻴــﻜﻞ اﻟﻤﻠﻜﻴــﺔ او أي ﺗﻌﺪﻳــﻞ
change in my legal status or ownership structure or any amendment to the commer- . اﻟﻤﻨﺸﺄة/ﻓﻲ اﻟﺴﺠﻞ اﻟﺘﺠﺎري او اﻟﻨﻈﺎم اﻷﺳﺎﺳﻲ ﻟﻠﺸﺮﻛﺔ
cial registration or the articles of association of my/ our the company / establishment.
13. I /We undertake that this application and all the above with all consequences will أﻗــﺮ وأﺗﻌﻬــﺪ أﻻ ﻳﺘﺮﺗــﺐ ﻋﻠــﻰ ﻣــﺎ ﺗﻘــﺪم ﻣﺴــﺎس ﺑﺄﻳــﺔ ﻋﻘــﻮد وﻣﺴــﺘﻨﺪات أﺧــﺮى ﺗﺘﻌﻠــﻖ.13
not contradict or prejudice to any other contracts or documents related to other ﺑﺘﻌﺎﻣﻼﺗــﻲ اﻷﺧــﺮى ﻣــﻊ اﻟﺒﻨــﻚ أو ﺑﺄﻳــﺔ ﺿﻤﺎﻧــﺎت او ﻛﻔــﺎﻻت ﺗﻜــﻮن ﺑﺤــﻮزة اﻟﺒﻨــﻚ ﺣﻴــﺚ ﻳﻌــﺪ
transactions or other collateral, securities with the bank as it is an additional اﻟﺘﺰاﻣــﻲ إﺿﺎﻓﻴــﺎ ﻟﻜﻠﻬــﺎ وﻟﻠﺒﻨــﻚ اﻗﺘﻀــﺎء و ﺗﺤﺼﻴــﻞ ﻣﺴــﺘﺤﻘﺎﺗﻪ ﻣﺒﺎﺷــﺮة دون اﻟﺤﺎﺟــﺔ ﻻﺗﺨــﺎذ أي

14. I/ We acknowledge that all notices and communications will be in writing ( اﻗــﺮ ﺑــﺄن ﺟﻤﻴــﻊ اﻹﺷــﻌﺎرات واﻻﺗﺼــﺎﻻت ﺳــﺘﻜﻮن ﻛﺘﺎﺑﻴــﺔ )ﺑﻤــﺎ ﻓــﻲ ذﻟــﻚ اﻟﺴــﻮﻳﻔﺖ/ ﻧﻘــﺮ.14

15. Any dispute over the interpretation or execution of the terms and/or conditions ﻳﺤــﺎل أي ﻧــﺰاع ﻳﻨﺸــﺄ ﺑﺨﺼــﻮص ﺗﻔﺴــﻴﺮ أو ﺗﻨﻔﻴــﺬ ﻫــﺬه اﻟﺸــﺮوط او ﺣــﻮل اﻟﻀﻤــﺎن اﻟﻤﺼــﺪر.15
