SPECIAL POWER OF ATTORNEY

KNOW ALL MEN BY THESE PRESENTS:

I, JUAN DELA CRUZ, of legal age, married, Filipino Citizen and a resident of ABCD, do
hereby name, constitute and appoint my son ANTONIO DELA CRUZ, and/or wife JUANA
DELA CRUZ, both of legal ages, Filipino Citizens, and residents of EFGH, to be my true and
lawful Attorneys-in-fact, for me and in my name, place, and stead, to do and perform the
following acts and things, namely:

1. To manage, control, supervise and oversee my property consisting of a parcel of land


situated in XXXX, covered by Transfer Certificate of Title No. 123-45678, issued by the ROD of
XXX, including all my properties, real or personal and other interests in the Philippines or
elsewhere as well as my participation or interests therein, present or future, upon such terms
and conditions they may deem best in the circumstances and for that purpose, to enter, execute,
sign and acknowledge any and all documents/instruments necessary or requisite in the
circumstances;

2. To sell, mortgage or otherwise encumber any and all of my said properties, real or
personal, or my participation or interest therein, to any persons or entities, upon such terms and
conditions they may deem best under the circumstances;

3. To buy real or personal properties for in and my behalf upon such terms and
conditions they may deem best in the circumstances and for the that purpose, to enter, make,
sign and execute any and all contracts, deeds or papers relative thereto;

4. To sue or defend in court in connection with any of my properties or my rights or


interests therein, for or against any persons or entities and for any cause or causes of action and
to represent me in the pre-trial thereof with full authority to enter into compromise, admissions
or stipulation of facts, referral of issues to commissioners and/or avail of discovery procedures
and such other matters as may necessary upon such terms and conditions they may deem best
under the circumstances, including but not limited to:

a. The possibility of amicable settlement or of a submission to arbitration;


b. A compromise or amicable settlement;
c. The necessity or desirability of amendments to the pleadings;
d. The simplification of the issues;
e. The possibility of obtaining stipulations or admission of facts and of documents
to avoid unnecessary proof;
f. The limitation of the number of witnesses;
g. The advisability of a preliminary reference of issue to a commissioner;
h. The Philippine Mediation Board and Judicial Dispute Resolution; and
i. Such other matters as may aid in the prompt disposition of the action.

5. To open any account or accounts in my name with any bank or entity upon such terms
and conditions they may deem best in the circumstances and to make deposits and withdrawals
therefrom for such amounts and in such manner he may deem necessary;

6. To make, sign, deliver, indorse, encash or negotiate any and all checks, notes drafts,
bills or any negotiable instrument or documents due or owing me and to receive and receipt for
all proceeds thereof;

7. In general, to do every act and thing necessary or requisite in the premises to carry out
the above purposes.

HEREBY GIVING AND GRANTING unto my said attorneys-in-fact full power and
authority to do and perform any and every act and thing whatsoever requisite or necessary or
proper to be done in and about the premises, as fully to all intents and purposes as I might or

could lawfully do if personally present and acting in person, with full power of substitution or
revocation; and HEREBY RATIFYING AND CONFIRMING all that my said attorneys-in-fact or
their substitute shall lawfully do or cause to be done under and by virtue of these presents.
