Purchase Agreement
THIS AGREEMENT MADE [March 8, 2024]
BETWEEN:

AND:

THE PARTIES AGREE as follows: The Seller hereby agrees to
sell its products to the Customer, and the Customer agrees
to purchase said products at specified prices, subject to

2. Term - This agreement shall become effective upon
execution purchase agreement and will be in effect until
September 8th, 2025.
3. Delivery - The Seller agrees to deliver the goods to the
Buyer at the specified address within 15 days since
purchase. The seller is solely responsible for the method
of delivery.
4. Reimbursement - The Seller shall reimburse the Customer
for any loss of or damage to the Product that occurs
during the delivery process. At the customer's option,
the Seller will either swiftly replace the lost or
damaged Product or issue a refund.
5. Credit Check - The seller will assess the Customer's
creditworthiness before accepting this agreement.
6. Charges - Charges for the transportation of the products
shall be borne by the Customer. Late payments bear a late
charge of $20.00. Overdue invoices shall have an interest
rate of 4.50% per month.
7. Warranty - the Seller’s sole responsibility under this
warranty is to repair or replace any unit of Products
found to be defective in materials or workmanship during
the 18 months warranty period.
8. Deposit - for seller to comply under this Contract, Buyer
must pay Seller a deposit of $2,200 against the total
amount at the time of signing. This deposit will be
applied to the most recent shipment.
9. Governing Law - This agreement will be governed in all
respects by the law of the Province of British Columbia.
The parties agree to attorn to the jurisdiction of the
Superior Court.
10. Taxes - The Customer shall be responsible for the
payment of all provincial sales taxes imposed on
products, except as limited by law.
11. Force Majeure – Neither party shall be liable for
delays or failure to perform its obligations due to
events beyond its control, including but not limited to
natural disasters, war, terrorism, government actions,
and labor disputes.

This agreement, comprising paragraphs 1 through 11 inclusive
and any supplements and addenda listed in paragraph 15,
constitutes the entire agreement between the parties
concerning the sale of the Products described herein. It
supersedes all prior oral and written proposals and
communications.
The Customer acknowledges that it has read this agreement
(consisting of paragraphs 1 through 9 inclusive and any
supplements and addenda listed in paragraph 15) and agrees
to be bound by its terms and conditions.
