 GENERAL POWER OF ATTORNEY

KNOW ALL MEN BY THESE PRESENTS THAT I, Moraa Scolastica holder of

United States of America Passport Number 496025737, of Union Residence Block A
Room 105 Riverside Drive Nairobi, HEREBY NOMINATE AND APPOINT Pamela
Mbaabu and Elsie Karinga both holders of the HalimaEssyty & Co. Advocates of
physical Address P.O. BOX 50064-00100 NAIROBI to be my attorneys in my name and
on my behalf to do all or any of the acts and things hereafter mentioned that is to say:-

1. To endorse and receive payment for cheques payable to me, to sign and
deliver cheques on accounts in my name alone and in my name jointly with
another and to withdraw from and deposit to accounts in my name alone and
in my name jointly with another;

2. To institute, maintain, defend, settle and dismiss legal proceedings;

3. To collect and compromise debts and claims owed to me;

4. To pay and compromise debts and claims owed by me;

5. To sign and perform contracts and written instruments;

6. To demand and receive interest, dividends and other amounts due me;

7. To expend funds for my support, maintenance, care, comfort and welfare;

8. To invest and reinvest funds in personal and real property of all kinds.

9. To add my property to revocable trusts that I have created and may create and
to exercise, with the consent of the trustee of any such trusts (hereby releasing
the trustee from any liability for giving such consent in the exercise of its best
judgment);

10. To exercise rights that I have retained under agency agreements to which I am
and may be a party (hereby releasing any agent from liability for allowing my
Attorney so to act in my stead);

11. To exercise rights of ownership (including voting rights and the granting of
proxies) that I may have with regard to securities and other intangible
interests).

12. To borrow money and to renew existing loans for any purpose (including the
purchase of securities and other property) at prevailing interest rates, to sign
and deliver notes thereby and to secure lenders by pledge of mortgages of my
property;
 13. To insure my property and to pay premiums for and cancel policies of
insurance;

14. To execute and deliver releases, discharges and receipts;

15. To employ and discharge attorneys at law, accountants, investment counsel

and other professional advisers and agents;

16. To act with respect to my income taxes, including signing and filing returns,
appearing before agents and tribunals and prosecuting claims for refund;

17. To apply for and receive registration cards, certificates of title and license
plates for automobiles;

18. To prepare, sign and file my income, gift or other tax returns of all kinds,
claims for refunds, requests for extensions of time, petitions to the
Government of Kenya or other courts regarding tax matters and any and all
other tax related documents, including, without limitation, receipts, offers,
waivers, consents, power of attorney and closing agreements; to exercise any
elections I may have under any tax laws; and generally to act on my behalf in
all tax matters of all kinds and for all periods before all persons representing
the Internal Revenue Service and any other taxing authority;

19. To disclaim, in whole or in part, the succession to any property, or interest in

property, that I am entitled to disclaim according to applicable law; and

20. My Attorneys shall have the power to establish one or more “individual
retirement accounts” or other retirement plans or arrangements in my name.

I do give my Attorneys full power, authority and discretion to do all things required or
permitted to be done as fully as I could do if personally present, with full power of
revocation and substitution, hereby ratifying and confirming all that my Attorney shall do
or cause to be done by virtue hereof. Persons, corporations or partnerships dealing with
my Attorneys need not inquire into the authority of my Attorneys. This Power of
Attorney shall not be affected by my disability or lapse of time.

I also hereby nominate my Attorneys to be the guardian of my person and estate in the
event that proceedings for the appointment of a guardian of my person, estate or both are
commenced hereafter. I also hereby authorize my Attorney to nominate a successor
guardian for consideration by the court in proceedings for the appointment of a successor
guardian. I direct that bond be waived for such person nominated as guardian or
successor guardian.

A Photostat and or fax copy of this Power of Attorney, as executed, given by me or by

my Attorneys to any third party shall be conclusive evidence to such third party as to the
authority of my Attorney to act for me.
