In all Acres 5.47 Cents of land situated at Porpandal Village,
Uthiramerur Taluk, Kanchipuram District, more particularly described in
the Schedule hereunder, purchased the above said lands under Ten
Sale Deeds dated 29.12.2011 and 23.03.2015, Registered as Document
Nos.2415/2011 to 2423/2011 & 752/2015 in SRO Salavakkam,
respectively.
WHEREAS the VENDOR COMPANY after getting necessary
approvals and plans from concerned Local Authorities had constructed
7140 Sq.Ft., RCC Building and 17340 Sq.Ft., PEB / Shed together with
Compound Wall over the said Acres 5.47 Cents, more particularly
described in the Schedule hereunder.
WHEREAS the Vendor Company eversince from the date of
purchase of the schedule mentioned property has been in continuous
exclusive, undisturbed, open possession and enjoyment of the same as
the absolute and sole owner thereof.
WHEREAS the VENDOR COMPANY decided to sell the Lands,
Buildings, Sheds more particularly described in the Schedule
hereunder, hereinafter referred the “SAID PROPERTY” for the value and
consideration of Rs.2,70,00,000/- (Rupees two crores seventy
lakhs only) free from all encumbrances and the Purchaser Company
also agreed to purchase for that price.
NOW THIS DEED OF SALE WITNESSETH that in pursuance of the
covenants contained herein and in consideration of Rs.2,70,00,000/-
(Rupees two crores seventy lakhs only) paid by the Purchaser
Company to the Vendor Company as follows;

thus in all aggregating to a sum of Rs.2,70,00,000/- (Rupees two crores
seventy lakhs only) paid by the Purchaser Company to the Vendor
Company in the manner aforesaid, the receipt of which a sum of
Rs.2,70,00,000/- (Rupees two crores seventy lakhs only) the Vendor
Company doth hereby grant, transfer and convey the schedule
mentioned property hereunder, free from all encumbrances, together
with all the water, water courses, right to light, air, easements,
appertaining to the property or pertaining thereto together with all
claims, demands, rights, interests, advantages for the Vendor Company
into or upon the said property and every part thereof to have and to
hold the same unto the use of the Purchaser Company absolutely
forever.
The Vendor Company doth hereby declare that the property
hereby conveyed is absolutely free from all encumbrances, charges,
liens, lispendens, attachments, maintenance, claims or other
obligations annexed to the ownership of the property.
The Vendor Company doth hereby declare that there are no other
claimants to the schedule property and that it has every right to the
exclusion of everybody else to deal with the property.
The Vendor Company doth hereby covenant with the Purchaser
Company to keep it free from all claims and demands whatsoever that
may be made by the person legally or equitably claiming under or
through the Vendor Company.
The Vendor Company further declares and assures the Purchaser
Company that the representations made herein are true and the Vendor
Company has not done any act, deed or things whereby it is prevented
from executing and registering this deed of absolute sale in favour of
the Purchaser Company.
The Vendor Company further declare that it has full right to
execute this deed of sale in favour of the Purchaser Company and keep
it indemnified against any loss or damage that the Purchaser Company
may sustain due to any defect in title and the Vendor Company further
agree to execute or cause to be executed all acts, deeds and things
which the Purchaser Company may reasonably required at the
expenses of the Purchaser Company for more perfectly assuring the
title of the Vendor Company over the property hereby conveyed and
every part thereof.
The Vendor Company further declare that there are no arrears of
Public Taxes, Electricity Charge, Quit Rent or other public charges and
if there is any the Vendor Company shall indemnify the Purchaser
Company in the event of the Purchaser Company being put to the
necessity of paying such arrears.
The Vendor Company has this day delivered vacant possession of
the schedule property to the Purchaser Company. The Vendor Company
declare that there is no cloud of defect in its title to the property and the
Vendor Company shall indemnify the Purchaser Company in the event
of the Purchaser Company incurs any loss on that account.
The Vendor Company declare that the Purchaser Company shall
henceforth be entitled to enjoy the schedule property as absolute owner
without any let or hindrance from any person or persons claiming under
or through the Vendor Company or in trust for the Vendor Company.
That the Purchaser Company shall be entitled to, by virtue of this
deed to effect mutation in the records of the Revenue Registry, Patta,
Plan Approval, Public Taxes, Electricity Records, Quit Rent Records or
other public charges in relation to the property in its name and the
Vendor Company do hereby covenant with the Purchaser Company
that it would execute and sign all such deeds and documents that may
be necessary or required in that behalf at the cost of the Purchaser
Company.
The Vendor Company has on this day handed over all Original
Title Deeds, other Xerox copies of Parent title deeds and records
relating to the schedule mentioned property to the Purchaser Company.
