Website Development Agreement
This Agreement is made and entered into on [Date______________], by and
between:
Client: Rishi Kumar, residing at Neempokhar Kadirabad, Darbhanga
846004
Developer: Mrinal Mishra, residing at Darbhanga
Whereas, the Client wishes to engage the Developer to design and develop
a Multi-Level Marketing (MLM) website with specific features, and the
Developer agrees to perform the work based on the terms outlined below.
1. Scope of Work
The Developer agrees to design, develop, and deliver a fully functional
MLM website with the following features:
E-commerce functionality
Utility bill payment options (such as mobile recharge, electricity bill
payments, etc.)
API integration for utility bill payments
Payment gateway integration
Multi-vendor support with delivery options
User panel for participants and customers
Admin panel for managing vendors, users, and the platform
Buy Autopool option for MLM members
Wallet System for adding money, sending money, and receiving
money between users
The Developer will ensure that the final product meets the Client's
requirements, as outlined in the project proposal dated

2. Timeline and Deliverables
The Developer agrees to adhere to the following timeline:

The Developer agrees to keep the Client updated on progress and allow for
feedback at each stage of development.
3. Payment Terms
The total fee for the project is [Amount_________________],
Rs. 50,000 subject to the
following payment schedule:
Deposit: [Insert Amount] to be paid upon signing this agreement.
Interim Payments: Payments made upon completion of specific project
milestones, as agreed upon between both parties.
Final Payment: The remaining balance will be paid after the following
conditions are met:
1. The website has been fully tested and trialed, with the Client's
approval of all features and functionalities.
2. At least 1,000 customers have been successfully added to the
website, demonstrating that it can handle the required volume
of users.
4. Trial and Satisfaction
The Client reserves the right to conduct a trial period after the website is
delivered. During this period, the Developer will ensure that:
All features are functioning properly, as outlined in the project scope.
The website can support at least 1,000 customers.
The final payment will only be released once the Client is fully satisfied with
the performance of the website.
5. Non-Performance & Payment Deductions
If the Developer fails to meet the agreed specifications or does not deliver
the required functionality:
The Client reserves the right to deduct a portion of the final payment
based on the missing features or failure to meet the project
requirements.
The Client may withhold part or all of the final payment if critical
elements of the project are not delivered within the agreed-upon
timeline or are found to be unsatisfactory.
The exact amount of any deductions will be determined by the Client based
on the nature of the failure.
6. Revisions and Additional Work
Any revisions, changes, or additions to the original scope of work will
require the Client and Developer to agree in writing on any extra costs and
deadlines. The Developer will not proceed with additional work without
written approval from the Client.
7. Intellectual Property Rights
Upon full payment, all intellectual property rights to the website, including
its design, code, and content, will be transferred to the Client. The
Developer agrees not to use or replicate any part of the project for any
other purposes without the Client’s written consent.
8. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or
sensitive information shared during the project. Neither party shall disclose,
share, or use this information for any other purposes outside of this
Agreement.
9. Post-Launch Support and Maintenance
The Developer will provide a [Insert Duration] post-launch support period,
during which time any bugs or issues will be addressed at no extra charge.
After this period, additional support or maintenance will be charged at an
hourly rate of [Rate__________________], unless otherwise agreed upon.
10. Termination
The Client reserves the right to terminate this agreement if the Developer
fails to deliver the project within the agreed timeline or if the work fails to
meet the quality standards outlined in the project proposal. In the event of
termination, the Developer shall return any payments made for work not
completed or delivered.
11. Governing Law
This Agreement shall be governed by and construed in accordance with the
laws of Darbhanga Bihar.
12. Dispute Resolution
In the event of any disputes arising out of this agreement, both parties agree
to first attempt to resolve the dispute through mediation. If mediation fails,
the dispute will be submitted to arbitration under the laws of Darbhanga
Bihar .
