AGREEMENT ON MONTHLY SERVICING AND MAINTENANCE WORKS OF 02 (TWO)
UNITS TOSHIBA BRAND LIFT.
This Agreement is made at Fifteenth day of November 2024 between NDUB 2, Nortre Dame
University of Bangladesh Arambagh, Dhaka-1000. hereinafter called the “Authority” (which
expression shall include theirs, successors and assignees) on the FIRST PART.
And
Shibatech Corporation Ltd. having its place of business at Ahmed Tower, Level-21, 28 & 30
Kemal Ataturk Avenue, Banani, Dhaka-1213, hereinafter called the “Company” (which expression
shall include their heirs, successors and assignees) on the SECOND PART, witnesses.
WHEREAS this Agreement envisages the regular Servicing and Maintenance works of 01(One)
nos. of TOSHIBA Brand Lifts, Capacity 825kg of 07 Stops, Speed 1.0 m/sec.,AC-VVVF Drive
therefore the parties hereto agree to accept to the following terms and conditions:
1. That the Company shall carry out the normal servicing of the aforesaid 02 no. Lift once in
every month.
2. That the expression servicing include adjustment if necessary, resetting if necessary and
proper cleaning of the machinery in the machine room, the shaft way, doors, the car and other
accessories pertaining to the lift oiling, greasing so that the lift may be in proper working
condition.
3. That company shall maintain the lift in proper working condition and attend to all faults or
failures, which may develop at any time during the month with the least possible delay.
4. That the expression Servicing or Maintenance Works shall not include the replacement of
spare parts, Gear Oil, Rope etc. which will be charged extra. Any Replacement of spare parts
shall be done with the prior approval of the authority in writing.
5. That the authority (FIRST PART) will pay as monthly maintenance charge to Shibatech
Corporation Ltd (Second Part) for Tk. 3,500X2=7,000/-(Taka Seven thousand only) including
Govt. Levy, Charges, Taxes, AIT, VAT etc. for 02 nos. of lifts. Monthly Payment is to be paid
to Second Part by First Part within 5th date of following months.
6. Govt. Levy, Charges, Taxes, AIT, VAT if any will be borne by the Authority (FIRST
PART).

7. That Company will carry out the servicing and the maintenance works of the lift with their
trained staff.
8. The company will keep in stock sufficient spare parts to be able to replace without delay,
those parts that are normally subject to wear and tear and also arrange for the import at
authority’s expense form their Principal’s, if necessary, those parts that may either be not
available from ready stock or that is not disordered normally.
9. That only authorized workers of company who are approved and trained by TOSHIBA
ELEVATOR AND BUILDING SYSTEM CORPORATION, Japan will be allowed into the
shaft and the equipment room.
10. That case of major breakdown of the machinery dismantling and / or resetting of the main
machinery and / or complete overhauling of the installations are not covered by this agreement.
For such items the charges will be extra mutually agreed.
11. That the agreement will take effect from 01.11.2024 to 30.11.2027 for 03 (Three) years and
shall be automatically renewed for a successive period if otherwise notified by both the parties.
12. The agreement shall be terminated by either party by notifying the other in writing before
03(three) months.
