SALE DEED

THIS SALE DEED is made and executed on this the ___ day of April 2025 at
Sub Registrar, _________ District, Telangana by:-

1. Vedant Spa and Resorts Private Ltd, a company incorporated under


the Companies Act, 2013 Pan no. AACCV7812N and represented by
its Director, Mr. Manoj Malpani S/o Late Sri. R.N.Malpani resident of
Flat No. 901, B Block, 9th Floor, Aspire Apartment, Kummari Basti,
Madhapur, Hyderabad – 500081 – Telangana. (Aadhar No. 2505
4108 3646)

2. Infinity Security Papers Limited, a Limited incorporated under the


Companies Act, 2013 PAN NO. AABCO1399L and represented by its
Director, Mr. Manoj Malpani S/o Late Sri. R.N.Malpani resident of Flat
No. 901, B Block, 9th Floor, Aspire Apartment, Kummari Basti,
Madhapur, Hyderabad – 500081 – Telangana. (Aadhar No. 2505
4108 3646)

(Hereinafter referred to as the “VENDOR” which term shall mean and


include his/her/their Legal Heirs, Representatives, Administrators,
Executors and Assignees) of the one part;

IN FAVOUR OF

registered office at Pot No. 126, 3 rd Floor, Road No. 71, Navanirman
Nagar, Jubilee Hills, Hyderabad, Telangana represented by its
Managing Partner Mr. Garapati Srinivas Rao S/o Ranga Rao residing
at _______________________________________________________,
Hyderabad – 500084.
(Aadhaar No.__________, Cell No.__________)

(Hereinafter referred to as the “VENDEE/VENDEE” which term shall


mean and include his Legal Heirs, Representatives, Administrators,
Executors and Assignees) of the OTHER PART;

I. Whereas the Vendors/Landowners herein are the absolute owners,


possessors and title holder with all rights arising thereof in respect
of property bearing Survey Nos. 52/19, 52/23, 52/24,
52/24/3/1/E, 52/24/3/1/AA, 52/25, 52/24 of Govindaipally,

Karkalpahad Village ,Kadthal Mandal, Ranga Reddy District under a


registered sale deed bearing document nos. 7814/2012,
7821/2012, 7813/2012, 6806/2016, 5609/2011, 7812/2012
total admeasuring Acres 12.08 Guntas and ever since the date of
acquisition the Landowners are in peaceful possession and
enjoyment of the said property to the exclusion of all concerned,
including their vendors or anyone under them.

II. Whereas, the one Mr. Kakarla Govind S/o. Kakarla Chinappa Reddy
is the absolute owner, possessor and the title holder of the land
admeasuring Ac. 1.00 Gts in Survey No’s. 52/24/4 situated at
Govindaipally, Karkalpahad Village, Kadthal Mandal, Ranga Reddy
District purchased under a registered sale deed 1358/2023 dated
11.08.2023 at office of the Tahsildar & Jt sub registrar Kadhal.

III. The names of the landowners are mutated in the revenue records
with the MRO, as Pattadars and more clearly delineated on the plan
annexed to this instrument and hereinafter for brevity referred to as
the “Scheduled Property”.

IV. Whereas the Vendors/Landowners entered into a Development


Agreement cum General Power of Attorney Vide registered
document bearing no. 4040 of 2023 dated 15.03.2023 with Geethika
Infra Developers i.e., Vendee here at SRO, Maheshwaram for the
development of residential plots to an extent of Ac.25.03 Gts.

V. Whereas the Vendors and the Developer initially entered into a


DGPA bearing 4040 of 2023 dated 15.03.2023 for development of
the land to an extent of Ac. 25.03 Gts. The Developers obtained
approved layout in the respect of Ac. 12.08 Gts only out of Ac. 25.03
Gts along with Ac. land admeasuring Ac.1.00 Gts situated at S.No.
52/24/4, Registered Document no. 1358/2023 Dated11.08.2023 at at

office of the Tahsildar & Jt sub registrar Kadhal and Nala Order no.
2300672211. Land situated at Karkalpahad Village, Kadthal Mandal,
Ranga Reddy District belonging to third party pattadar, namely;
Kakarla Govind Reddy S/o Kakarla Chinnapa Reddy, R/o 15-21-
32/10/502, Balaji Nest, Balaji Nagar, Kukatpally, Hyderabad – 500072,
herein, which land was joined with that of the Landowner/Vendors in
applying for the DTCP approval for a comprehensive layout and the
same was approved by the for an extent of Ac. 13.08 Gts being
Ac.

VI. Whereas, Vedant Spa and Resorts Private Ltd represented by its
Director, Mr. Manoj Malpani , Infinity Security Papers Limited
represented by its Director, Mr. Manoj Malpani, Kakarla Govind Reddy
and Geethika infra Developers Represented by its Managing Partner
Mr. DVRK. Prasad have entered into a Supplementary
Development Agreement cum General Power of Attorney
concerning of land measuring Acres 13.08 Guntas or 63888
Sq.yads in Sy no, 52/19, 52/23, 52/24, 52/24/3/1/E,
52/24/3/1/AA, 52/25, 52/24, 24/24/4 , of Govindaipally,
Karkalpahad Village ,Kadthal Mandal, Ranga Reddy District.
Supplementary Development Agreement cum General Power of
Attorney Vide registered document bearing no. _____ of 2025 dated
________ office of the sub registrar Maheshwaram.

VII. Whereas, the property described in the schedule-B, Plot no. 137,
138,139,140,141,142,150,151,152,153,154,155,156,157,158,
has been allocated to the Vendor share in accordance with the terms
outlined in the Supplementary Development Agreement cum
General Power of Attorney, thereby transferring or designating the
ownership or responsibility of the property to the Vendor as per the
agreed-upon provisions between the parties.

VIII. Whereas Vendors are hereby agreed to sell the part of their 55%
share allotted in the supplementary Development agreement to the
Vendee an extent of 2449 Sq.Yards., in Plot.No. 137,
138,139,140,141,142,150,151,152,153,154,155,156,157,158 at
Karkalpahad Village ,Kadthal Mandal, Ranga Reddy District in favour
of the Vendee for a total consideration of Rs. 24,49,000/- (Twenty
Four laksh Forty nine thousand only ).

IX. WHEREAS the Property is entirely in possession of the Vendor


and the Vendor has agreed to sell and the Vendee has agreed to
purchase the Property upon the terms and subject to the
conditions hereinafter appearing.

NOW THIS SALE DEED WITNESSETH AS FOLLOWS:

1. That in accordance with the terms and in pursuance of the above


mentioned agreement for a total sale consideration Rs24,49,000/-
(Twenty Four laksh Forty nine thousand only ) and the said amount
is hereby paid by the Vendee/s to the Vendor as under: -

(a) Rs24,49,000/- (Twenty Four laksh Forty nine thousand only ) by


way of Cheque/DD bearing No.__________, drawn on ______ Bank,
_________ Branch.

and the receipt whereof the Vendor hereby admits and


acknowledges and the Vendor hereby alienates, conveys, transfers
and sell to the Vendee/s the Schedule Property i.e., [Morefully
described in the Schedule of Property hereunder and more clearly
delineated in the Map enclosed herewith] by way of absolute sale in
favour of the Vendee/s together with all the rights of easements
attached to the same.

2. The Vendor declares that the schedule property is free from all kinds
of liens, charges, mortgages, litigations, court cases, encumbrances,
prior agreements, acquisitions, attorneys, etc. The Vendor hereby
agrees to indemnify and keep indemnified the vendee from all kinds
of losses, damages, demands & third-party claims, etc., which the

vendee is put to by the reason of any defect in the title of the


Vendor or any act or omission on Vendor's part.

3. The Vendor has also delivered to the vendee the original


documents pertaining and relating to the schedule property
including the deed under which the Vendor acquired the schedule
property, the link documents, tax bills and receipts, etc., and other
papers thereof and affirms that there are no other documents
existing in respect of the Property other than the documents handed
over to the Vendee.

4. The Property is not an assigned land within the meaning of A.P.


Assigned lands (Prohibition of Transfers) Act 9 of 1977 and it does
not belong to nor is under mortgage to the Government and/or
Government agencies/ undertaking or any private financial
institutions, Banks or individuals;

5. The Vendor represent, warrant and covenant to the Vendee that no


part of the Property is subject to any easementary right given by the
Vendor or his predecessors-in-title;

6. The Vendor represent, warrant and covenant to the Vendee that in


the event any additional right, title and interest in the Property are
found to be subsisting with the Vendor, the same are hereby
deemed to have been conveyed to the Vendee under this Deed for
all intents and purposes, and that no consideration other than as
specified herein need be paid for the same by the Vendee. The
Vendor however agree and undertake to execute such other
document/s and do or cause to be done all such acts, deeds and
things that are reasonably and legally required to be done at the
instance of the Vendee for more fully and perfectly confirming and
assuring the title of the Vendee to the Property.

7. The Vendor do hereby declare that the Vendee is fully entitled to


get its name mutated in all public and statutory records, and Vendor
hereby expressly and unambiguously consent to the same. The
Vendor do also undertake to co-operate with the Vendee in all
respect to cause mutation of the Property in the name of the
Vendee and in this regard shall sign all documents and papers as
required by the Vendee from time to time.

8. The transfer of the Property being affected by this conveyance a


sale within the meaning of the Transfer of Property Act,1882 and the
sale is absolute, irreversible and forever.

9. The Parties hereby mutually agrees that any and all disputes/
differences between the parties arising out of this Sale Deed or any
provision thereof shall be subject to the jurisdiction of the Courts of
RangaReddy, Telangana, India.

10. The stamp duty, registration charges and all other out of pocket
expenses payable on this Sale Deed shall be borne and paid by the
Vendee alone and each Party shall bear their own advocate fees and
other expenses.
