MRS. REBECCA O. AYODEJI Of No. 55, Ebute Kekere Way Off
LASU/Isheri Expessway, Akesan, Lagos State. (hereinafter called “THE
ASSIGNOR” which expression shall where the context so admits include
her heirs, assigns, successors-in-title and legal representatives) of the first
part.
AND
MRS. AGHAULOR CYNTHIA NGOZI of No. 4 Samuel Otusile Street,
Iba new site, Ojo, Lagos State. (hereinafter called “THE ASSIGNEE” which
expression shall where the context so admit include her heirs, assigns,
successors in title and legal representatives) of the second part.
WHEREAS:
1. By virtue of a Lagos Building Investment Company Limited Letter of
Allocation with Reference No: LBIC/AGM (EA)SHOPS/IBA, MRS.
REBECCA O. AYODEJI herein referred to as the ORIGINAL
ALLOTTEE became the bonafide owner of the property described in
the schedule hereto, herein referred to as “The Property”.
2. The Original Allottee assigned all her interest in the property to the
ASSIGNOR herein via a Deed of Assignment between the duo.
3. The ASSIGNOR herein has been exercising rights of ownership over
the property without any hindrance.
4. The ASSIGNOR is now desirous of selling, conveying, and
transferring the said property to the ASSIGNEE and the ASSIGNEE
has agreed to accept it for a valuable consideration.
5. The ASSIGNOR in exercise of her beneficial ownership rights has
agreed to sell and/or dispose of all her interest in the property
referred to in (1) above to the ASSIGNEE subject to the terms and
conditions hereinafter appearing.
NOW THIS DEED WITNESSETH AS FOLLOWS:
IN PURSUANCE of the said agreement and in consideration of the agreed
total sum of N500, 000 (Five Hundred Thousand Naira) only paid BY
THE ASSIGNEE TO THE ASSIGNOR (the receipt whereof the ASSIGNOR
hereby acknowledges) the ASSIGNOR as Beneficial Owner hereby assigns
unto THE ASSIGNEE all her interest/claims, rights, ownership, privileges in
A LOCK-UP SHOP AT IBA LOW COST HOUSING ESTATE SHOPPING
COMPLEX, IBA, LAGOS STATE KNOWN AS BLOCK D SHOP NO. 10 TO
HOLD same unto and for the use of the ASSIGNEE absolutely free from
encumbrance but subject to Land Use Act.
THE ASSIGNOR HEREBY CONVENANTS WITH THE ASSIGNEE AS
FOLLOWS:
1. That the transfer shall take effect immediately from the date of the
execution of this Deed and from that date the ASSIGNOR shall cease
to be the owner of the property herein expressed and ASSIGNEE
shall forthwith be known as the rightful owner/holder of title of the
said property.
2. That the ASSIGNEE shall peacefully hold and enjoy the demised
property throughout the tenure hereby granted without any
interruption by THE ASSIGNOR or any person rightfully claiming
through, under or in trust for her.
3. To indemnify the ASSIGNEE and all their successors_ in_ title against
all actions, losses, proceeding, cost, damages and the averse claims by
the third parties against interest hereby agreed to be conveyed to the
ASSIGNEE by reason of same being challenged proved invalid,
defective and then resulting in the ASSIGNEE being ousted from
possession of the demised property
4. That the ASSIGNEE shall pay future taxes assessment, duties,
outgoings and other charges whether Local, State or otherwise
imposed or charge upon the demised premises.
5. To pay all statutory charges and fees that may be imposed by the
authorities in perfection of the change of ownership.
6. The ASSIGNOR shall assist the ASSIGNEE by providing documents
relating to the title of the property in its custody and to do all that is
necessary to enable the ASSIGNEE complete the change of ownership
at the Lagos Building Investment Company Plc.
IN WITNESS WHEREOF the ASSIGNOR” and the ASSIGNEE” with their
witnesses herein unto set their hands this day, month and year first above
written.
