DEED OF PUBLIC CHARITABLE TRUST
THIS INDENTURE OF TRUST is made on this 5th day of February 2025 between:-

“THE SETTLOR” of the TRUST

, hereinafter referred collectively as “TRUSTEES”
( which term or expression shall unless excluded by or repugnant to the context be
deemed to mean and include his heirs, executers, administrators, legal representative
and or assigns )
Whereas the Settlor has a keen and earnest desire to serve mankind in general and the poor and the
other backward people of the country of India in particular by creating a TRUST out of the
money Rs 1 Lakh which he has contributed and possessed of and which he set apart for the
purpose as detailed in the AIMS and Objects clause
And whereas the TRUSTEES have agreed to become TRUSTEES and to hold and apply the said
sum of Rs 1 Lakh 1and all gifts, contribution and donations to the said fund including all
additions and accretions hereto referred to as the “TRUST property /Fund” for the objects of
the provisions contained in this deed
AND whereas with a view to and the purpose of constituting the TRUST permanently as an
irrevocable TRUST for the purpose of carry on the objectives of the TRUST as mentioned
hereinafter under the ” Objectives” clause for the deed of TRUST
1. NAME AND OFFICE OF THE TRUST
a) The name of TRUST shall be “ EL-OR MINISTRIES”
b) The office of the TRUST be located at Plot No. 62 , Priya Nagar , Vilangadupakkam ,
Thiruvallur District , Chennai- 600052.
c) TRUSTEES shall have the power to shift the office to any other place in India or open local
offices at places deemed necessary.
2. INTERPRETATION
a) TRUST means the TRUST created by this deed .
b) The “ Board “ shall mean the Board of Trustees created by the Deed.
c) “Trust Property” shall include every kind of property movable and immovable owned by the
TRUST and mentioned in account books and other documents in the custody and control or
that ought to be in the custody and control of the TRUST.
3. OBJECTS OF THE TRUST
The objects for which the Trust is founded are:
(a) To establish, maintain and run Schools, Colleges, Social service centres, Industrial
Training centre.
(b) To establish, Training Centre, and allied education institutions.
(c) To establish, Cultural, and Social Institutions,
(d) To Spread for promotion of education and learning in all branches more specifically in
Science and Technology.
(e) To advance Indian Culture and Literature, Service of this Country for the benefit of our
Nation.
(f) To train teachers and workers in ideals and practice of the true spirit of the education and
learning.
(g) To establish research and training centres for the furtherance of education/learning in it’s
various fields and branches.
(h) To undertake propaganda, training and education of the masses either of its own or in co-
operation with similar Agencies working for the cause of all round development of the
Society.
(i) To bring, publish and sell, distribute books, periodicals, leaflets, brochures and papers and
also to open and maintain libraries, reading rooms for the promotion of the objects of
the Trust.
(j) To function as a Non-communal Trust and as a secular organisation.
(k) To establish centres for employment generation.
(l) To acquire and maintain the movables and immovable properties for achieving and said
objects.
(m) To advance any other objects of general public utility.
(n) To confer title on eminent personality in the field of science, education, literature, etc.,
(o) To establish the colleges to impart education in the area of higher education especially the
emerging field like, Electronics, Bio-technology, and other allied fields.
4. RAISING OF FUND AND EXPENDITURE:
And for achieving any or all the above objects to raise funds through donations, grants and
contributions and to obtain and receive deposits and loans from Banks and other Financial
Institutions, Individuals, associations, firms whatever and to invest and deal with the money
and funds belonging to the TRUST not immediately required in such manner as may from
time to time be determined by the Board of Trustees subject to the provisions of the Law of
the land, and to take on lease or purchase or accept by way of gift and land , building or any
other property both movables and immovables and to remunerate any person, firm or
institutions for services rendered to the TRUST in any capacity and to pay out the funds of
the Trust all costs, charges, expenses incidental to the establishment, registration and
advertisements of this Trust and to adopt and take such other lawful means as may be
incidental and conducive to the accomplishment of all or any of the above objects and shall
also receive grants and donations from Foreign Governments, organization, institutions or
agencies and individuals according to the prevailing Law of the land.
5. CONTROL OF THE TRUST:
The properties and funds shall vest in the Board of Trustees constituted by persons executing
the Deed of Trust. The number of members of the Board of Trustees shall not exceed Seven.
If there are vacancies at the time of execution of this deed, the same can be filled up by co-
option of the Board of Trustees.
6. OFFICE BEARERS :
Office Bearers of the Trust shall be as follows
1) President, 2) Secretary, 3) Treasurer, 4) Accountant.
Provided that the Board of Trustees is authorized to create any other posts of office bearers
and elect other office bearers to fill up the posts among the Trustees.
The above office bearers shall be elected from among themselves by a majority of the
Trustees at a meeting convened for the purposes.
7. VACANCIES:
A VACANCY SHALL ARISE AMONG THE Trustees in the following cases:-
a) When a Trustee dies
b) When he / she resigns
c) When he / she is absent from 3 consecutive meeting of the Board, unless the Board record
condoning such absence
d) When he / she becomes insolvent
e) When he / she is convicted of any criminal offence involving moral turpitude
f) On medical evidence that he/ she is declared physically or mentally unfit by a resolution of
the Board at a meeting convened for the purpose.
In case of any vacancy arises among the Trustees, new Trustee shall be nominated and /
appointed and such person shall be of sound mind, above 18 years of age and who shall
subscribe to the object of the Trust.
The Board of trustees then by a 2/3rd majority of the existing Trustees attended the meeting
convened for the purpose, shall fill up the vacancies arising in the Board of Trustees and also
increase and include more Trustees.
8. TERM OF OFFICE:
The Board of Trustees shall elect office bearers from among themselves within a month of
the formation of Trust. They shall remain in office for 2 years. The Board will elect office
bearers for the next terms within a month of expiry of the term.
9. POWER OF TRUSTEES:
The Board of Trustees shall have the following power;
a) To call for and collect and receive funds and such funds may be utilized by them for such
purposes and objects of the Trust as they deem fit.
b) To accept and receive contributions, donations, gifts and grants.
c) To acquire movable and immovable property by purchase or otherwise
d) To erect or cause to be erected buildings or building equipments and machinery for the
benefit and attainment of the objects of the Trust.
e) To sell, transfer, exchange, alienate or mortgage movable or immovable properties belonging
to the Trust.
f) To manage administer and control properties and all assets of the Trust directly or indirectly
and all institution connected with the Trust.
g) To demand , call for and realize money and other assets due or belonging to the Trust and
issue receipts and vouchers for the receipt of the same.
h) To employ necessary staffs for the management, administration and running of the Trust in
general and for the institution in particular and for the purpose of carrying out the objects of
the Trust on such terms as may appear proper to the trustees and to delegate and to allot to
such staff from time to time such powers and duties as may be necessary in the usual course
of business,
i) To appoint from time to time and at any time to suspend , dismiss, remove or discharge any
person under their control including clerks, accountants, and to re-employ them with such
powers and duties and upon such either by giving one month notice or by giving one month
salary as the Board of trustees shall think proper.
j) The Board shall have the full power to make, amend, delete or rescind rule and by-laws of the
Trust.
To do all acts and things which are connected with the administration of the Trust in general
and of the institutions in particular and which are deemed by the trustees to be in the best
interest of the Trust and desirable. The trust shall be an irrevocable public educational,
cultural trust for the
benefit of all persons belonging to whatever community irrespective of Caste,
Creed or Religion, the Trustees shall stand possessed of the said amount of corpus
endowed by the Authors of the trust and such other properties (both movable and
immovable) as may be acquired from time to time by the Trust, by purchase,
exchange, grant, allotment, subscription, endowment, donation, contribution, or in
any manner to whatsoever (all of which shall be designed as Trust properties) on the Trust
herein mentioned.
10. NUMBER OF TRUSTEES:
The number of Trustees including the Author of the Trustees shall not be
less than 2 and not more than 7 persons. The Board of
Trustees shall nominate and invite person/persons to be the other trustees for such
period, as they may deem fit and proper.
11. PRESIDENT:
There shall be a president for the administration of this trust, nominated by
the board of Trustees, who shall be one amongst trustees as specified in para (10)
above for such period, in such manner as may be specified in this behalf
12. MANAGING TRUSTEE:
(i) The day-today administration of the Trust shall be looked after by
the Managing Trustee under the guidance, control and supervision of
the Board of Trustees.
(ii) The Board of Trustees shall nominate one amongst the trustees as
specified in para (10) above to be the Managing Trustee, who shall
hold office for such period, as may be decided by the Board of
Trustees.
(iii) The Managing Trustee shall perform all functions, discharge such
duties as or specifically entrusted to him/her in writing by the Board
of Trustees.
13. RECEIPTS OF CONTRIBUTIONS AND BANK ACCOUNTS :
All the money should be received only on account of or in the name of the TRUST and
receipts should be issued under the seal of the Trust and must be signed by the President or
Secretary or the persons authorised by the Board by a resolution recorded in the minute book.
No money or property shall be received or used except for the purpose and objects of the
Trust. The Bank accounts shall be opened in the name of the Trust and shall be operated
jointly by any two of the President and Secretary and Treasurer or any two of the Authorised
Signatories.
14. BOARD MEETING
The Trustees shall ordinarily meet once in 3 months or as often as
may be necessary for the satisfactory conduct of the affairs of the Trust.
15. NOTICE:
7_days Notice shall ordinarily be given in writing for a meeting of
Board of Trustees
16.VOTING:
Decisions of the Board of Trustees may be made at a meeting or by
circulation of papers to them. Normal matters of routine nature may be circulated
and decision obtained. The important matters are to be decided at the meeting. All
matters arising for disposal shall be decided by a majority of the Board of Trustees
present at the Meeting. The President of the Board of Trustees shall have a casting
vote in the event of equality of votes, in addition to his own.
17. QUORUM:
The Quorum for the Meeting of the Board of Trustees shall be 2/3 rd of the Number of
Trustees.
A minute book shall be kept by the Managing Trustee. Minutes of entry
into the office of every new trustee and of all proceedings of the meeting of the
board of trustee shall be entered in the minute book and shall be signed by the
President of the Meeting.
18.ACCOUNTS:
The Trustees shall maintain a true and correct record of the receipts, payments
incomes and expenses and transactions of the Trust. The Books of Account of the
trust shall be audited by a qualified auditor or a Chartered Accountant every year
i.e., commencing from 1st April to the 31st March of next year.
19.IMMOVABLE PROPERTIES OF THE TRUST
No immovable property belongs to the Trust shall be sold, exchanged, transferred, converted,
mortgaged or alienated in any manner whatsoever except when such exchange, transfer,
conversion or alienation :
i) Is imperative in the interest of the Trust and Institutions and Department connected therewith,
ii) Is not likely to adversely affect to any extent whatsoever the existence and benefit of the
Trust, Institution and departments connected therewith an object of the Trust, and
iii) Is decided to that effect by the Board in its meeting by a resolution passed by majority of the
Trustees present.
iv)
20. SUITS AND LEGAL PROCEEDING:
The Board or any one or more of the Trustees may apply for advice or the directions to the
Court as occasion may arise. The Board of Trustees may apply may sue or to be sued in the
name of the Secretary of the Board. The Board may by a resolution passed specially or
generally in that respect at any time and from time to time authorize any of the Trustees by
power of Attorney or otherwise.
i) To institute, conduct, defend, compound, withdraw or compromise, adjust, refer to arbitration
or abandon any legal or other proceedings, claim or disputes, or against the Trust or Trustees
or against its officers or employees concerning the affairs of the Trust and to sign and verify
vakalat, plaints, statements, affidavits and other proceedings before all Courts, Tribunals and
other Government authorities both Central and State.
ii) In entering into any agreement or contract or in executing and registering any document,
iii) Generally in doing and performing any act, deed, matter of things whatsoever which has to be
done, executed and performed by the Board of Trustees or Trustees as the case may be in
relation to any property, business affairs and matters of the Trust and / or of the Board and/ or
Trustees as in/are principal / principals.
iv) The Board may take other step it may deem fit to meet any contingency affecting the Trust in
any legal proceedings or any other matter.
21. OFFICIAL YEAR
The official year of the Trust shall be 1st April to 31st March of each year.
22. WINDING UP OF THE TRUST
In case the Trust activities could not be continued for any reason, the property, funds and
assets of the Trust that may remain after full satisfaction of the liabilities of the Trust will be
transferred, paid and handed over to any trust society or institution established for achieving
similar aims and objectives provided that—
i) Notice of such meeting is served on all the existing Trustees,
ii) Such meeting is attended by at least ¾ of the existing Trustees,
iii) Such decision or resolution is carried out by the votes of at least ¾ of the trustees present,
23. AREA OF OPERATION
The area of operation pf the objects shall be confined within the territory of India and -----.
24. INVESTMENT
The investment of the Trust assets shall be made as per the provisions of the Income Tax act,
1961
25. AMENDMENTS TO THE SCHEME
If any time it is found that alterations in any of the provision of the Trust or scheme for the
purpose of effective achievement of the object of the Trust are imperative and very essential,
then the Board shall approve such alteration by a resolution passed in its meeting and
thereafter the modification shall become part and parcel of the terms, condition and
provisions of this Trust and of this scheme.
The Board may at any time and from time to time make, amend, delete and rescend rules and
bylaws for the conduct of this business, for the control, management and administration of
the Trust made under this Trust deed and for carrying out the objects of the Trust relating to
any matter under this scheme, provided that such rules and bylaws shall not be inconsistent
with or repugnant to any provisions of the scheme of the Trust.
No amendments to the Trust Deed shall be made which may prove to be repugnant
to the provisions of Section 2(15), 11, 12 and 13 and 80G of the Income Tax Act,
1961 as amended from time to time.
DECLARATION
THIS Trust and the scheme set forth under this indenture shall come into force immediately
after the execution and registration thereof.
The Trustees above named also hereby declare that they have consented to the Trustees under
the Trust accepted and the Trust have taken delivery of the possession de jure and defect of
the schedule fund of price and that in witness whereof the Settler above named as parties
herein has affixed his signature hereunder.
IN WITNESS WHERE OF THE SETTLER AND THE TRUSTEES have set their respective
hands on the day, month and year first above written.
THE TRUST HAS NO MOVABLE OR IMMOVABLE PROPERTIES EXCEPT THE
TRUST FUND MENTIONED IN THIS DEED.
IN WITNESS WHEREOF the parties hereto have hereunto set and subscribed
their respective hands and seals after understanding the contents of this Deed
of Mortgage on the day, month and year first above written.
