Terms of service

These terms cover Kern Cloud and this website. The Kern software itself is licensed to you under AGPL-3.0: if you self-host, that licence governs your use and these terms do not apply.
The service
We host Kern for you and keep it running: upgrades, certificates, storage and support at the level your plan describes. What the product does is described on this website; we may improve it, and we will not remove something you depend on without notice.
We back the service up nightly — the database and every file, kept 30 days off the machine that serves you — and we have restored from those backups to check that they work. They exist to recover the service after a failure; they are not a way to undo something your workspace deleted. You can take a copy of your data out whenever you like. Be clear about what that means today: the workspace export carries your people, roles, groups, permission bindings, module settings and a manifest of every file, and it does not yet carry the records inside each module — issues, messages, documents, mail, people and assets — because no module has written its half of it. Nothing loads such an archive back into a Kern instance either. The rest comes out through the public API, and we help with what that does not reach. Kern Cloud sets this out in full, and this paragraph changes the day either half does.
Your account
- You are responsible for what happens under your account, including what your colleagues do with it.
- Keep credentials safe. Tell us at once if you think an account has been taken.
- You must be old enough to enter a contract where you live.
Your content is yours
You keep every right in the content you put into Kern. You grant us only the permission we need to run the service — to store it, transmit it, back it up and show it to the people you gave access. That permission ends when the content is deleted.
Acceptable use
Do not use Kern Cloud to:
- break the law where you are, or where we are;
- send bulk unsolicited email, or use the mail features to spam;
- store or distribute malware;
- attack the service, or anybody else, from it;
- resell the hosted service as your own without a written agreement.
If something on your account is causing harm we will contact you first, unless the harm is immediate and serious. Suspension without warning is a last resort, not a first move.
Payment
- Plans are billed monthly in advance, per user, in USD. There is no annual plan yet.
- Adding people mid-cycle is charged pro rata; removing them credits the next invoice.
- Prices may change with 30 days’ notice, and never in the middle of a term you have already paid for.
- Taxes are added where the law requires.
- If an invoice goes unpaid we will chase it by email before restricting anything.
Cancelling and leaving
Cancel whenever you like; the service runs to the end of the period you paid for. Take your copy before or after, on the terms set out above — there is no importer yet, so moving to your own instance is not a one-click migration and we will not describe it as one. Thirty days after an account closes we delete the data, and we will confirm when it is gone.
Availability
We aim to keep the service available, and we will tell you honestly when it was not. A probe checks the service every five minutes and tells us when it fails, but there is no status page for you to read yet, so if something is wrong the fastest route is to write to [email protected]. A formal availability commitment with remedies is part of an Enterprise agreement; on Team and Business plans we make no guarantee beyond doing the work properly.
Liability
The hosted service is provided as it is, without warranties beyond those the law gives you and does not let us exclude. Our total liability in any twelve-month period is limited to what you paid us in that period. Neither of us is liable for indirect or consequential loss. Nothing here limits liability for fraud, death or personal injury caused by negligence.
Ending the agreement
You may stop at any time. We may end an account for a serious or repeated breach of these terms, or if we are legally obliged to — with notice and time to export, unless the law forbids it. If we ever withdraw the hosted service entirely, you get at least 90 days, an export, and help moving to a self-hosted instance.
Changes
We will email account administrators before a material change takes effect. Continuing to use the service afterwards means the new terms apply. The date at the top says when they last changed.
