Mutai & Gatheru Advocates shall be composed of two Named Partners and four Equity

Partners who shall be the proprietors as listed hereunder:

i. Steve Omondi

ii. Charles Maina

Each of the Equity Partners shall have a 10% share in the firm while the Named Partners

share the remaining 60% equally.

The Partners shall be persons with an excellent reputation inside and outside the Firm

and shall be capable of independently discharging their professional duties.

Nature of Business

The Industry

The Firm shall provide legal services in the following categories of the legal field:

 Energy and Infrastructure Law

 Real Estate and Conveyancing department

 Litigation and Arbitration department.

 Commercial department

 Taxation & Intellectual Property department

 Labour & Insurance department

 Gas and Oil Exploration department

Energy and Infrastructure Law

The Firm intends to represent oil giants such as Tullow Oil Plc and in litigation, to

challenge oil and gas exploration permits including claims arising from the

Environmental Impact Assessments. The Firm also intends to advise companies on issues

relating to the operations of multinational oil companies within the regulatory

framework of Kenyan Law. To also advise on the financing and review and the drafting

of regulations concerning contracts relating to the transport and storage of petroleum

products.

Real Estate and Conveyancing

handles all forms of real estate transactions with specific expertise in drafting commercial

leases and related documents and notarizing and registering transfers, leases, charges,

mortgages, debentures and other related conveyances; acting for leading financial

institutions and preparing security documentation in their favour; structuring medium

and large scale commercial and mixed-use developments, obtaining planning and

development permissions and ensuring compliance with environmental regulations;

large scale acquisitions and dispositions of houses, flats, parcels of land, industrial,

commercial buildings and multi-storey residential complexes and real estate financing;

registration of documents and obtaining the necessary clearance documents and consents

from the relevant state department and registries; conducting audits on security

documents held by banks and financial institutions to advise on their propriety and

suitability and property litigation.

Form of Ownership

The business will be owned on the basis of capital contribution by the six partners for the

first six months after which a bank loan shall be acquired. The start-up capital will be

Kenya Shillings Five Million. The contribution ratios will be as follows:

i. Mr. Mutai Owen -30% (1,500,000/=)

ii. Ms. Gatheru IvyEsther -30% (1,500,000/=)

iii. Mr. Kimani Kennedy -10% (500,000/=)

iv. Ms. Njeri Gitau -10% (500,000/=)

v. Ms. Janai Abigael -10% (500,000/=)

vi. Mr. Okumu Melvin -10% (500,000/=)

The Firm shall be registered and conduct its business in Kenya.

The Partners and Associates will be qualified according to the legal fields that the Firm

specializes in.

The Firm shall be located at Upperhill in Nairobi, Kenya. The choice of location was due

to security purposes, easy accessibility from the Central Business District (CBD) and less

Principal Customers

The Firm will target principal customers such as Kenya Electricity Generating Company

LTD and construction companies such as Lee Construction LTD, petroleum companies

such as Hass Petroleum, foreign agencies and foreign investment companies. These

companies have good reputation and therefore attract a huge clientele which they will

refer to the Firm and their nature of transactions align with the Firm’s nature of business.

Principle Competitors

In identifying the Firm’s competitors, the Firm gets a competition advantage by studying

the competing Firms’ weaknesses and strengths and improving on their loopholes.
