ARTICLE 4: FORCE MAJEUR
Force majeur circumstance must be notified by cable or fax by one party to the other within 10
days. After such cable notification a certification of force majeure issued by the competent
government authorities will be sent to the other party. Beyond this time force majeure circumstance
shall not be taken into consideration.
ARTICLE 5: CLAIM AND ARBITRATION
Upon receiving the goods, the Buyer shall have the goods inspected, if their quality and
specification are not in conformity with those mentioned in this contract, the Buyer shall have the
right to make claim to the Seller. All claims by the Buyer shall be made within 90 days with regards
to the apparent defects and 120 days to latent defects after arrival of the goods at port of destination
and shall be confirmed in writing by registered airmail together with particulars of survey report
of "Vinacontrol" of the Socialist Republic of Vietnam which should be regarded as final.
The claims arising out of this contract will be first settled amicably, should it not be possible to
reach such settlement, this claim will be settled by the Foreign Trade Arbitration Committee
attached to the Chamber of Vietnam International Arbitration Centre of Vietnam.
The arbitration fees shall be borne by the losing party
ARTICLE 6: AMENDMENTS AND ALTERATIONS
Any amendment or alterations of the terms of this contract must be mutually agreed previous and
made in writing.
ARTICLE 7: CONTRACT VALIDITY
This contract is signed by fax, made in English having equal legal value, becoming effective from
the signing date to 5 Sep, 2023.
