THIS DEED OF SALE executed at Chennai on this the 09th day of


December 2024,

BY

Mr. V. ANNAMALAI, (PAN No. AJDPA9035B & AADHAR No. 5771 1807
8163), Son of Mr. Vajravelu, aged about 52 years, residing at No. 8, B-5,
Anugraha Apartments, Velmurugan Nagar, Lakshmi Avenue, Urapakkam
West, Annai Anjugam Nagar, Kancheepuram – 603211. (Hereinafter called the
“VENDOR”)

AND TO IN FAVOUR OF

Mr. SARAVANAN V.S., (PAN No. FDJPS2136C& AADHAR No. 6549


1893 4862), Son of Mr. Vellappan, aged about 46 years, residing at
No.69/33/1, Kothaval Chavadi Street, Saidapet West, Saidapet Chennai –
600015. (hereinafter called the ‘PURCHASER’)

Whereas the terms “VENDOR” and “PURCHASER” appearing in this


deed hereafter shall mean and include themselves, their successors, their
legal heirs, the legal representatives, executors, administrators and assigns.

WHEREAS A Vacant house site bearing Plot Nos. 7 & 8, measuring an


extent of 5028 Sq.ft. (i.e. Plot No. 7, 2516 Sq.ft. and Plot No. 8, 2512 Sq.ft.).
Comprised in Old Survey No. 5/1, Patta No. 1565, as per Patta New Survey
No. 5/1B1A, in the Layout named known as “Lakshmi Avenue”, approved by
DTCP vide No. DTCP/LP/536/98. Situated at Urapakkam Village
Chengalpattu Taluk and Kancheepuram District, was originally owned and
possessed by Mr. SenthilAthipan who had purchase the same from Mrs.
Jayashree Shah represented by her power agent Mr. R. Harish., Vide Sale
Deed Registered as Document No. 341/2002 dated 08/02/2002 SRO
Guduvanchery.

AND WHEREAS Patta for the above-mentioned property stands in


the name of Mr. SenthilAthipan Vide Patta No. 2979. As per Patta New Survey
No. 5/58 issued by the Deputy Tashildar Vandalur Taluk.

AND WHEREAS SenthilAthipan has appointed Mr. T.J. Zachariah


as his power agent empowering him to deal with the above-mentioned
properties bearing Plot Nos. 7 & 8, measuring an extent of 5028 Sq.ft. (i.e.
Plot No. 7, 2516 Sq.ft. and Plot No. 8, 2512 Sq.ft.). Comprised in Old Survey
Nos. 5/1 and 5/1B1A, Patta No. 2969 as per Patta New Survey No. 5/58, in
the Layout named known as “Lakshmi Avenue”, approved by DTCP vide No.
DTCP/LP/536/98. Situated at Urapakkam Village Chengalpattu Taluk and
Kancheepuram District. Vide General Power of Attorney registered as
Document No. 426/2011 dated 17/02/2011 SRO Guduvanchery.

AND WHEREAS SenthilAthipan represented by his power agent Mr.


T.J. Zachariah has entered into an Agreement for sale with V. Annamalai,
dated 23/09/2013, to sell the 455 Sq.ft. of Undivided share out of land
measuring an extent of 5028 Sq.ft. in bearing Plot Nos. 7 & 8. Comprised in
Old Survey Nos. 5/1 and 5/1B1A, Patta No. 2969 as per Patta New Survey
No. 5/58, in the Layout named known as “Lakshmi Avenue”, approved by
DTCP vide No. DTCP/LP/536/98. Situated at Urapakkam Village
Chengalpattu Taluk and Kancheepuram District.

AND WHEREAS M/s. Associated Engineering Concerns represented


by its partner Mr. H. Natarajan has entered into a Construction Agreement
with V. Annamalai dated 23/09/2013, to construct a Residential Flat bearing
No. B-5, in the Second Floor, together with 900 Sq.ft. of built-up area in the
building named known as Anugraha Apartments and 455 Sq.ft. of Undivided
share out of land measuring an extent of 5028 Sq.ft. Comprised in Comprised
in Old Survey Nos. 5/1 and 5/1B1A, Patta No. 2969 as per Patta New Survey
No. 5/58, in the Layout named known as “Lakshmi Avenue”, approved by
DTCP vide No. DTCP/LP/536/98, bearing Plot Nos. 7 & 8. Situated at
Situated at Urapakkam Village Chengalpattu Taluk and Kancheepuram
District.

AND WHEREAS SenthilAthipan represented by his power agent Mr. T.J.


Zachariah have sold the above-mentioned properties being 455 Sq.ft. of
Undivided share out of land measuring an extent of 5028 Sq.ft. in bearing Plot
Nos. 7 & 8. Comprised in Old Survey Nos. 5/1 and 5/1B1A, Patta No. 2969
as per Patta New Survey No. 5/58, in the Layout named known as “Lakshmi
Avenue”, approved by DTCP vide No. DTCP/LP/536/98. Situated at
Urapakkam Village Chengalpattu Taluk and Kancheepuram District to in
favour of V. Annamalai. Vide Sale Deed registered as Document No.
15604/2013 dated 14/11/2013 SRO Guduvanchery.

AND WHEREAS V. Annamalai has mortgaged the above-mentioned property


with M/s. UCO Bank which is evidenced by The Deed of Memorandum of
Deposit of Title Deeds Registered as Document No. 7433/2013 dated
16/12/2013 SRO Guduvanchery. Subsequently and the same has been duly
cancelled Vide Deed of Receipt Registered as Document No. _________/2024
dated 09/12/2024 SRO Guduvanchery.

AND WHEREAS V. Annamalai herein, the Vendor has become sole and
absolute owner of the property being Residential Flat bearing No. B-5, in the
Second Floor, together with 900 Sq.ft. of built-up area in the building named
known as Anugraha Apartments and 455 Sq.ft. of Undivided share out of land
measuring an extent of 5028 Sq.ft. Comprised in Comprised in Old Survey
Nos. 5/1 and 5/1B1A1A1, Patta No. 2969 as per Patta New Survey No. 5/58,
in the Layout named known as “Lakshmi Avenue”, approved by DTCP vide
No. DTCP/LP/536/98, bearing Plot Nos. 7 & 8. Situated at Situated at
Urapakkam Village, Previously Chengalpattu Taluk now Vandalur Taluk and
Previously Kancheepuram District now Chengalpattu District., and has been
enjoying the same without any let or encumbrances.

AND WHEREAS V. Annamalai herein, the VENDOR herein, is


desirous of selling the above mentioned property, being Residential Flat
bearing No. B-5, in the Second Floor, together with 900 Sq.ft. of built-up area
in the building named known as Anugraha Apartments and 455 Sq.ft. of
Undivided share out of land measuring an extent of 5028 Sq.ft. Comprised in
Comprised in Old Survey Nos. 5/1 and 5/1B1A1A1, Patta No. 2969 as per
Patta New Survey No. 5/58, in the Layout named known as “Lakshmi
Avenue”, approved by DTCP vide No. DTCP/LP/536/98, bearing Plot Nos. 7
& 8. Situated at Situated at Urapakkam Village, Previously Chengalpattu
Taluk now Vandalur Taluk and Previously Kancheepuram District now
Chengalpattu District which is more fully described in the Schedule
hereunder and the PURCHASER on the faith of the representation of the
VENDOR, that the VENDOR has an absolute and indefeasible title to the
Schedule mentioned property has agreed to purchase the same for a Total
Sale Consideration of Rs.32,00,000/- (Rupees Thirty-Two Lakhs Only) free
from all encumbrances claims and demands.

AND WHEREAS the PURCHASER herein has also agreed to purchase


the schedule mentioned property being Residential Flat at the above-
mentioned price free from all encumbrances in the following terms and
conditions:

NOW THIS DEED OF ABSOLUTE SALE WITNESSETH AS FOLLOWS:

1. That in consideration of the above agreement and the total Sale


Consideration of Rs.32,00,000/- (Rupees Thirty-Two Lakhs Only) to
be paid to the VENDOR herein, for which the VENDOR herein
acknowledges the receipt of following sums paid in the following
manner.

A. A sum of Rs.2,55,000/- (Rupees Two Lakhs Fifty-Five


Thousand Only) paid by the Purchaser to the VENDOR by way of
Cash dated 13/11/2024.

B. A sum of Rs.1,50,000/- (Rupees One Lakhs Fifty Thousand


Only) paid by the Purchaser to the VENDOR by way of RTGS vide
Reference No. 24333643229 dated 28/11/2024.

C. A sum of Rs. 15,000/- (Rupees Fifteen Thousand Only) paid by


the Purchaser to the VENDOR by way of Google Pay Vide Reference
No. 434080229572 dated 05/12/2024.

D. A sum of Rs. 27,80,000/- (Twenty-Seven Lakhs Eighty


Thousand Only) paid by the Purchaser to the VENDOR by way of
RTGS vide Reference No. ______________________dated
09/12/2024.

The VENDOR doth hereby expressly admit, acknowledge and


acquit the purchaser from further payment thereof and doth hereby sell,
transfer by way of absolute sale of the Residential Flat morefully described
in the Schedule hereunder to the Purchaser together with all rights, ways,
easements, liberties, privileges, advantages and appurtenances whatsoever
reputed to belong thereto or usually enjoyed therewith and all the estate,
right, title, interest, property claim and demand whatsoever of the Vendor
unto and upon the said Residential Flat hereby conveyed and more
particularly described in the schedule hereunder to have and hold the same
to and unto the use and benefit of the purchaser absolutely forever from
generation to generation free from all encumbrances.

The VENDOR do hereby declare and assure the PURCHASER that the
said schedule mentioned property being Residential Flat hereby conveyed is
the absolute property of the VENDOR herein and that the VENDOR has every
manner of right to deal with the same in the manner hereby done and none
other than him has any title, claim or interest in the said property.

The VENDOR do hereby further declare and assure the PURCHASER


that he has not done or omitted or knowingly suffered or been a party or privy
to any act or deed where his rights to deal with the said Residential Flat hereby
conveyed in the manner hereby done has been to any extent impeached,
encumbered or effected in estate, title or otherwise.

The VENDOR do hereby covenant with the PURCHASER that there are
no encumbrance of any nature whatsoever over the said Residential Flat by
way of any charge, mortgage, lien or security or of any other like nature and
that there are no attachments over or in respect of the said Residential Flat
hereby conveyed of any court, civil, criminal or revenue or any other tribunal
or governmental or quasi-governmental bodies or public authorities and that
there is no lispendens over the Residential Flat hereby conveyed by which his
rights to deal with the same in the manner hereby done is affected or impaired
to any extent.

The VENDOR do hereby declare that he has paid all the taxes and all
other public charges, in respect of the said property upto the date of sale
hereof and further covenants with the PURCHASER that any amount that
may be found due by way of such taxes or other charges or outgoings for any
period prior to this deed of sale, the VENDOR shall pay all such amounts due
and in the event of the purchaser however being made liable to pay any such
amount, on all or any of these accounts the VENDOR hereby undertakes to
make good to the PURCHASER all such sums.

The VENDOR further hereby covenant with the PURCHASER that in the
event of there being any encumbrances or any claim from any person or
persons claiming through or under the VENDOR or in trust for him or from
any other person over or in respect of the said Residential Flat, then in all
such cases the VENDOR shall indemnify the PURCHASER to the fullest extent
or reimburse them for any loss or expenses that may be occasioned to them
on account of any such encumbrances or any claim, demand or damage of
any nature on account of any defect in the title of the VENDOR to the said
property or arising out of any liability of the VENDOR to the said Residential
Flat or any of his predecessor-in-title with regard to or touching and in respect
of the schedule mentioned Residential Flat hereby conveyed.

The VENDOR do hereby covenant with the PURCHASER that the


PURCHASER shall hereafter peacefully and quietly possess, enjoy and own
the said Residential Flat hereby conveyed absolutely and receive all rents and
profits thereof without any let or hindrance, interruption, disturbance or
claim from the VENDOR or anyone else claiming or purporting to claim
through or in trust for them or from anyone else.

The VENDOR has this day put the PURCHASER in possession of the
property being Residential Flat hereby conveyed and has handed over all the
original Parent title deeds relating to the property and has also signed the
necessary Patta transfer application for the mutation of the Revenue Registry
in favor of the PURCHASER.

The Stamp duty and the Registration charges and all other charges that
may arise because of registration shall be paid by the “PURCHASER.
