It has been mutually agreed between the Seller and the Buyer to sign the contract on the terms and
conditions stated as below:

- Port of discharge : Tan son nhat Port
- Latest date of shipment : From 01th Dec 2018 to 30th Jan, 2019
- Term of delivery : CNF HOCHIMINH CITY
4.Terms of payment:
Payment :100% TT after shipment
The Seller shall be payable at the country of beneficiary against the following shipping documents.
- Documents required for negotiation:
+Signed Commercial Invoice based on net weight issued by the Seller in triplicate
+01 Detailed packing list showing net/gross weight in total and total pcs.
Note:
+All banking charge outside Vietnam are for the seller’s account and all banking charge inside
Vietnam are for the buyer’ account. Charge for attend, if any, are for account of party who request
unless TT is not opened in accordance with this contract.
5.Force majeure:
In the event that the performance of this contract is prevented or delayed, in whole or in part by
war, revolution, riot, strike or other causes beyond the control of the parties hereto, then the parties
shall not be liable for any default in the performance of all or part of this contract, provided that
immediate notice of said delay shall perform such obligations with all due speed unless the
contract is previously terminated.

6.Assesstment:
The buyer can invite customs inspection recommended specifications of goods. If there are any
complaints about the specifications of goods, inspection reports of customs will be the end result.
Inspection fees paid by the buyer.
7.Arbitration:
In case of disputes and the parties can not reach an amicable settlement or any claim concerning
this contract within 90 days from its occurrence, the case will be transferred to International
Arbitration Center of the Chamber of Commerce and Industry of Vietnam for final settlement
under the rules of conciliation and Arbitration will be final and all the fees and expenses incurred
in the arbitration shall be borne by losing party.
8.Entirely:
This contract constitutes the entire contract between the parties and supersedes all previous
negotiation, representation, undertakings hereto fore made between the parties with respect to
thesubject matter, and shall not be modified except by the mutual agreement in writing by duly
authorized officers of the parties here to.
9.Amendment:
This contract is not changed, modified or amended by the parties of this contract provided that
such change, modification or amendment is in written and signed by both parties.
